Alterations變更事宜PartyAshallhavetherighttorequireincreasingtheworkscope （hereinafterreferredtoas“Alterations”)onthebasisofthisContract.5。1甲方有權(quán)在此合同的基礎(chǔ)上，要求增加工作范圍(以下稱之為“變更")。5。2Alltherequirementsonalterationshallbeinthewrittenform，clearlydefiningnecessaryalterations。PartyBshallsubmitcorrespondingworkplan，workinghoursandcostestimatesaccordingtothealterationsproposedbyPartyAwithin3workingdaysfortheapprovalofParty。5.2 所有的變更要求均應(yīng)以書面的方式,清晰地指明所需的變更內(nèi)容,乙方應(yīng)在三個工作日內(nèi)對甲方提出的變更,提交相應(yīng)的工作規(guī)劃、工時和費用估算，供甲方審批.TerminationofContract6。合同終止6。1IftheterminationofthisContractiscausedbyPartyA,PartyAshallpayreasonablefeestoPartyBfortheWork(includingpreparatorywork）completedbythedateofterminationofthisContractOtherwiseiftheterminationofthisContractiscausedbythebreachofPartyB,PartyAshallnotpayfortheexpensesgenerated。在因甲方終止合同的情況下,甲方應(yīng)支付乙方截止合同終止日時已完成的工作（含預(yù)備工作）及為此項工作已發(fā)生的合理費用.若因乙方違約導(dǎo)致合同終止的，甲方對已經(jīng)發(fā)生的費用不予支付。。Duties7。責(zé)任與義務(wù)7。1PartyAandPartyBshallguaranteeeachotherthatonepartyshallprovidesupporttoandprotecttheotherpartyfromanyloss，claim，orresponsibilitycausedbyorrelatedtothisContractunderthefollowingconditions：7。1甲方和乙方均應(yīng)相互保證，保護(hù)和支持對方在發(fā)生以下情況時不受由于本合同或與之相關(guān)而產(chǎn)生的任何形式的損失,索賠或責(zé)任:Injuriesanddeathsofanyemployee，representativeorsubcontractor’spersonnel；a) 任何職員，代表或分包方人員的傷亡，b）Propertylossofstaff，representativesorsubcontractor’spersonnel；職員，代表或分包方人員的財產(chǎn)損失，Expenses,losses，ordamagesindirectlyordirectlycausedbysignificant，specialoraccidentalevent，nomatterhowitoccursandwhichformittakes；c）由于重大，格外或意外（直接或間接)造成的費用，損失或損壞，不論其如何發(fā)生的，不論是何種形式。7.2 Eachpartyshallberesponsibleforthelossofanythirdpartycausedbyitsownintentionorfaults ，andundertakerelatedindemnificationobligations。7。2雙方應(yīng)對由于各自有意或過失而造成的任何第三方的損失負(fù)責(zé)并承擔(dān)相關(guān)賠償義務(wù)。7。3IfeitherpartyofthisContracthasrealizedanypossibleaccidentduringtheperformanceoftheContractthatcannotbeexecutive,theotherpartyshallbenotifiedimmediately。7。3假若合同雙方任意一方在合同履行經(jīng)過已意識到任何有可能出現(xiàn)意外而導(dǎo)致合同無法執(zhí)行的情況時，應(yīng)立刻通知另一方.7.4PartyBshallprocuretheinsurancesandbearthepremiumsinaccordancewiththeprovisionsrelatingtoinsuranceasspecifiedinthelawsoftheUnionofMyanmar。PartyBshallensurethattheaforesaidinsurancesremaineffectiveduringtheperiodofvalidityofthisContract。AlltheexpensesarisingfromtheaforesaidinsurancesshallbeincludedintheservicefeesunderthisContractandshallbebornebyPartyB.74在本合同有效期間內(nèi)持續(xù)有效.辦理上述保險所發(fā)生的所有費用應(yīng)包含在本合同項下的總費中,由乙方自行承擔(dān)。8ForceMajeure8。不行抗力8。1ForceMajeurereferstotheeventsthatcannotbepredictedbyeitherpartyoftheContractandtheiroccurrenceandconsequencescannotbeavoided,includingbutnotlimitedtowars,unrests，firesandnaturaldisasterssuchaswind，rainandearthquakeetc。不行抗力是指合同的任何一方不能預(yù)見，對其發(fā)生和后果不能避開。并無法控制的事件,包括但不限于戰(zhàn)爭、動亂、火災(zāi)以及風(fēng)、雨、地震等自然災(zāi)害.8。2AnypartyshalltimelynotifytheotherpartywhenitisunabletoperformtheContractduetoForceMajeure.Aftergainingthecertificateofrelatedauthority,theperformanceoftheContractcouldbedelayedorsuspendedtemporarily。Eachpartyshallnotifytheotherpartyofactualconditions，andcontinueto10performtheContractaftertheendordisappearanceofForceMajeure。BothPartiescanbeexemptedfromsomepartsoralloftheliabilitiesforbreachoftheContractaccordingtotheactualconditions。Necessaryremedialmeasuresshallbeadoptedtoreducethelosstotheminimum.任何一方由于不行抗力不能履行合同時，應(yīng)當(dāng)及時向?qū)Ψ酵▓蟆Ｔ谌〉糜嘘P(guān)機(jī)關(guān)證實以后，允許延期履行或者臨時不履行合同。各方應(yīng)把實際情況通知對方，并在不行抗力停止或消逝后繼續(xù)履行合同。雙方依據(jù)情況可部分或者全部免予承擔(dān)違約責(zé)任。實行必要的補(bǔ)救措施將損失降到最低程度。9。ApplicableLaws&DisputeResolution9。適用法律及爭議解決方式9.1 ThelawsofMyanmarshallapplytothesigning,performanceandexplanationofthisContract.9。1本合同的簽訂、履行及說明均適用緬甸聯(lián)邦法律.10AppendixtotheContractandOthers合同附件及其他事項。TheappendixtothisContractshallbeanintegralpartofthisContractandshallhavethesamelegaleffectastheContract。本合同附件是本合同的有效組成部分,與本合同有同等法律效力。10。2。Inrespectofanymattersunmentionedherein,writtencomplementaryagreementshalladditionallybeentere
