PAGEPAGE13建筑材料供應(yīng)合同（中英文）CONTRACTOFPURCHASEBUILDINGMATERIAL買方Buyer(以下簡稱“買方”hereinafter,the“Buyer”)地址Address:電話Tel:傳真Fax:賣方Seller:地址Address:電話Tel:傳真Fax:本合同經(jīng)買、賣雙方友好協(xié)商后在年月日簽訂。根據(jù)本合同簽訂的條款，買方同意向賣方購買、賣方同意向買方提供下列輕鋼結(jié)構(gòu)系統(tǒng)建筑材料一套（以下簡稱“鋼結(jié)構(gòu)”）：ThisContractismadebyandbetweentheBuyerandSelleron___________,1997afterfriendlynegotiations.TheBuyerherebyagreestopurchasefromtheSeller,andtheSellerherebyagreestoselltotheBuyer,thefollowingsetofmetalbuildingsystem(hereinafter,the“MetalBuildingSystem”)onthetermsandconditionssetforthinthisContract:第一條項(xiàng)目名稱Article1.NameofProject1.1本項(xiàng)目名稱為：Thenameofthisprojectis:1.2本項(xiàng)目位于（以下簡稱“工地現(xiàn)場”）。Thisprojectislocatedat(hereinafter,“theSite”).第二條賣方供貨范圍Article2.ScopeofSupplyfromSeller2.1在提供鋼結(jié)構(gòu)時(shí)，賣方應(yīng)負(fù)責(zé)：InsupplyingtheMetalBuildingSystem,theSellershallberesponsiblefor:2.1.1設(shè)計(jì)并制造供應(yīng)本項(xiàng)目地面以上的全部鋼結(jié)構(gòu)（詳見附件一）；及thedesignandmanufactureofthisproject’sentireabove-groundstructure(seeAttachment1fordetails);and2.1.2所提供鋼結(jié)構(gòu)部件及材料的□必要包裝□運(yùn)輸□運(yùn)輸?shù)谋ｋU(xiǎn)。thenecessarypacking□shipping□shippinginsurance□ofandforthepartsandmaterialsoftheMetalBuildingSystembeingsupplied.第三條合同價(jià)格Article3.ContractPrice3.1本合同總價(jià)為人民幣整（以下簡稱合同總價(jià)）。ThepriceofthisContractisRmb(hereinafter,the“ContractPrice”).3.2合同總價(jià)不包含有關(guān)之□關(guān)稅□增值稅。TheContractPriceexcludestherelatedcustomsduty□valueaddedtaxes□.第四條付款條件及方式Article4.PaymentTerms4.1本合同簽訂后五個(gè)工作日內(nèi)，買方應(yīng)付予賣方合同總價(jià)之20%作為定金，即人民幣：元。Within5workingdaysofthesigningofthisContract,theBuyershallpaytotheSelleradepositequalto20%oftheContractPrice,i.e.Rmb.4.2買方收到賣方的鋼結(jié)構(gòu)設(shè)計(jì)圖并確認(rèn)后三個(gè)工作日內(nèi)，應(yīng)付予賣方合同總價(jià)之20%作為預(yù)付款，即人民幣元。Within3workingdaysofitsreceiptandapprovalofthedesigndrawingsfortheMetalBuildingSystem,theBuyershallpaytotheSelleraprepaymentamountequalto20%oftheContractPrice,i.e.Rmb.4.3鋼結(jié)構(gòu)制造完成后，并經(jīng)買方驗(yàn)收后五個(gè)工作日內(nèi)，買方應(yīng)付予賣方合同總價(jià)之60%，即人民幣元。Within5workingdaysafterthemanufactureoftheMetalBuildingSystemhasbeencompletedandtheBuyerhasacceptedtheMetalBuildingSystem,theBuyershallpaytotheSeller60%oftheContractPrice,i.e.Rmb.4.4買方支付賣方的所有款項(xiàng)均以銀行匯票或電匯方式匯至賣方指定在中信實(shí)業(yè)銀行南京西路分理處虹橋分理處所開之帳號，號碼086861-10224020560。所有付款日期均以賣方收款之銀行收款憑證日期為準(zhǔn)。如買方逾期五天付款，須從第六天起按日支付該筆逾期款項(xiàng)0.1%的滯納金。若買方之逾期付款超過應(yīng)付款日三十天后，賣方有權(quán)單方面取消整個(gè)合同，并沒收買方已支付之定金、預(yù)付款和其他款項(xiàng)作為賠償。若該筆款項(xiàng)不足彌補(bǔ)賣方之損失，則買方還需就不足部分支付賠償金。AllpaymentstobemadebytheBuyertotheSellerhereundershallbemadebybankdraftorwiretransfertotheSeller’sdesignatedaccountattheHongqiaosub-officeofWestNanjingRoadofficeofCiticIndustrialBankShanghaiBranch,accountno.086861-10224020560.Thedateofpaymentforallamountsshallbetheofficialdateofreceiptbytheseller’sreceivingbank.IftheBuyer’spaymentislateforfivedays,itshallpayapenaltyonthelatesumfromthesixthdayatarateof0.1%perday.IftheBuyer’spaymentislateformorethan30days,theSellerhasarighttounilaterallyterminatethisContractandforfeitthedeposit,prepaymentandanyothersumsascompensation.IfsuchsumsarenotsufficienttocompensatetheSeller’slosses,theBuyershallpaytheSellertheamountofsuchdeficiency.第五條設(shè)計(jì)、制造進(jìn)度及期限Article5.ProgressandTimeLimitonDesignandManufacture5.1賣方收到定金后四周內(nèi)，應(yīng)向買方提供設(shè)計(jì)所需的反力圖及地腳螺栓布置圖。買方應(yīng)盡快將以上資料提交負(fù)責(zé)設(shè)計(jì)地基和基礎(chǔ)的設(shè)計(jì)院。有關(guān)設(shè)計(jì)院的所有費(fèi)用（包括圖簽費(fèi)用）均由買方承擔(dān)。Withinfourweeksafteritreceivedthedeposit,theSellershallprovidetotheBuyerthereactiondrawingsandthedrawingsfortheplacementoftheanchorboltsrequiredforthedesignoftheMetalBuildingSystem.TheBuyershallgivethisinformationtothedesigninstituteresponsibleforthedesignofthefoundationassoonaspossible.Allcostsrelatedtothedesigninstitute(includingthecostofsigningthedrawings)shallbebornebytheBuyer.5.2收到預(yù)付款后周，賣方應(yīng)完成鋼結(jié)構(gòu)制造并通知買方派員到賣方工廠進(jìn)行交貨發(fā)運(yùn)前檢驗(yàn)。Withinweeksafteritreceivedtheprepayment,theSellershallcompletethemanufactureoftheMetalBuildingSystemandnotifytheBuyertosenditsrepresentativetotheSeller’splanttoinspectthegoodsbeforetheirdeliveryandshipment.5.3買方驗(yàn)收后已付賣方第4.3條貨款后一周內(nèi)，賣方應(yīng)將產(chǎn)品運(yùn)至工地現(xiàn)場。WithinoneweekaftertheBuyerhasinspectedandacceptedthegoodsandpaidSellertheamountsetforthinarticle4.3hereof,theSellershallhavethegoodsshippedtotheSite.5.4買方若要求變更鋼結(jié)構(gòu)規(guī)格或設(shè)計(jì)，應(yīng)以書面方式通知賣方，賣方在可能的情況下盡量滿足買方要求，但賣方可視增加之工時(shí)和材料調(diào)整本合同價(jià)格及期限，經(jīng)買賣雙方同意后才生效。所有鋼結(jié)構(gòu)規(guī)格或設(shè)計(jì)之變更，若因買方未能于兩天內(nèi)簽置賣方所提供的有關(guān)確認(rèn)文件，均視為買方取消變更要求，回復(fù)原本規(guī)格或設(shè)計(jì)。如因此而造成鋼結(jié)構(gòu)設(shè)計(jì)或制造之延誤，則買方須承擔(dān)一切責(zé)任。ShouldtheBuyerrequestanychangestothespecificationsordesignoftheMetalBuildingSystem,itshallnotifythesellerinwriting.TheSellershalltrytosatisfytheBuyer’srequestasbestaspossible,butmayadjusttheContractPriceorthetimeframeforperformancebasedontheadditionalamountofwork,timeandmaterialsrequiredasaresultofsuchchanges.SuchadjustmentsshallbeeffectiveuponagreementbyboththeBuyerandtheSeller.IftheBuyershallfailtosigntherelevantconfirmationprovidedbytheSellerrelatingtosuchadjustmentswithin2daysthereof,suchadjustmentsshallbedeemedtobecancelledbytheBuyer.TheBuyershallnotberesponsibleforanydelaysinthedesignormanufactureoftheMetalBuildingSystemasaresultthereof.5.5除天災(zāi)人禍等不可抗力因素及因買方未盡本合同責(zé)任之情形以外，如賣方逾期完成以上任何一項(xiàng)義務(wù)，須從逾期第四天起按日支付該筆逾期款項(xiàng)0.1%的罰款，但該罰款不應(yīng)超過本合同總價(jià)之3%。ExceptforforcemajeureorafailurebytheBuyertoperformitsobligationsunderthisContract,iftheSellerfailstocompleteontimeanyofitstaskssetforthabove,itshallpayapenaltyof0.1%perdayonthelateamount,commencingonthefourthdayofsuchdelay,providedthatsuchpenaltyshallnotexceed3%oftheContractPrice.5.6第5.2及5.3條所提到的交貨時(shí)限是以買方在收到鋼結(jié)構(gòu)設(shè)計(jì)圖后七天內(nèi)把確認(rèn)圖還給賣方和買方在收到驗(yàn)收通知后七天內(nèi)派員到賣方工廠進(jìn)行貨物檢驗(yàn)為根據(jù)。買方每逾期一天確認(rèn)設(shè)計(jì)圖或到賣方工廠驗(yàn)貨，無論什么原因，賣方的交貨時(shí)限會延遲兩天，如該逾期超過七天，賣方有權(quán)根據(jù)其當(dāng)時(shí)的業(yè)務(wù)要求重新安排交貨時(shí)間。ThedeliveryschedulereferredtoinSections5.2and5.3hereofissubjecttothePurchaserreturningtheapproveddesigndrawingstotheSellerwithin7daysofreceiptthereofandinspectingthegoodsatSeller’splantwithin7daysofnoticethereoffromtheSeller.EachdayofdelayinthereturnofsuchapproveddrawingstotheSellerorsuchinspectionofthegoods,forwhateverreasons,willresultinatwo-daypostponementofthedateofdelivery.Ifanysuchdelayshallexceed7days,theSellershallbeentitledtore-schedulethedeliverydatebasedonitsthenexistingbusinesscommitments.5.7買方應(yīng)賠償或補(bǔ)償賣方因買方造成的交貨延誤所受到的所有損失，包括（但不限于）貨物貯存的費(fèi)用，該費(fèi)用以每天每噸人民幣83元計(jì)算。ThePurchasershallindemnifytheSellerforallcostsincurredbyitasaresultofanydelayinthedeliveryoftheMetalBuildingSystemcausedbythePurchaser,including,withoutlimitation,thecostofstoragewhichshallbechargedattherateofRmb83pertonperday.第六條裝運(yùn)和清點(diǎn)Article6.Packing,ShippingandInventory6.1鋼結(jié)構(gòu)制造完畢、經(jīng)買方驗(yàn)收后方能裝運(yùn)到工地現(xiàn)場。賣方應(yīng)提前一周前通知買方其發(fā)運(yùn)日期以便買方為賣方提供工作條件上的方便，例如提供現(xiàn)場物資存放的道路、場地及水電供應(yīng)等。TheMetalBuildingSystemmaybepackedandshippedtotheSiteonlyafterthemanufactureoftheMetalBuildingSystemiscompletedandtheBuyerhasinspectedandacceptedthegoods.TheSellershallnotifytheBuyeroneweekinadvanceoftheshipmentdatesothattheBuyercanprovidetheworkingconveniencefortheSeller,suchastheroadsandplaceforthestorageofthegoodsandwaterandelectricity,etc.6.2貨物到達(dá)工地現(xiàn)場后，買方應(yīng)即時(shí)清點(diǎn)及驗(yàn)查貨物質(zhì)量并簽收。如有損壞，買方應(yīng)即時(shí)通知賣方。AfterthegoodsarrivedattheSite,theSellershallimmediatelyinventoryandinspectthequalityofthegoodsandacceptthem.Ifthereisanydamagethereto,theBuyershallimmediatelynotifytheSeller.6.3工地現(xiàn)場的卸貨由買方負(fù)責(zé)，如有延誤，所有費(fèi)用由買方負(fù)責(zé)。TheBuyershallberesponsiblefortheunloadingofthegoodsattheSite.ThecostsofanydelaysshallbebornebytheBuyer.第七條產(chǎn)品檢驗(yàn)Article7.InspectionofGoods7.1如在驗(yàn)收過程中，買方發(fā)現(xiàn)貨物的質(zhì)量、規(guī)格、性能與合同不符合，賣方可按買方的要求退換或修復(fù)，達(dá)到合同要求。如有爭議，買方可申請上海進(jìn)出口商品檢驗(yàn)局就產(chǎn)品質(zhì)量、規(guī)格及性能進(jìn)行檢驗(yàn)，所有費(fèi)用由買方承擔(dān)。IfduringthecourseofinspectiontheBuyerdiscoversthatthequality,quantity,specificationsofnatureofthegoodsdonotmeetwiththerequirementsintheContract,itmayrequesttoreturnthegoodsorhavethemrepairedorreplacedsoastomeettherequirementsintheContract.Ifthereisanydispute,theBuyermayapplytohaveShanghaiImport&ExportCommodityInspectionBureautoinspectthequality,quantity,specificationsandnatureofthegoods.AllcostsrelatedtheretoshallbebornebytheBuyer.第八條賣方聲明和保證Article8.Seller’sRepresentationsandWarranties8.1賣方對產(chǎn)品質(zhì)量作出下列聲明及保證：TheSellermakesthefollowingrepresentationsandwarrantieswithrespecttothequalityandquantityofthegoods:8.2鋼結(jié)構(gòu)設(shè)計(jì)以美國MetalbuildingMembersAssociation(MBMA)建筑規(guī)范（1986年版）及相關(guān)技術(shù)文本為標(biāo)準(zhǔn)。ThedesignoftheMetalBuildingSystemisbasedonthebuildingcodesoftheMetalBuildingMembersAssociation(MBMA)oftheUnitedStatesofAmerica(1986Edition)andrelatedtechnicaldocuments.8.3賣方對產(chǎn)品的質(zhì)量保證期為一年，在產(chǎn)品送達(dá)工地現(xiàn)場一年內(nèi)，如產(chǎn)品在正常操作情況下出現(xiàn)質(zhì)量問題，賣方會免費(fèi)提供維修服務(wù)。此產(chǎn)品質(zhì)量保證不包括因買方不當(dāng)處置產(chǎn)品引致之問題或原材料引致之間接損失或隨之發(fā)生的損害。TheSeller’swarrantyonthegoodsisoneyears.Ifthegoodsdevelopproblemduringnormaloperationwithinoneyears.ofitsarrivalattheSite,theSellershallprovidefreerepairservice.ThiswarrantydoesnotcoveranyproblemscausedbythemishandlingofthegoodsbytheBuyerorindirectlossescausedbytherawmaterialsoranyconsequentialdamages.第九條技術(shù)資料和單據(jù)Article9.TechnicalInformationandReceipts9.1賣方應(yīng)在產(chǎn)品送達(dá)工地現(xiàn)場一周前，把下列技術(shù)資料交給買方：WithinoneweekofthedeliveryofthegoodstotheSite,theSellershallprovidethefollowingtechnicalinformationtotheBuyer:9.1.1由制造廠發(fā)出產(chǎn)品說明書一份；和Acopyoftheproductdescriptionissuedbythemanufacturer;and9.1.2施工圖一式三份。Threecopiesoftheconstructiondrawings.9.2賣方應(yīng)于賣方在產(chǎn)品運(yùn)出后，把下列單據(jù)交給買方：Afterthegoodshavebeenshipped,theSellershallprovidetheBuyerwiththefollowinginvoicesandreceipts:9.2.1稅務(wù)發(fā)票，內(nèi)容注明本合同編號、項(xiàng)目名稱等；Ataxreceipt,thecontentofwhichshallincludethenumberofthisContract,thenameoftheproject,etc.9.
