-14-ProfessionalServicesAgreement專業(yè)服務(wù)協(xié)議核心提示：ThisAgreementismade_________,_________,_________(M,D,Y),betweenAAA,a_________(STATE)corporationhavinganaddressandplaceofbusinessat_________,(hereinafterreferredtoasAAA),andBBB(hereinafterreferredtoasConsultant),havingThisAgreementismade_________,_________,_________(M,D,Y),betweenAAA,a_________(STATE)corporationhavinganaddressandplaceofbusinessat_________,(hereinafterreferredtoas“AAA’),andBBB(hereinafterreferredtoas“Consultant’),havingaSocialSecurityNumberof[***].WHEREAS,Consultantisengagedinthegeneralbusinessofproviding[***]servicestoavarietyofindividualsincludingcompaniesinthewirelessandtelecommunicationsproductsandservicescompanies;WHEREAS,UTSIwishestoretainConsultanttoprovideservicesrelatedtoitsproductsrelatedto[***].NOW,THEREFORE,inconsiderationoftheforegoingandthemutualcovenantscontainedherein,itisagreedasfollows:1.StatementofWork.DuringthetermofthisAgreement,ConsultantwillperformservicesasrequestedfromtimetotimebyAAA,atsuchplaceorplacesandatsuchtimesasshallbemutuallyagreeabletothepartieshereto.ConsultantshallassistAAAwith[***]suppliedbyUTSI.Consultantwillcoordinate[***]effortswithcompaniesandindividualsandshallprovidePurchaseOrdersforAAAsproductstoprospectivecustomerspursuanttotheResellerAgreementdated_________,_________,_________(M,D,Y)between[***]andAAA,Inc.(the“ResellerAgreement’).2.Payment.AAAshallpayConsultantaccordingtothefollowingschedule:(a)Fees.InconsiderationoftheservicestobeperformedbyConsultant,AAAagreestopayConsultantamarketdevelopmentfeeof[***](b)Payments.ThemarketdevelopmentfeeforallsubmittedPurchaseOrdersreceivedbyAAAfromConsultantorattributableendusercustomersshallbepaidtoConsultantwithin[***]ofreceiptbytheConsultantofaninvoice.Consultantshallsendinvoicesto:AAA,Inc.,ATTN:AccountsPayable,_________(ADDRESS).3.OtherObligations.Consultantagreestoallocateaminimumof[***]forUTSIuse.Therewillnotbeanyotherexpensesorchargesforthispositionunlessmutuallyagreeduponinwritingbybothparties.4.TermandTermination.ConsultantsauthorityshallbeginasofthedateofthisAgreementandshallcontinueforaninitialperiodof[***](the“InitialPeriod’).AttheendoftheInitialPeriod,thisAgreementshallautomaticallyrenewforanadditional[***]unlesseitherpartygives[***]writtennoticetotheotherofintenttoterminateConsultantsauthority.5.Confidentiality.BothpartiesrecognizeandagreethatthetermsofthisAgreementandanyinformationregardingeachprospectiveagreementshallbeheldconfidentialbyitsrespectiveparties,agents,employeesandofficers.(a)DuringthetermofthisAgreement,ConsultantwillhaveaccesstoandbecomeacquaintedwithvarioustradesecretsandotherproprietaryandconfidentialinformationwhichareownedbyAAAandwhichareusedintheoperationofAAAsbusiness(collectively“ConfidentialInformation’).ConfidentialInformationconsistsofforexample,andnotintendingtobeinclusive,(i)software(sourceandobjectcode),algorithms,computerprocessingsystems,techniques,methodologies,formulae,processes,compilationsofinformation,drawings,proposals,jobnotes,reports,records,andspecifications,and(ii)informationconcerninganymattersrelatingtothebusinessofAAA,anyofitscustomers,customercontacts,licenses,thepricesitobtainsorhasobtainedforthelicensingofitssoftwareproductsandservices,oranyotherinformationconcerningthebusinessofAAAandAAAsgoodwill.AllConfidentialInformationdisclosedtoConsultantbyAAA,oracquiredfromacustomerorprospectivecustomerofAAA,areandshallremainthesoleandexclusivepropertyandproprietaryinformationofAAAorsuchcustomers,andaredisclosedinconfidencebyAAAorpermittedtobeacquiredfromsuchcustomersinrelianceonConsultantsagreementtomaintaintheminconfidenceandnottouseordisclosethemtoanyotherpersonexceptinfurtheranceofAAAsbusiness.Consultantspecificallyagreestonotdiscloseoruseinanymanner,directlyorindirectly,anysuchConfidentialInformationeitherduringthetermofthisAgreementoratanytimethereafter,exceptasrequiredinthecourseofprovidingservicespursuanttothisAgreement.(b)NothinghereinshallbeconstruedasanimpliedpatentlicenseunderanyAAApatent.(c)ConsultantagreestoobtainanagreementsimilartothisSection5fromanyagent,employee,orassociateperformingworkunderthisAgreement,andtobedirectlyresponsiblefortheactsofsuchagent,employee,orassociate.(d)Consultantrepresentsandwarrantsthathe/shehasreviewedandunderstandsAAAsPolicyRequiringCompliancewiththeEconomicEspionageActof1996(“EEAPolicy’)(acopyofthepolicyisattachedheretoasExhibitA,andincorporatedbyreference).Consultantfurthersagreesthatbythedulyauthorizedsignaturebelow,ConsultantagreestoabideinallrespectswiththeattachedEEAPolicy.[***]6.Subcontracting.ConsultantwillnotsubcontractorassignanyoftheworkrightshereunderwithoutpriorwrittenapprovalbyAAA.7.RelationshipofConsultant.Consultantwillserveasanindependentcontractor,andthisAgreementwillnotbedeemedtocreateapartnership,jointenterprise,oremploymentrelationshipbetweentheparties.Consultantshallmakeappropriatefilingswithtaxingauthoritiesasaself-employedentityandshallbeliableforallrequiredpaymentstothelocal,State,Federal,andothertaxingauthorities(includingincometaxandsocialsecurityandSDIpayments.)[***]8.EligibilityforEmployment.Consultantwarrantsthathe/she,and/oranysubcontractororassigneeunderthisAgreement,iseligibleforemploymentintheUnitedStates,asrequiredbytheImmigrationReformandControlAct(IRCA).[***]9.ConsultantsWarranties.Consultantwarrantsthathe/she,and/oranysubcontractororassigneeunderthisAgreement,isadequatelyinsuredforinjuriestohim/herselfthatmayoccurwithinthecourseandscopeofConsultantsprovisionofservicespursuanttothisAgreement.[***]10.ForeignCorruptPracticesAct.Consultantrepresentsandwarrantsthathe/shehasreviewedandunderstandsAAAsPolicyRequiringCompliancewiththeForeignCorruptPracticesAct(“FCPAPolicy’)(acopyofthepolicyisattachedheretoasExhibitB,andincorporatedbyreference).Consultantfurthersagreesthatbythedulyauthorizedsignaturebelow,ConsultantagreestoabideinallrespectswiththeattachedFCPAPolicy.[***]11.[***]12.InterpretationofContract.ThisAgreementmaynotbechangedexceptinwritingsignedbyConsultantandAAA.Thiswritingcontainstheentireagreementbetweentheparties,andsupercedesanyotherprioragreements,whetherinwrittenororalform.IntheeventthatanyoftheprovisionsofthisAgreementshallbeheldtobeinvalidorunenforceableinwholeorinpart,thoseprovisionstotheextentenforceableandallotherprovisionsshallneverthelesscontinuetobevalidandenforceableasthoughtheinvalidorunenforceablepartshadnotbeenincludedinthisAgreement.Thevalidity,performance,construction,andeffectofthisAgreementshallbegovernedbythelawsoftheStateofCalifornia,withtheexceptionofthatStateschoiceoflawrules.Anydisputehereunderwillberesolvedthroughbindingarbitrationusingamutuallyagreedarbitrator.INWITNESSWHEREOF,thepartieshereuntostatetheyhavetheauthorityandhavedulyexecutedthisAgreementonthedatefirstabovewritten.AAA,Inc.By:_________/s/_________Title:_________ConsultantBy:_________/s/_________Title:_________EXHIBITAAAA,INC.POLICYREQUIRINGCOMPLIANCEWITHTHEECONOMICESPIONAGEACTOF1996ItisthepolicyofAAA,Inc.(“AAA’)thatbothAAAanditsemployeescomplywiththerequirementsoftheEconomicEspionageActof1996(“EEA’).TheEEAprovidescriminalpenaltiesofupto$,_________,_________yearsinprison,orboth,whereanindividualorcompanyknowinglyundertakesanyofthefollowingacts(orattemptsorconspireswithotherstocommitanyofthefollowingacts):1.Steals,orwithoutauthorizationappropriates,takes,carriesaway,orconceals,orbyfraud,artificeordeceptionobtainsatradesecret;2.Withoutauthorizationcopies,duplicates,sketches,draws,photographs,downloads,uploads,alters,destroys,photocopies,replicates,transmits,delivers,sends,mails,communicates,orconveysatradesecret,or3.Receives,buys,orpossessesatradesecret,knowingthesametohavebeenstolenorappropriated,obtained,orconvertedwithoutauthorization.TheEEAdefines“tradesecret’as:“Allformsandtypesoffinancial,business,scientific,technical,economic,orengineeringinformation...whethertangibleorintangible,andwhetherorhowstored,compiled,ormemorializedphysically,electronically,graphically,photographically,orinwritingif:1)theownerofthetradesecrethastakenreasonablemeasurestokeepsuchinformationsecret;and2)theinformationderivesindependenteconomicvalue,actualorpotential,fromnotbeinggenerallyknownto,andnotbeingreadilyascertainablethroughpropermeansbythepublic.’EXHIBITBAAA,INC.POLICYREQUIRINGCOMPLIANCEWITHTHEFOREIGNCORRUPTPRACTICESACT(FCPA)ItisthepolicyofAAA,Inc.(referredtohereas“AAA’orthe“Company’)that:1.TheuseofCompanyfundsorassetsforanyunlawfulorimproperpurposeisstrictlyprohibited.Nopaymentshallbemadeto,orforthebenefitof,governmentemployeesforthepurposeof,orotherwiseinconnectionwith,thesecuringofsalestoorobtainingfavorableactionbyagovernmentagency.GiftsofsubstantialvaluetoorlavishentertainmentofgovernmentemployeesareprohibitedsincetheycanbeconstruedasattemptstoinfluencegovernmentdecisionsinmattersaffectingtheCompanysoperation.Anyentertainingofpublicofficials,orthefurnishingofassistanceintheformoftransportationorotherservicesshouldbeofsuchnaturethattheofficialsintegrityorreputationwillnotbecompromised.2.Theoffer,payment,orpromisetotransferinthefuturecompanyfundsorassets,orthedeliveryofgiftsoranythingelseofvaluetoforeignofficials,foreignpoliticalpartiesorofficialsorcandidatesofforeignpoliticalparties,isstrictlyprohibitedforthepurposeofinfluencinganyactordecisionofanysuchpersoninhisorherofficialcapacity,includingthedecisiontofailtoperformhisorherofficialfunctions,ortousesuchpersonsorpartysinfluencewithaforeigngovernmentorinstrumentalityinordertoaffectortoinfluenceanyactordecision
