-9-TechnicalServiceAgreement技術(shù)服務(wù)協(xié)議核心提示：Thistechnicalserviceagreement(thisAgreement)ismadebetweenandbythefollowingpartiesinBeijingon_________,_________,_________(M,D,Y).PartyA:AAACo.,Ltd.Address:_________PartyB:BBBCo.,Ltd.Address:_________WHEREASPartyAagThistechnicalserviceagreement(thisAgreement)ismadebetweenandbythefollowingpartiesinBeijingon_________,_________,_________(M,D,Y).PartyA:AAACo.,Ltd.Address:_________PartyB:BBBCo.,Ltd.Address:_________WHEREASPartyAagreestoprovidePartyBwiththerelevanttechnicalservicesandPartyBagreestoacceptthesaidtechnicalservices;therefore,thepartiesreachthefollowingagreementthroughfriendlyconsultations:ARTICLE1PartyAagreestoprovidePartyBwiththerelevanttechnicalserviceslistedinAttachmentIofthisAgreement,andPartyBagreestoaccepttheforegoingtechnicalservices.ARTICLE2ThepartiesagreethatPartyBshallpay[$,_________]forthetechnicalservicesprovidedbyPartyB.PartyBshallwiretransfertheforegoingtechnicalservicefeestotheaccountdesignatedbyPartyAwithin[$,_________]uponexecutionofthisAgreement.ARTICLE3ConfidentialityClauseThepartiesagreetheinformationormaterialsthatonepartylearnedorgotholdofduringtheperformanceofthisAgreement,whichwouldotherwisenotbeobtainedfromtheotherpartyshallconstitutetheotherparty’scommercialsecrets.UnlessforthepurposeofimplementingthisAgreement,nopartyshallbeallowedtousetheotherparty’scommercialsecrets.Nopartyshalldisclose,grantortransferthesaidcommercialsecretstoanythirdpartyunlesspriorconsentisobtainedfromtheotherparty.UponexpirationorterminationofthetermofthisAgreement,eitherpartyshallreturnordestroyofitsownthedocuments,informationorsoftwareloadedwiththeotherparty’scommercialsecrets,deletetheotherparty’scommercialsecretsfrommemoryequipmentandrefrainfromusingsuchcommercialsecretsanymore.Thepartiesagreethatthissectionshallcontinuetobevalidwithin[$,_________]uponexpirationorterminationofthevalidtermofthisAgreement.ARTICLE4RepresentationandGuarantee4.1Partyrepresentsandguaranteesasfollows:(a)PartyAisacompanyincorporatedandvalidlyexistingpursuanttotheChineselaws;(b)PartyAisentitledtotheownershipoftheassetslistedinAttachmentIheretoandhasnotplacedmortgageoranythirdparty’sinterestsagainstsuchownership,nordoesitimposeanyobstacletoPartyBfortheobtainmentofthetitleofsuchassets.4.2PartyBrepresentsandguaranteesasfollows:(a)PartyAisacompanyincorporatedandvalidlyexistingpursuanttotheChineselaws;and(b)ByexecutingandperformingthisAgreement,PartyBdoesnotviolatetherelevantlawsandcontractsthathaveabindingforceonit,andhasobtainedtheproperauthorizationandallthenecessaryapprovalofexecutingandperformingthisAgreement.ARTICLE5LiabilityforBreachofAgreement5.1IfonepartytothisAgreement(theBreachingParty)failstoimplementitsobligationsunderthisAgreement(includingviolationoftheprovisionsinvolvingrepresentationandguarantee),andfailstoadopteffectivemeasurestocorrectsuchviolationwithin[$,_________]uponreceiptofawrittennoticebytheotherparty(theNonBreachingParty)forsuchcorrectionwithinthestipulatedtime,thenonbreachingpartyhastherighttoterminatethisAgreementandclaimcompensationfromthebreachingpartyforthelossessustainedtherefrom.5.2IfPartyBviolatestheprovisionsofArticle2ofthisAgreementbyanyfailuretopayorpayintimetheservicefees,itshallpayafindequalto[$,_________]ofthetotalservicefees[$,_________]ofdelayinadditiontothefullpaymentofservicefeestoPartyA.ARTICLE6SettlementofDisputeAnydisputearisingoutoforinconnectionwiththisAgreementshallbesettledbythepartiesthroughconsultations.Ifitcannotbesettledthroughconsultations,anypartymaysubmitthesaiddisputetoChinaInternationalEconomicandTradeArbitrationCommissionforarbitrationinBeijingaccordingtoitsvalidrulesofarbitration.Thearbitrationawardisfinalandshallbebindingovertheparties.ARTICLE7ForceMajeureAforcemajeureeventreferstoanyeventthatcannotbeforeseenanditsoccurrenceandconsequencescannotbeavoidedorovercomeatthetimewhenthisAgreementisexecuted.AnypartytothisAgreementshallnotbeartheliabilitiesforbreachofthisAgreementifitispreventedfromimplementingalloranypartoftheresponsibilitiesassociatedwiththeprovisionsofthisAgreement.Thepartythatisaffectedwithsuchaforcemajeureeventshallnotifytheotherpartyoftheeffectsofsucheventwithin[$,_________]afteritsoccurrence,andpresentcertificationbythelocalnotarizationorgan.ARTICLE8TransferofAgreementNopartyshalltransferitsrightsandobligationsunderthisAgreementtoanythirdpartyunlessconsentedbytheotherpartyinwriting.ARTICLE9SeparabilityofAgreementIfanyarticleorsectionofthisAgreementbecomesinvalidorunenforceable,itwillnotaffectthevalidityandenforceabilityofotherarticlesorsections.ARTICLE10AmendmentandSupplementofAgreementThepartiesmayamendorsupplementthisAgreementinwriting.TheamendmentandsupplementtothisAgreementshallconstituteaninseparablepartofthisAgreementandbeequallyauthentictothisAgreement.ARTICLE11Miscellaneous11.1ThisAgreementshallcometoforceuponexecutionbytheauthorizedrepresentativesofthepartiesandfixationoftheirofficialsealsallofthedatefirstseeninthisAgreement.ThetermofthisAgreementis[$,____
