TheConfuciusInstituteHeadquarters與and英國教育部國際合作中心InternationalCooperationCentreofTheBritishMinistryofEducation為進一步加強中國與英國在教育領(lǐng)域的合作，支持并促進漢語教學的發(fā)展，增進兩國人民的相互理解和友誼，孔子學院總部與英國教育部國際合作中心就合作建設(shè)英國倫敦孔子學院達成如下協(xié)議：InordertostrengtheneducationalcooperationbetweenChinaandTheUnitedKingdomofGreatBritainandNorthernIreland,supportandpromotethedevelopmentofChineselanguageeducation,andincreasemutualunderstandingbetweenChinaandBritain,theConfuciusInstituteHeadquartersandTheBritishMinistryofEducationherebyagreeasfollows:第一條 宗旨Article1Purpose本協(xié)議的宗旨在于規(guī)定在合作成立和運作倫敦孔子學院過程中總部和英國教育部國際合作中心的權(quán)利和義務(wù)。ThepurposeofthisagreementistoidentifytherightsandresponsibilitiesoftheHeadquartersandTheBritishMinistryofEducationintheestablishmentofLondonConfuciusInstitute.第二條 孔子學院的性質(zhì) Article2Character倫敦孔子學院系非營利教育機構(gòu)，通過教授漢語和中國文化增進英國人民對中國的了解。LondonConfuciusInstituteshallbeanon-profitinstitutewiththepurposeofenhancinginterculturalunderstandinginTheUnitedKingdomofGreatBritainbysponsoringcoursesofChineselanguageandculture.第三條 執(zhí)行機構(gòu)Article3ExecutiveInstitution經(jīng)英國教育部國際合作中心同意，孔子學院總部將授權(quán)并委托一中方院校，作為中方具體執(zhí)行機構(gòu)與英國教育部國際合作中心合作建設(shè)孔子學院，合作雙方可就該協(xié)議未盡事宜另行簽訂補充協(xié)議。補充協(xié)議簽署前，須報總部審核。ThroughTheBritishMinistryofEducation ’sapproval,theHeadquarterswillauthorizeandappointaChineseinstitutetoconstructtheConfuciusInstitutewithTheBritishMinistryofEducationastheChineseexecutiveinstitution.ThetwopartiesofcooperationcansignthesupplementaryagreementonmattersnotsettledbythisAgreement.ThesupplementaryagreementshouldbeauditedbytheHeadquartersbeforesigning.第四條 業(yè)務(wù)范圍Article4ScopeofActivities根據(jù)當?shù)貙嶋H情況，倫敦孔子學院可開展以下項目或其他與漢語教學及中國文化相關(guān)的活動：LondonConfuciusInstitutecanservethefollowingChineseteachingcoursesandprogramsaccordingtothelocalinstance:1、使用包括多媒體和網(wǎng)絡(luò)在內(nèi)的多種方式進行漢語教學；2、為小學、中學和大學培訓漢語教師；3、實施漢語考試及漢語作為第二語言教學能力的考試；4、為社會各界人士開設(shè)多類型、多領(lǐng)域的漢語課程；5、舉辦學術(shù)活動和其他與漢語及中國文化有關(guān)的競賽；6、放映中國電影和電視節(jié)目；7、為有意到中國留學的個人提供咨詢服務(wù)；8、為教育界及其他職業(yè)的人士提供參考資源；TeachChineseusingavarietyofmethodsincludingmultimediaandtheInternet;TrainteacherstoteachChineseinprimaryschools,highschoolsandcolleges;AdministertheChineseProficiencyTestandteststocertifyabilitytoteachChineseasaforeignlanguage;4.TeachChinesecoursesofvarioustypesinvariousareasforallcirclesofperson ；SponsoracademicactivitiesandChinesecompetitions;ShowChinesemoviesandTVprograms;ProvideconsultingservicesforindividualswishingtostudyinChina;Providereferencematerialsfortheeducationalandotherprofessionalindividuals.第五條 組織和管理 Article5Organization雙方將推薦人選組成理事會對孔子學院進行管理。TheConfuciusInstituteshallhaveaBoardofAdvisorsandthetwopartiesnominatemembersoftheBoardofAdvisors.TheBoardofAdvisorsshallhavetheresponsibilityfortheoperationoftheConfuciusInstitute.第六條 雙方義務(wù)Article6Obligations總部義務(wù)：TheobligationsoftheHeadquarters:1、授權(quán)使用孔子學院名稱，提供孔子學院標識；2、提供多媒體課件和其他教材、輔助教材和音像材料，授權(quán)使用網(wǎng)上課程；3、提供5-10萬美元啟動經(jīng)費，匯至英國教育部在當?shù)刂袊y行為孔子學院開設(shè)的專門帳戶；4、提供3000冊圖書、音像及多媒體教學資料；5、提供1-2名漢語教師，并負擔其國際旅費、工資等；1.Toauthorizetheuseofthetitle “ConfuciusInstitute ”,andprovidelogosandinstituteemblems.Toprovidemultimediacoursewaresandotherteachingmaterials,supplementarymaterials,andaudio-visualmaterialsauthorizedbytheHeadquarters;andtoauthorizetheuseofonlinecourses.Toprovide50,000-100,000USDollarsasastart-upfund,payabletothespecialaccountopenedbyTheBritishMinistryofEducationinthelocalBankofChina.Toprovide3,000volumesofbooks,audio-visual,andmultimediamaterials.TosendoneortwoChineseinstructorsandpayfortheirairfaresandsalaries.國際合作中心義務(wù)： TheobligationsofInternationalCooperationCentre1、提供適合的場所供孔子學院開展教學、辦公和其他活動，配備必備的辦公設(shè)備并負責安裝、管理和維護；2、為孔子學院配備必要的行政人員（可由相關(guān)人員兼職），并提供相關(guān)費用，并在當?shù)刂袊y行為孔子學院開設(shè)專門帳戶；3、為中方派遣人員提供必要的工作條件；4、協(xié)助辦理中方人員進入該國境內(nèi)從事教學活動所需的手續(xù)；5、同意就孔子學院的其他需求與總部進行協(xié)商。ToprovideanappropriatesitefortheConfuciusInstitutetocarryoutitsactivities;toprovidethenecessaryconditionsandfacilitiesmanagementtoestablishtheConfuciusInstituteandtakechargesetting,managementandmaintenanceandopenthespecialaccountfortheConfuciusInstituteinthelocalBankofChina.Toprovidenecessaryadministrativepersonnel(fulltimeorpart-time)andprovidetherelatedpayment.ToprovidenecessaryworkingconditionsfortheChineseinstructors.AssisttheChinesepartyattheInstitutewithallimmigrationprocedures.AgreetodiscusswiththeHeadquartersanyfurtherrequirementsoftheConfuciusInstitute.第七條 經(jīng)費Article7FinancialSupport倫敦孔子學院的運營經(jīng)費由雙方共同籌措，最終將通過孔子學院項目的實施和授課的收入實現(xiàn)自負盈虧。TheConfuciusInstitutewillbejointlyfundedbyTheBritishMinistryofEducationandtheHeadquarters,anditshouldfinallyassumesoleresponsibilityforitsprofitsorlossesbycharginglanguagecoursefeesandotherprograms.第八條 知識產(chǎn)權(quán)Article8IntellectualProperty“孔子學院”及相關(guān)標識和徽章的知識產(chǎn)權(quán)為總部獨家擁有。本協(xié)議終止后，英國教育部不得以任何形式繼續(xù)直接或間接使用和轉(zhuǎn)讓。倫敦孔子學院開展的有知識產(chǎn)權(quán)的具體項目，其知識產(chǎn)權(quán)由提供方擁有，合作開發(fā)的項目由雙方協(xié)商確定知識產(chǎn)權(quán)。若雙方在知識產(chǎn)權(quán)方面產(chǎn)生爭議，應(yīng)在友好協(xié)商的基礎(chǔ)上進行協(xié)商。協(xié)商不成的，按照相關(guān)法律規(guī)定及國際慣例提交有管轄權(quán)的機構(gòu)裁定。TheHeadquartersexclusivelyownsthetitleof “TheConfuciusInstitute ”,itsrelatedlogo,andplaque(orbadge)asitsexclusiveintellectualproperty.TheBritishMinistryofEducationcannotcontinueapplyingortransferthetitle,logo,andplaque(orbadge)inanyform,eitherdirectlyorindirectly,afterthisagreementhasbeenterminated.Theproviderownsintellectualpropertyofthecertainprogram.Thetwopartiescanconsulttheowneroftheco-operatedprograms.Intheeventsofanydispute,thetwopartiesshouldconsultwitheachotherfriendlyorsubmittothejurisdictionalorganaccordingtotherelatedlawsandregulations.第九條 協(xié)議的修改 Article9Revision經(jīng)雙方同意，本著合作和友好的精神，本協(xié)議可以在談判和商討過程中進行修改，所有的修改均以中英文兩種語言書面做出，應(yīng)經(jīng)雙方授權(quán)代表簽字。Withtheconsentofbothparties,thisAgreementmayfromtimetotimeberevisedthroughaprocessofnegotiationanddiscussioninaspiritofcooperationandgoodwillandanyrevisionswillbemadeinwriting,inbothEnglishandChinese,andsignedbyauthorizedrepresentativesoftheparties.第十條 協(xié)議的有效期 Article10Term本協(xié)議經(jīng)雙方簽字生效。本協(xié)議有效期為五年，如在本協(xié)議有效期截止前九十天內(nèi)，雙方均未書面通知對方不延長本協(xié)議的有效期，則本協(xié)議有效期自動延長。TheAgreementshallbeeffectiveonthedatewhenthetwopartiessignbelow.TheAgreementshallhaveaperiodofvalidityof5years.If,duringthe90daysbeforetheendoftheAgreement,neitherpartynotifiestheotherinwritingthatitwishestoterminatetheAgreement,thenitwillautomaticallybeextended.第十一條 不可抗力Article11ForceMajeure協(xié)議方在以下不可抗力情況下可免除履行本協(xié)議規(guī)定義務(wù)：國家突發(fā)事件、戰(zhàn)爭、政府禁令或其他超出協(xié)議方控制范圍的使協(xié)議方不能繼續(xù)履行協(xié)議規(guī)定義務(wù)的事件。如發(fā)生此類事件，協(xié)議當事方須通知另一方，將項目延期或取消，將協(xié)議另一方的損失降至最低。Partiesheretowillbereleasedfromtheirobligationsunderthisagreementintheeventofanationalemergency,war,prohibitivegovernmentregulationoranyothercausebeyondthecontrolofthepartiesheretothatrenderstheperformanceofthisagreementimpossible.Intheeventofsuchcircumstance,thepartyunderthesituationshallinformtheotherpartysotheprogrammaybedelayedorterminatedinordertomitigatethelossoftheotherparty.第十二條 協(xié)議終止Article12Termination有下列情況之一的，本協(xié)議終止：1、協(xié)議一方在至少提前六個月書面通知對方后，可以終止本協(xié)議；2、協(xié)議期限屆滿，雙方無繼續(xù)合作的意愿；3、履行該協(xié)議的條件已喪失，協(xié)議無法履行或繼續(xù)履行無法達到預(yù)期目的；4、協(xié)議一方有嚴重損害孔子學院聲譽與形象的行為的，一經(jīng)發(fā)現(xiàn)，另一方可立即解除本協(xié)議并追究對方的違約責任；5、因不可抗力致使該協(xié)議無法履行的。本協(xié)議的解除不影響雙方正在執(zhí)行的單獨協(xié)議、合同或項目；本協(xié)議解除時，英國教育部應(yīng)妥善安排孔子學院學生及相關(guān)工作。ThisAgreementshallbeterminatedinoneofthefollowingcases:EitherpartymayterminatethisAgreementupongivingwrittennoticeatleastsixmonthsinadvanceoftheirintentiontoterminate.Thetwopartieshavenoaspirationofcooperationattheexpirationoftheterm.TheAgreementcannotgothroughorcannotachievetheanticipatedaimbecauseofcomedownofthecondition.IftheactofonepartyoftheAgreementseverelyharmstheimageandreputationoftheConfuciusInstitute,theotherpartywillterminatetheAgreementimmediatelyandreservetherightofclaiming.TheAgreementcannotgothroughbecauseofforcemajeure.TheterminationoftheAgreementcannotaffectsomeotheragreement,contractandprogrambetweenthetwoparties.BeforetheAgreementisterminated,TheBritishMinis
