JG國(guó)際學(xué)校合作協(xié)議書CooperationAgreementofCanadianInternational甲方：GZ市PY區(qū)教育局Party:EducationofDistrictMunicipality法人代表：JermainLegalrepresentative:Jermain乙方：JG國(guó)際教育集團(tuán)Party:EducationConsultingCo.,Ltd法人代表：YWCLegalrepresentative:YWC丙方：GZ市PY區(qū)教育基金會(huì)PartyEducationFoundationofDistrictMunicipality法人代表：LZMLegalrepresentative:LZM甲、乙、丙三方現(xiàn)就在PYXXXX教育用地建設(shè)和開(kāi)辦PY區(qū)國(guó)際學(xué)校的合作事宜達(dá)成如下協(xié)議：ThefollowingagreementmadeenteredintoandamongA,BandCrespectcooperationinconstructionopeningCanadianInternationalSchoolPYDistrictthelandeducationlocatedXXXX,DonghuanStreet,PYDistrict:一、推進(jìn)該合作項(xiàng)目的意義I.SignificancePromotionSuchCooperation一填補(bǔ)沒(méi)有國(guó)際學(xué)校的空白，滿足教育多元化要求。(I)aimsfillgapinternationalinDistricttosatisfyrequirementseducationdiversificationinDistrict.

二促進(jìn)教育的國(guó)際交流與合作，尤其是與的教育、文化交流與合作，以提升PY教育國(guó)際化水平。(II)aimspromoteinternationalexchangecooperationtheeducationPYDistrict,especiallyexchangecooperationeducationculturewithinorderenhancestandardsinternationalizationofeducationXX.三吸引更多外資企業(yè)投資落戶，解決在我區(qū)投資的外企駐華人員子女受教育問(wèn)題。(III)aimsattractmoreforeign-fundedenterprisestoinPany,tosolveissueseducationtoreceivedthechildrenofpersonnelwithcapitalinvestmentPYDistrict.二、合方案II.CooperationSolutions甲方提供位于區(qū)FEL占地面積約29161.50方米的教育用地[建設(shè)用地規(guī)劃許可證：XX地證(2XXX)XX號(hào)，甲、乙雙方對(duì)規(guī)劃部門批準(zhǔn)上述教育用地的用地項(xiàng)目、用地面積等具體情況均清楚了解。乙方在該教育用地上出資并實(shí)施建設(shè)20000-23000方米建筑面積的雙軌制國(guó)際學(xué)校，即PY外國(guó)語(yǔ)學(xué)校和XXX際學(xué)校，提供幼兒園、小學(xué)至高中的教育，招生對(duì)象以審批部門的批復(fù)為準(zhǔn)。國(guó)際學(xué)校由乙方自主辦學(xué)，獨(dú)立核算，自負(fù)盈虧。國(guó)際學(xué)校采用XXX省級(jí)教育部門認(rèn)證的課程結(jié)合中文語(yǔ)言課程，培養(yǎng)的學(xué)生可報(bào)考全世界優(yōu)質(zhì)大學(xué)。1.Partyprovideslandeducation[constructionlandplanninglicense:coveringlandofabout29161.50squaremetersXXXX,DonghuanStreet,PYDistrict,bothAPartyhavegoodunderstandingofspecificconditionsaslandprojectlandareaforegoingeducationasapprovedbyplanningauthorities.Partywillmakecapitalinvestmentonsuchlandeducationcarrytheconstructionadouble-trackinternationalcoveringfloorof20000-23000meters,namelyPYDistrictForeignLanguageandCanadianInternationalSchool,1

willoffereducationsuchaskindergartensprimarytoseniorhighschools,withtheobjectstoenrolledbasedtheapprovalbythereviewingapprovingauthorities.InternationalSchoolwillbeindependentlyrunPartyonbasisindependentaccountingandaccountabilityprofitloss.InternationalSchoolwillthecoursesbyCanadianeducationauthoritiesincombinationcoursestheChineselanguage.Thestudentseducatedcanforadmittanceworldtopqualityuniversities.2.乙方負(fù)責(zé)興建上述學(xué)校的全部資金投入，包括學(xué)校的建(包括報(bào)建、設(shè)計(jì)、勘探、監(jiān)理等前期費(fèi)用，施工費(fèi)用及辦理驗(yàn)收、房產(chǎn)確權(quán)等后期費(fèi)用)、裝修、辦學(xué)設(shè)備及籌辦運(yùn)營(yíng)學(xué)校，共約投入資金為XXX億。其中基建約XX元，包括基建工程、設(shè)備工程、裝修工程、戶外活動(dòng)場(chǎng)地工程；辦學(xué)設(shè)備共約XX元；啟動(dòng)資金約元。學(xué)校建設(shè)分兩期進(jìn)行，第一期為8000-11000平方米，于甲方提交建設(shè)工程規(guī)劃許可證兩年內(nèi)完成并開(kāi)學(xué)，暫定于20XX9月；第二期為方米，于第一期工程投入使用后四年內(nèi)完成。2.Partyshallresponsibleallcapitalinvestmentintheconstructiontheaforesaidschool,includingconstructionSchool(includingearlierstageandexpensesincurredtheapplicationforconstruction,design,exploration,supervision,andlatercostsexpensesasconstructionandacceptanceconfirmationofestateownership,etc),renovation,educationequipmentpreparationthebuildingofSchool,whichproposedinvestmentaccountRMB118million,whichRMB70millionbespentinfrastructure,infrastructure,engineering,decorationengineering,outdooractivitysiteengineering;RMB40millionbespentschooleducationequipment;RMB8millionwillspentstartingTheconstructionSchoolwilldividedtwoThefirstphasewilltheconstruction800011000squarewhichbecompletedavailabletheofschooltwoaftersubmissionofconstruction2

engineeringlicense.TheopeningtheSchoolbetemporarilySeptember2014;secondwillbeconstruction12000squaremeters,willcompletedbeintooperationwithinfouryears.3.作為協(xié)議義務(wù)，乙方應(yīng)當(dāng)每年提取一定的資金用于教育的國(guó)際交流與合作，即本條第五款。乙方除提取此項(xiàng)資金給甲方外，無(wú)需另行承擔(dān)任何額外費(fèi)用。甲方對(duì)此予以確認(rèn)。3.obligationtheagreement,PartyBshallforcertainofcapitalusedforinternationalexchangeandcooperationintheeducationPYDistrict,namely,assetinClauseofthisArticle.ExceptforprovisionsuchoffundA,Bwillhavebearanyadditionalandexpenses,whichisherebyconfirmedbyParty二辦學(xué)規(guī)模(II)ScaleSchool在完成一、二期建校工程后，國(guó)際學(xué)校的規(guī)模為：幼兒園共4年級(jí)，每年級(jí)4個(gè)班，每班25，每年級(jí)學(xué)生，共400。小學(xué)共6個(gè)年級(jí)，每年級(jí)個(gè)班，每班25，共600名學(xué)生。初中、高中即12級(jí)共6個(gè)年級(jí)，每年級(jí)個(gè)班，每班25，共600名學(xué)生。由幼兒園到高中學(xué)生共人，教師及員工人，助教35人，以及其他管理人員(含后勤人員共180不含校巴司機(jī)及跟車人員)。UponcompletionPhaseand2constructionSchool,scaleInternationalSchoolshallakindergartenfourconsistingofclasseseachandtherebe25pupilseachor100pupilsineachgrade,altogether400pupils;aprimaryschool6gradesconsistingof4classeseachandtherebe25pupilseachor600pupilsall;juniormiddleschoolandseniormiddleschoolconsisting6gradesGradeto12,andwill4classeseachgrade,25studentsineachclass,600studentsall.Therebe1600pupilsstudentsfromkindergartenseniormiddleTherebe113teachersandemployees,assistantteachers,andadministrativepersonnel3

(includingpersonnellogistics),altogether180persons(excludingschooldriversconductors).三、合作期限(III)Termcooperation雙方約定的合作期限為30+20年，起始期暫定為9實(shí)際起始期以實(shí)際開(kāi)學(xué)時(shí)間計(jì)起，前30為不可撤銷合作期，期間任何一方提出終止合作須承擔(dān)違約責(zé)任；后20為可撤銷合作期，期間任何一方提出終止合作，只要在終止期前年提前通知對(duì)方，不須承擔(dān)違約責(zé)任。50年的合作期滿后乙方有續(xù)約的優(yōu)先權(quán)。Thetermcooperationasagreedbypartiesbe30+20years.initialperiodbethetimebeingSeptember(withtheactualinitialperiodtocalculatedtheactualforstartschool).firstyearstimebetermirrevocablecooperation,duringwhichpartywilladvanceterminationcooperationmustassumeliabilitybreachcontract;thesubsequentyearstimeshallbetheofperiodcanwithdrawn.theperiod,maypresentterminationcooperation.Aslongeithergivesayear’spriornoticeotherbeforeterminationsuchpartynotnecessarilyassumeliabilitybreachcontract.Uponexpirationtermcooperation50years,PartyBwilltheoptionrenewcontract.四、成立PY區(qū)教育國(guó)際交流中心(IV)EstablishmentofPYDistrictEducationInternationalExchangeCenter該國(guó)際學(xué)校加掛“PY教育國(guó)際交流中心”牌子，由甲乙雙方指派一定的人員共同參與該中心的工作，包括研究制定PY與有關(guān)機(jī)構(gòu)開(kāi)展國(guó)際教育、文化交流與合作的方案，并組織實(shí)施。SuchInternationalSchoolshall“PYDistrictEducationInternationalExchangeCentertheadditionalnameplate,andAandBwillrespectivelyonepersonjointlyforcenter,includingstudypreparationsolutionsproposalsforthedevelopment4

internationaleducation,culturalexchangecooperationPYDistrictwithrelevantorganizationsandorganizeimplementation五、提取資金用于PY區(qū)教育的國(guó)際交流與合作(V)ProvisionfundsusedinternationalandcooperationtheeducationPYDistrict1.合作第一年，無(wú)須提取該資金；1.theyearcooperation,thereshallnonecessaryforsuchfund;2.合作第二年至第三年，每年在學(xué)校收入提取人民幣萬(wàn)；2.Fromsecondyearthirdyearcooperation,thereshallprovisionRMB100000ofrevenuestheSchool;3.合作第四年至第十年，每年按學(xué)校收費(fèi)總收入的??；3.Fromfourthtotenthofcooperation,thereshallprovision1%theincomeofchargestheperannum;4.合作第十一年至第二十年，每年按學(xué)校收費(fèi)總收入的提取；4.Fromeleventhyeartwentiethofcooperation,thereshallprovision1.5%totalincomethechargestheperannum;5.合作第二十一年至第三十年，每年按學(xué)校收費(fèi)總收入的提；5.Fromtwenty-firstthethirtiethofcooperation,thereshallbeprovisionoftotalincomechargesschoolannum;6.合作第三十一年至第四十年，每年按學(xué)校收費(fèi)總收入的提取；6.Fromthirty-firsttofortiethofcooperation,thereshallprovision3.5%totalincomethechargestheperannum;7.合作第四十一年至第五十年，每年按學(xué)校收費(fèi)總收入的提。7.Fromforty-firsttofiftieththerebeprovisionoftotalincomethechargestheperannum;提取的資金捐贈(zèng)給甲方指定的PY教育基金會(huì)即丙方，并專項(xiàng)用于教育的國(guó)際交流與合作，尤其是與XXX交流與合作。5

ThefundprovidedshalldonatedEducationFoundationofPYDistrictPartyasdesignatedbyPartysuchbespecificallyforinternationalexchangeandcooperationintheeducationinDistrict,especiallytheexchangecooperationCanada.六、雙權(quán)利和務(wù)III.andobligationstheparties一甲方的權(quán)利義務(wù)(I)RightsobligationsParty1.提供合作之用的辦學(xué)用地，負(fù)責(zé)辦理學(xué)校的報(bào)建手包括但不限于建設(shè)手續(xù)及辦學(xué)建筑物的規(guī)劃審批，消防合格證，衛(wèi)生許可證，建筑合格驗(yàn)收，環(huán)保驗(yàn)收等，其中建設(shè)工程規(guī)劃許可證應(yīng)在經(jīng)甲乙雙方及規(guī)劃部門均認(rèn)可的設(shè)計(jì)方案確定后年內(nèi)完成辦理)，負(fù)責(zé)向規(guī)劃部門申請(qǐng)滿足本協(xié)議約定國(guó)際學(xué)校建設(shè)規(guī)模所需的容積率，并配合乙方申辦國(guó)際學(xué)校的辦學(xué)許可證。1.Toprovideforrunningschoolthepurposecooperation,beresponsiblefulfillingproceduresapplicationconstructionSchool(includingnotlimitedtoproceduresconstructionreviewapprovalplanningtheschooleducationbuildings,certificatesconformityfirefighting,health,acceptanceofcompliancebuildings,environmentalprotectionacceptance,etc.Amongthem,constructionengineeringplanninglicensesshallfulfilled1yeartheconfirmationdesignproposalsasacceptedPartyandBandplanningauthorities),toberesponsibletheapplicationtotheplanningauthoritiesforcapacitynecessarythescaleconstructionofInternationalSchoolsatisfyingAgreement,tocoordinatewithPartyinapplyingthelicenserunningInternationalSchool.2.甲方自簽訂正式協(xié)議后月內(nèi)須交付辦學(xué)場(chǎng)地給乙方使用，甲方遲延交付建設(shè)用地時(shí)間的，雙方合作期限作相應(yīng)的順延。2.Partymust,withinmonthsconclusiontheofficialagreement,deliverschooleducationsitetoPartyforusethereof.6

ShouldAdelaythedeliveryoflandconstruction,termcooperationthepartiesshallbepostponedaccordingly.3.有權(quán)對(duì)學(xué)校運(yùn)作進(jìn)行檢查，并每年對(duì)財(cái)務(wù)情況進(jìn)行審查。3.TorightcheckreviewoperationSchool,toperformannualthefinancialstanding.4.審核乙方對(duì)該用地的建設(shè)及物業(yè)的裝飾、辦公及教學(xué)設(shè)備須符合中國(guó)的學(xué)校設(shè)計(jì)、消防、安全等規(guī)范，對(duì)乙方使用該物業(yè)的情況進(jìn)行監(jiān)督檢查，以確保該物業(yè)的安全。4.ToreviewconstructionofalandrenovationpropertytomadePartyandofficeteachingfacilitiessatisfyspecificationsChinathedesign,firefightingandofSchool,tocarrysupervisioninspectiontheofsuchpropertyPartysotoensuresafetysuchproperty.5.核查乙方在辦學(xué)期間的投入是否達(dá)到規(guī)定數(shù)額。5.TocheckthecapitalinvestmentlivesupthespecifiedtheperiodrunningbyParty6.監(jiān)管所提取的PY教育國(guó)際交流與合作資金，審定其使用安排方案。6.TosupervisecontrolfundinternationalexchangeandcooperationtheeducationPYDistrictprovidedfor,andapprovesolutionsusethesame.7.學(xué)校的產(chǎn)權(quán)屬甲方所有。7.TheownershipSchoolshallvestedParty二乙方的權(quán)利義務(wù)(II)RightsobligationsofB1有權(quán)選定學(xué)校的設(shè)計(jì)單位、地質(zhì)勘探單位、施工單位、監(jiān)理單位，但有關(guān)設(shè)計(jì)方案和選定工作程序須符合中國(guó)的政策法規(guī)。1.haverightselectdesigners,geologicalexplorationunits,constructionandsupervisionforSchool,provided,however,therelevantdesignproposalsselectionproceduresmustcomplythepoliciesregulationsPRC.7

2.有權(quán)在法律、法規(guī)規(guī)定的范圍內(nèi)獨(dú)立管理學(xué)校的日常工作及進(jìn)行教學(xué)活動(dòng)，有權(quán)聘任或解聘校長(zhǎng)、副校長(zhǎng)、財(cái)務(wù)總監(jiān)、校務(wù)主任，決定其報(bào)酬；學(xué)校經(jīng)營(yíng)過(guò)程的全部稅金、費(fèi)用均由乙方負(fù)責(zé)并向政府部門繳納，甲方不承擔(dān)任何費(fèi)用。乙方應(yīng)當(dāng)實(shí)行自主辦學(xué)，獨(dú)立核算，自負(fù)盈虧，在辦學(xué)期間對(duì)學(xué)校承擔(dān)的一切責(zé)任。2.Totherightindependentlydailyandperformteachingactivitieswithintherangespecifiedlawsregulations,havetherightemploydismissschoolmaster,thefinancialdirector,schooldirector,todetermineremunerationrewards;taxesandchargesfeesarisingtheprocessmanagingSchoolbepaidbyPartytorelevantgovernmentoffices,whichAwillnotanycostsexpenses.Bshallimplementindependentrunningschoolontheofindependentaccountingandassumptionprofitsandlosses.AndduringperiodrunningitshallassumeliabilitiesSchool.3.負(fù)責(zé)學(xué)校建設(shè)實(shí)施工作及資金投入，并依法籌備各項(xiàng)辦學(xué)工作，包括辦學(xué)申請(qǐng)、辦學(xué)章程與各項(xiàng)規(guī)章制度的制定、教職員工的聘請(qǐng)、辦學(xué)所需的各類辦公、教學(xué)設(shè)備和圖書、資料等的購(gòu)置。3.beresponsibleimplementationconstructiontheSchoolandcapitalinvestmentherein,toprepareallinrunningschoolaccordinglaw,applicationforrunningschool,formulationschooleducationarticlesofassociationandallrulessystems,appointmentofteachingstaffandemployees,officeteachingfacilitiesnecessaryforrunningschoolaswellpurchasebooksmaterials.4.負(fù)責(zé)安排專人和車輛按甲方要求報(bào)送有關(guān)報(bào)建材料。4.beresponsiblearrangingspecificpersonnelvehiclessubmitrelevantdocumentstheapplicationforconstructionrequiredA.5.負(fù)責(zé)向XXX省級(jí)教育部門申請(qǐng)課程使用及認(rèn)證。5.beresponsibleapplytheprovincialeducationauthoritiesofCanadatheandcertificationofcourses.8

6.按上述第二點(diǎn)第(五項(xiàng)1-7條規(guī)定提取PY教育的國(guó)際交流與合作資金，并在次年4月前按本協(xié)議約定捐贈(zèng)給丙方，乙方不得以其經(jīng)濟(jì)狀況顯著惡化等任何理由拒絕履行捐贈(zèng)義務(wù)。6.providefundsinternationalandcooperationfortheeducationDistrictforthParagraph(V)offoregoing2,anddonatesamePartyagreedunderthisAgreementthenextApril.Bnotrefuseperformtheobligationsdonationthereoftheofdeteriorationofitsfinancialstanding.7.在校內(nèi)承擔(dān)經(jīng)甲乙雙方商定的對(duì)教師和學(xué)生的培訓(xùn)任務(wù)。7.assumetasktrainingteachersandstudentsPYDistrictagreedbythepartiestheschool.8.簽訂本意向書后兩個(gè)月內(nèi)向甲方提交初步設(shè)計(jì)方案，按時(shí)完成學(xué)校的建設(shè)和開(kāi)學(xué)，若因甲方辦理報(bào)建手續(xù)或不可抗力等因素導(dǎo)致未能按時(shí)完成辦理報(bào)建手續(xù)，學(xué)校完成建設(shè)和開(kāi)學(xué)時(shí)間相應(yīng)順延。8.submitinitialproposalstoAwithinmonthsthesigningthisLetterIntent,fulfillconstructionopeningschooltime.thecasefailurecompleteproceduresapplicationforconstructiontofulfillmentproceduresapplicationconstructionAduetofactorssuchasforcemajeure,thecompletionofconstructiontheSchoolopeningschoolshallpostponedaccordingly.9.合作期滿后乙方有續(xù)約的優(yōu)先權(quán)。9.Afterexpirationoftermcooperation,PartyBwillhaveoptionrenewcontract.10.為表示誠(chéng)意，乙方在簽訂本協(xié)議7日內(nèi)交付保證金人民幣100萬(wàn)元至甲方賬戶。待第一期工程確認(rèn)完工后7日內(nèi)，由甲方全額退還不計(jì)利息)。若因甲方原因造成本協(xié)議不能履行，乙方可提出終止協(xié)議，甲方在終止協(xié)議后7內(nèi)全額退還乙方的保證金不計(jì)利息。9

10.Forpurposeexpressionfaith,BshallRMB1milliontheaccountAthedeposit7afterAgreemententeredWithindaysconfirmationoffirstofworks,Awillrefunddeposititsamount(withoutaccruedinterests).IncasefailureperformAgreementthereasonPartyA,BmaypresentterminationAgreement.Ashall,7daysterminationagreement,returndeposititsamountParty(withoutanyaccruedinterests).11.在合作期間內(nèi)，乙方不得將國(guó)際學(xué)校的辦學(xué)許可權(quán)利和本協(xié)議約定的權(quán)利義務(wù)轉(zhuǎn)讓給第三方，不得抵押、處置國(guó)際學(xué)校。11.Withintermcooperation,PartyBmaytransferanypartyrightrunInternationalSchoolandrightsobligationsthisAgreement.maymortgageotherwisedealwithInternationalSchool.四、違條款I(lǐng)V.Default1在前30的不可撤銷合作期期滿前，如甲方中途收回該學(xué)校，須提前年書面通知乙方，并安排與原學(xué)校規(guī)模、裝修標(biāo)準(zhǔn)相當(dāng)及位置相近(PY內(nèi)市橋河以北，南沙港快速路與G105道之間的區(qū)域的其它校舍和用地給乙方繼續(xù)辦學(xué)，乙方搬遷新校舍所需相關(guān)費(fèi)用由甲方承擔(dān)；但在合作期的前10，乙方有權(quán)選擇不接受甲方提供的新校舍和用地，并由甲方承擔(dān)下述違約責(zé)任。若甲方未能提前通知、或者未能安排與原學(xué)校規(guī)模、裝修標(biāo)準(zhǔn)相當(dāng)及位置相近的其它校舍和用地給乙方繼續(xù)辦學(xué)的，均視為違約，甲方除一次性向乙方支付人民幣壹仟萬(wàn)元違約金外，還應(yīng)當(dāng)另行向乙方支付包括但不限于所投入剩余協(xié)議年限的建校成本(以平均分?jǐn)傆?jì)算，以下均同、搬遷校舍費(fèi)用、解聘教師費(fèi)用、分流學(xué)生費(fèi)用等一切實(shí)際損失的費(fèi)用。(I)Beforeexpirationofirrevocableofcooperationforthe30years,PartyrecoversSchoolway,mustyear’spriorwrittennoticePartyshallothersiteandforBtocontinueschoolthescalerenovationstandardsbetheclosestoriginalschool,withlocationsimilartherewith10

(withinareatheofShiqiaoofDistrict,betweenExpresswayNanshaandStateRoute),allrelevantandexpensesrelationrelocationschoolPartytoassumedPartyhowever,thefirstyearstermcooperation,PartyBwillhaverightselecttoacceptnewschoolandlandprovidedbyPartyPartyshallthefollowingliabilitiesforbreachofcontract.AfailsapriornoticePartyfailsarrangeotherschoolandlandBtocontinueschoolthescalerenovationequivalentthoseoriginalschool,withlocationsimilartherewith,suchbedeemedbreachofcontract.PartyAshall,additionlumppaymentRMBTenMillionPartyasfineforofcontract,toBtheforconstructionschool,includinglimitedthoseinforremainingyearsthisAgreementcalculatedbasisaveragedistributionforyears,aswellcostsexpensesrelocationofschool,expensesforunemploymentteachersexpensesarrangementstudentsallotheractualarisingtherefrom.2.在前30的不可撤銷合作期期滿前，乙方中途單方解約終止辦學(xué)，須提前年書面通知甲方，并自行清算所有費(fèi)用及妥善分流學(xué)生到其它地方就讀，不得造成負(fù)面影響，甲方無(wú)償收回該學(xué)校。(II)Beforeexpirationofirrevocableofcooperationforthe30years,B,whounilaterallyrescindsthecontractforrunningschoolway,must2-yearspriorwrittentoPartyandindependentlyhavecostsexpensesliquidatedandproperlythestudentsstudyothertoextenttherewilladverseeffectsthereon,andAwillrecoverSchoolwithoutnecessarycompensation.3.若乙方因從事違法活動(dòng)被有關(guān)部門勒令終止辦學(xué)，乙方須自行清算所有費(fèi)用及妥善分流學(xué)生到其它地方就讀，并向甲方支付人民幣壹仟萬(wàn)元的違約金；甲方收回該學(xué)校，并向乙方支付乙方所投入剩余協(xié)議年限的建校成本。11
