（JTCB01-2003）issuedbytheMinistryofCommunications.ConstructionTerm:thetermofthisprojectis months.第二章 投資資金 ArticleFourInvestmentCapital2.1本項(xiàng)目投資預(yù)計(jì)金額為： 萬元（以政府交通行政主管部門批準(zhǔn)的初步概算為準(zhǔn)），本項(xiàng)目的資金來源應(yīng)符合國(guó)家產(chǎn)業(yè)政策和資金管理的有關(guān)規(guī)定。ThebudgetamountofthisprojectinvestmentismillionYuan,subjecttotheprimarybudgetapprovedbytheadministrationauthorityofcommunications.ThefundingsourcesofprojectshouldbeinconformitywiththerelevantprovisionsofState’sindustrialpolicyandfundmanagement.2.2乙方應(yīng)準(zhǔn)備充足資金，確保本項(xiàng)目的資本金足額到位，以保證本項(xiàng)目工程建設(shè)的順利實(shí)施。PartyBshouldprepareadequateandenoughfundandensurefullfundinitsaccountforthesmoothimplementationofproject.2.3甲方有權(quán)監(jiān)督乙方資金的到位情況。在建設(shè)期間，如果乙方由于資金不足的原因，導(dǎo)致未能按施工承包協(xié)議約定的支付期限支付工程款，經(jīng)甲方同意延期個(gè)月后仍拖延支付工程款超過3個(gè)月以上的，甲方有權(quán)終止本合同，并追究因此造成的經(jīng)濟(jì)損失。PartyAisentitletosupervisepartyB’sfundinitsbankaccount.ProvidedthatthefailureofeffectingWork’spaymentinstipulationofcontractduringconstruction,duetopartyB’sinadequacyoffund,andstilldelaythepaymentmorethanthreemonthsafterpartyA’sconsentofexpirationofmonths,partyAisentitletoeffectterminationofthiscontractandclaimthecompensationofeconomiclossconsequentthereonorincidentalthereto.2.4本項(xiàng)目的資金投入應(yīng)按工程建設(shè)進(jìn)度的需要，分期、分批按計(jì)劃注入。在本項(xiàng)目全面竣工驗(yàn)收合格后，乙方根據(jù)批準(zhǔn)的預(yù)算及實(shí)施過程中經(jīng)審計(jì)認(rèn)可的變更編制竣工結(jié)算，送甲方初審后，報(bào)審計(jì)機(jī)構(gòu)審計(jì)。Theinvestmentoffundtothisprojectshould,subjecttothenecessityofconstructionprogress,beeffectedinseparatetermsandbatches.PartyBshould,uponacceptanceoffullcompletionofthisproject,submitpartyAwiththefinalsettlementwhicharepreparedinaccordancewiththeapprovedbudgetandthealterationswhichareconfirmedbyauditduringtheimplementationofWorkforpartyA’spreliminaryreviewbeforeapplicationofAuditAgencyforauditing.第三章 特許經(jīng)營(yíng)權(quán) ArticleThreeFranchisingRights3.1特許經(jīng)營(yíng)權(quán)內(nèi)容：本項(xiàng)目的投資建設(shè)、經(jīng)營(yíng)、管理。Thecontentsoffranchisingrightsareinclusiveofinvestedconstruction,operationandmanagement/administration.3.2特許經(jīng)營(yíng)權(quán)授予：依照本合同的規(guī)定，甲方代表政府在此將本項(xiàng)目的特許經(jīng)營(yíng)權(quán)授予給乙方。本合同簽訂后，乙方即獲得對(duì)本項(xiàng)目進(jìn)行投資建設(shè)、經(jīng)營(yíng)、管理的權(quán)利。AwardofFranchisingRights:PartyAwillhereby,pursuanttotheprovisionshereof,forandonbehalfofGovernment,grantpartyBwiththefranchisingrightsofthisprojectoperation.PartyBwill,uponthesignatureofthiscontract,enjoytherightsofinvestedconstruction,operationandmanagement/administration.3.3本合同授予乙方的特許經(jīng)營(yíng)權(quán)是獨(dú)占性的，專屬于乙方；甲方保證不將特許經(jīng)營(yíng)權(quán)的任何部分或全部再授予任何第三方。ThefranchisingrightsofoperationbeingawardedbythiscontractisexclusivetopartyBandpartyAguaranteesthatnoanypartoralloffranchisingrightswillbeawardedtoanyotherparty.3.4特許經(jīng)營(yíng)期：授予乙方特許經(jīng)營(yíng)權(quán)的期限，其中：建設(shè)期4年，自本項(xiàng)目開工日起計(jì)算；收費(fèi)經(jīng)營(yíng)期為30年，建設(shè)完成后，按政府批準(zhǔn)的開始收費(fèi)之日起計(jì)算。如本項(xiàng)目提前進(jìn)入運(yùn)行，該提前時(shí)間不計(jì)算在

30年收費(fèi)經(jīng)營(yíng)期之內(nèi)，該提前運(yùn)行期間收益由項(xiàng)目公司為維護(hù)本項(xiàng)目自主使用。FranchisingPeriod:ThetermlimitedwhichisawardedtopartyB

’soperation,includingfouryearsconstructionperiodcountingfromtheprojectcommencementdate;thetermofchargingoperationis30years,whichwillbecountedfromthechargingdateapprovedbyGovernmentsubsequenttothecompletionofproject.Providedthattheprojectisintoadvanceoperationpriortoschedule,theadvanceperiodwillnotcalculatedintothe30year ’soperationperiod,andtheproceedsthereofwillbeusedformaintenanceofprojectattheprojectcompanysolediscretion.3.5特許經(jīng)營(yíng)期的延長(zhǎng)：在特許經(jīng)營(yíng)期內(nèi)，由于不可抗力或非乙方的原因，致使乙方無法正常經(jīng)營(yíng)的，或出現(xiàn)本合同中約定的需延長(zhǎng)特許經(jīng)營(yíng)期的其他情形，乙方有權(quán)要求延長(zhǎng)特許經(jīng)營(yíng)期；具體延長(zhǎng)期限由雙方協(xié)商后確定，并報(bào)有權(quán)批準(zhǔn)的政府及部門批準(zhǔn)后執(zhí)行。在特許經(jīng)營(yíng)期內(nèi)乙方享有國(guó)家給予高速公路投資建設(shè)、經(jīng)營(yíng)的各種優(yōu)惠政策，上述政策包括現(xiàn)行的及經(jīng)營(yíng)期間新出臺(tái)的各項(xiàng)優(yōu)惠政策。ExtensionofFranchisingTerm:ProvidedthatpartyBfailtocarryoutnormaloperationduringfranchisingterm,duetoforcemajuereandnon-partyB’sreason,orothermatterswhicharestipulatedhereoftoneedextensionoffranchisingterm,partyBisentitletorequiretheextensionoffranchisingoperation,however,thespecificextensionlimitedtimeshouldbeconfirmedbyparties ’negotiationandputintoexecutionsubjecttotheapproveofGovernmentandcompetentauthority.PartyBwill,intheperiodoffranchising,enjoyvariouspreferentialpoliciesofStateonexpresswayinvestmentandoperation,whichareincludingthevariouspreferentialpoliciesincurrentandnewissuedduringtheoperationperiod.第四章 土地征用 ArticleSixLandAcquisition4.1由甲方協(xié)助乙方開展本項(xiàng)目征地拆遷、安置、補(bǔ)償及地方協(xié)調(diào)等工作。PartyAwillmakeavailabletopartyBassistanceofdemolition,resettlement,compensation,localcoordinationandotherworks,whicharerelatedonlandacquisition.4.2項(xiàng)目永久性用地，包括但不僅限于下列建筑物用地：高速公路、連接線、服務(wù)區(qū)、停車場(chǎng)、管理處、收費(fèi)站、交警及路政基礎(chǔ)設(shè)施等建設(shè)用地。項(xiàng)目永久性征地、拆遷、安置和補(bǔ)償?shù)娜抠M(fèi)用由乙方（項(xiàng)目公司）承擔(dān)。Permanentlandfortheprojectincludebutnotlimitedtothelandusedforfollowingbuildings:Theconstructionlandofinfrastructuressuchashighway,connectingline,servicezone,parkinglot,managementoffice,tollstation,trafficpolice,roadadministrationandsoon.TheExpensesrelatingtothepermanentland,demolition,resettlementandcompensationshallbeontheaccountofpartyB(ProjectCompany).4.3 乙方（項(xiàng)目公司）負(fù)責(zé)與項(xiàng)目有關(guān)的拆遷、安置、補(bǔ)償支付的有關(guān)費(fèi)用；拆遷、補(bǔ)償、安置工作由甲方協(xié)同有關(guān)各級(jí)政府完成；乙方及其為本項(xiàng)目成立項(xiàng)目公司對(duì)拆遷、安置、補(bǔ)償費(fèi)用的使用進(jìn)行監(jiān)督，確保該費(fèi)用落實(shí)，以利于本項(xiàng)目的施工、運(yùn)行正常進(jìn)行。Therelevantcostandexpenseofdemolition,resettlementandcompensation,whicharerelatedtotheprojectwillbepartyB(Projectcompany)‘sliabilities;theworksofdemolition,resettlementandcompensationwillbeaccomplishedbyvariousgovernmentswiththeassistanceofpartyA;PartyBandtheprojectcompanywhichisestablishedforthisprojectwillmakesupervisiononthefundusefordemolition,resettlementandcompensationandensurethatfundinaccountsoastofacilitatethenormalexecutionandoperationofthisproject.4.4在特許經(jīng)營(yíng)期內(nèi)永久性用地由乙方無償使用。雙方應(yīng)按照國(guó)家有關(guān)規(guī)定，及時(shí)向國(guó)土行政主管部門申請(qǐng)土地使用權(quán)登記，取得《國(guó)有土地使用權(quán)證》。ThepermanentlandwillbeusedandoccupiedinchargefreebypartyBduringthefranchisingoperationterm.Partiesheretoshould,pursuanttoState ’sprovisionsintime,makeapplicationofregistrationonlanduserightswiththecompetentadministrativeauthorityandacquireCertificateofStateLandUseRight.第五章 項(xiàng)目設(shè)計(jì) ArticleFiveProjectDesign5.1由乙方按照國(guó)家法律、法規(guī)規(guī)定，通過招標(biāo)確定勘察和設(shè)計(jì)單位，并報(bào)政府交通行政主管部門備案。乙方應(yīng)要求勘察和設(shè)計(jì)單位按已經(jīng)政府主管部門批復(fù)的《項(xiàng)目可行性研究報(bào)告》中確定的標(biāo)準(zhǔn)和工程規(guī)模進(jìn)行本項(xiàng)目的設(shè)計(jì)并負(fù)擔(dān)相關(guān)費(fèi)用。PartyBwill,inaccordancewiththeprovisionsofStatelawsandregulations,throughinvitebids,makedeterminationofthesurvey/designcompanies,andwillsubmittothetrafficadministrativeauthorityofgovernmentforputtingonfile.PartyBshouldrequiresurvey/designcompaniesconducttheprojectdesignsubjecttothestandardsandengineeringscalewhicharedeterminedinStudyReportofProjectFeasibilitywhichhasbeenapprovedbythecompetentauthorityofgovernment,andthecostthereofwillbebornbypartyB.5.2項(xiàng)目的初步設(shè)計(jì)（含技術(shù)設(shè)計(jì)）及概算、施工圖設(shè)計(jì)及預(yù)算的評(píng)審、報(bào)批由政府交通行政主管部門負(fù)責(zé)并負(fù)擔(dān)相關(guān)費(fèi)用。Thetrafficadministrativeauthorityofgovernmentwillliableforpreliminarydesignincludingtechnicaldesignandestimatebudget,drawingsandreview/approvalofbudgetandwillbeartheexpensesthereof.5.3在建設(shè)期，乙方有權(quán)根據(jù)實(shí)際情況（如為提高工程質(zhì)量、加快工程進(jìn)度等等）而進(jìn)行優(yōu)化和修改設(shè)計(jì)，但要求其優(yōu)化和修改結(jié)果不低于原設(shè)計(jì)標(biāo)準(zhǔn)，并不得改變工程規(guī)模和使用功能，但應(yīng)報(bào)政府交通行政主管部門備案。PartyBisentitle,pursuanttotheactualcircumstances,tooptimizeandmodifythedesignforthepurposesofimproveengineeringquality,acceleratetheprojectprogressandsoon,howevertheresultsofoptimizationandamendmentwillnotlessthanthestandardoforiginaldesign,noraltertheprojectscaleandusefunction,andshouldsubmitthesametothetrafficadministrationauthorityforputtingonfile.第六章 項(xiàng)目建設(shè) ArticleSixConstruction6.1根據(jù)國(guó)家《招標(biāo)投標(biāo)法》和有關(guān)法律、法規(guī)，乙方應(yīng)組織對(duì)施工、重要設(shè)備及重要材料的采購(gòu)、工程監(jiān)理等依法進(jìn)行招標(biāo)。PartyBshould,inaccordancewithLawofTendersandBidsinadditiontootherrelativelawsandregulations,carryoutthetender/bidfortheexecution,procurementsofmainequipmentsandmaterialsandengineeringsupervision.6.2乙方按照批準(zhǔn)的開工日期組織開工，如果不能按時(shí)開工，乙方應(yīng)在確定的開工日期15個(gè)工作日之前，向甲方提出延期開工的理由和要求，并經(jīng)同意，其交工日期相應(yīng)順延。如果因乙方自身的原因在開工日或經(jīng)甲方同意順延的開工日屆滿后的3個(gè)月期滿后未能開工，甲方視為乙方放棄該項(xiàng)目，甲方有權(quán)終止本合同。PartyBshould,pursuanttotheapprovedcommencementdateorganizeWork’scommencement,iffailtodoso,shouldonorbefore15workingdayspriortotheapproveddateofcommencement,submittopartyAwiththereasonandrequirementofextension,andthedateofprojectdeliverymaybecorrespondinglyextendedsubjecttopartyA’sconsent.IncaseoffailureofcommencementforpartyB’sreasonafterexpirationofthreemonthsonandfromthecommencementdateortheextendeddatewhichisagreedbypartyA,partyAwilldeempartyBtowaivertheprojectandhasrightstoterminatethiscontract.6.3如果因乙方原因，在建設(shè)期內(nèi)連續(xù)停工超過 6個(gè)月或全線工程進(jìn)度滯后施工計(jì)劃 6個(gè)月時(shí)，甲方有權(quán)終止本合同。Providedthatcontinuoussuspension,duringconstructionperiodduetopartyB ’sreasonexceedsixmonthsortheprogressofwholeWorksdelaybehindtheexecutionscheduleforsixmonths,partyAisentitletoterminatethiscontract.6.4工程驗(yàn)收按交工驗(yàn)收和竣工驗(yàn)收兩階段進(jìn)行。工程交工驗(yàn)收、竣工驗(yàn)收和評(píng)定標(biāo)準(zhǔn)按交通部頒布的《公路工程竣工驗(yàn)收辦法》和《公路工程質(zhì)量檢驗(yàn)評(píng)定標(biāo)準(zhǔn)》的規(guī)定進(jìn)行。Engineeringacceptancewillbecarriedoutontwostages,viz.theacceptanceofinterimhandoverandcompletionacceptance,thestandardsofacceptancesandassessmentwillbesubjecttothestipulationsofAPPROACHOFCOMPLETIONACCEPTANCEOFHIGHWAYENGINEERINGandASSESSMENTSTANDARDSOFHIGHWAYQUALITY, whicharepromulgatedbyMinistryofCommunications.第七章 項(xiàng)目運(yùn)行與維護(hù) ArticleSevenOperationandMaintenance7.1特許經(jīng)營(yíng)期內(nèi)本項(xiàng)目經(jīng)營(yíng)范圍內(nèi)的各種收益歸乙方所有，乙方有權(quán)自行處置。本項(xiàng)目在特許經(jīng)營(yíng)期內(nèi)的管理由乙方負(fù)責(zé)，甲方有協(xié)助乙方搞好項(xiàng)目運(yùn)行、管理工作的義務(wù)。Eachandallincome/proceedsarisingoutoftheoperationbusinesshereofduringfranchisingtermwillberemaininthepropertyofpartyB,towhichpartyBhasrightstodisposeatitsabsolutediscretion.TheprojectmanagementduringfranchisingtermwillberesponsibleforpartyBandpartyAisliabletoassistpartyBtocarryoutoperation/managementoftheproject.7.2乙方的經(jīng)營(yíng)內(nèi)容：下列經(jīng)營(yíng)應(yīng)當(dāng)符合國(guó)家法律、法規(guī)和交通管理的有關(guān)規(guī)定，并依法辦理注冊(cè)登記。PartyB’soperationitems:TheoperationsasbellowshouldcomforttorelevantprovisionsofState’slaws,regulationsandtrafficadministrationinadditiontoconducttheregistrationthereof.（1）按政府批準(zhǔn)的收費(fèi)標(biāo)準(zhǔn)收取車輛通行費(fèi)。Tocollectvehicletollspursuanttothetollstandardapprovedbyadministrativeauthority.2）依法經(jīng)營(yíng)本項(xiàng)目公路沿線附屬設(shè)施區(qū)域內(nèi)的加油站、停車場(chǎng)、餐飲、住宿、車輛維修、通信、廣告等各項(xiàng)業(yè)務(wù)。Tooperatevariousbusinesses,pursuanttolaws,ofthisproject,whicharelocatedwithinthezoneofhighwayaffiliatedfacilities,includinggasstation,parkinglot,catering,accommodation,vehiclerepair,communication,advertisementandsoon.7.3本項(xiàng)目交工且投入運(yùn)行后，因政策發(fā)生重大變化，給乙方的收益造成損失但乙方同意繼續(xù)經(jīng)營(yíng)本項(xiàng)目的，甲方應(yīng)采取補(bǔ)償措施或延長(zhǎng)特許經(jīng)營(yíng)期，保證乙方至少能夠?qū)崿F(xiàn)執(zhí)行本合同現(xiàn)行內(nèi)容可取得的期待性利益，具體方案由雙方協(xié)商后報(bào)政府批準(zhǔn)。Providedthatthisprojecthasbeendeliveredandputintooperation,thesignificantalterationofpolicygiverisetolossofpartyB ’sincomeandproceeds,neverthelesspartyBconsenttocontinueoperationofthisproject,partyAshouldtakecompensationmeasuresortheextensionoffranchisingperiod,soastoensurepartyBatleastcanachievetheexpectativeandavailableinterestthroughperformanceofitemshereof,forwhichtheparticularscheduleswillbesubjecttothenegotiationbetweenpartiesbeforesubmittinggovernmentforapproval.7.4 乙方按交通部規(guī)定的技術(shù)規(guī)范對(duì)公路及其設(shè)施、設(shè)備及時(shí)進(jìn)行維護(hù)、養(yǎng)護(hù)，確保公路暢通、安全和設(shè)施良好，使公路處于良好的技術(shù)狀態(tài)。PartyBshould,inaccordancewiththetechnicalnormsstipulatedbyMinistryofCommunications,intimecarryoutmaintenanceandcareofhighwayanditsfacilitiesequipmentssoastoensurethesmooth,safeandgoodfacilitiesenablehighwayinwelltechnicalcondition.第八章 項(xiàng)目資產(chǎn)及產(chǎn)權(quán) ArticleEightProjectAssetsandPropertyRights10.1在特許經(jīng)營(yíng)期內(nèi)，本項(xiàng)目的經(jīng)營(yíng)權(quán)、公路資產(chǎn)（指公路本身及其公路附著物）的使用權(quán)專屬于乙方。本項(xiàng)目公路資產(chǎn)之外的且由乙方投資的其他資產(chǎn)的所有權(quán)益專屬于乙方。IntheperiodoffranchisingoperationtheoperationrightsofthisprojectanduserightsofhighwayassetsreferredtohighwayitselfandattachmentsthereofispartyB ’sexclusiverights,howeverthepropertiesandinterestsofotherassets,withexceptionofhighway,whichareinvestedbypartyB.10.2乙方有權(quán)單獨(dú)處置其特許經(jīng)營(yíng)期內(nèi)的其他收益權(quán)。乙方在處置項(xiàng)目附屬服務(wù)設(shè)施的經(jīng)營(yíng)權(quán)和廣告經(jīng)營(yíng)權(quán)時(shí)，不需要請(qǐng)求甲方審批，但必需符合國(guó)家法律、法規(guī)及有關(guān)規(guī)定。PartyBisentitletodisposeotherproceedsrightsatitssolediscretionduringtheoperationperiod.Theoperationrightsofproject 項(xiàng)目移交 ArticleNineTurnOverofProject9.1在特許經(jīng)營(yíng)期滿前一年，雙方正式組建項(xiàng)目移交委員會(huì)，研究制定本項(xiàng)目移交方案。同時(shí)，由甲、乙雙方共同對(duì)本項(xiàng)目下的公路及其附屬設(shè)施進(jìn)行檢查后制定移交前的養(yǎng)護(hù)、維修計(jì)劃，由雙方授權(quán)代表共同簽署。乙方應(yīng)在簽署養(yǎng)護(hù)、維修計(jì)劃后 30天內(nèi)將此養(yǎng)護(hù)、維修計(jì)劃中所列維修金的全額存入雙方指定的共管帳號(hào)內(nèi)。TheTransferCommissionwill,ontheyearpriortoexpirationoffranchisingperiod,beformallyinstitutedbypartiesheretotoreviewandformulatetheProjectTransferSchedule,atsametimepartiesheretowillcommonlycarryoutinspectionofhighwayanditsaccessoryfacilitiesbeforeformationofplanofmaintenance,repair,whichwillbecommonlysignedbytheauthorizedrepresentativesofparties.PartyBshould,within30daysonandaftersignatureofmaintenance/repairplan,depositthemaintenancemoneywhichisstipulatedinsuchplanintothecommonmanagingaccountwhichisdesignedbypartieshereto.9.2在特許經(jīng)營(yíng)期屆滿之日，雙方按移交方案組織項(xiàng)目移交。由雙方分別承擔(dān)各自移交所需費(fèi)用。移交完畢，本合同自行終止，本項(xiàng)目的經(jīng)營(yíng)權(quán)和公路資產(chǎn)無償移交給甲方。Partiesheretowill,onthedateofexpirationoffranchisingoperation,pursuanttotheturn-overschedule,organizetheprojecttransfer,eachpartywillundertakentheirrespectivetransfercost.ThiscontractwillbeterminatedautomaticallyitseffectuponcompletionoftransferandtheoperationrightsofthisprojectandhighwayassetswillbetransferredinfreetopartyA.9.3特許經(jīng)營(yíng)期滿后，由甲方無償收回土地使用權(quán)，雙方共同按規(guī)定辦理土地使用權(quán)移交手續(xù)。PartyAwill,onexpirationoffranchisingperiod,recoverthelanduserightsinfreeandtransferprocedureoflanduserightswillbeprocessedcommonlybypartiesheretopursuanttothestipulations.9.4在移交日前，乙方應(yīng)解除移交資產(chǎn)范圍內(nèi)任何種類或性質(zhì)的與本項(xiàng)目有關(guān)債務(wù)、留置權(quán)、動(dòng)產(chǎn)或不動(dòng)產(chǎn)的抵押及其他求償權(quán)。乙方在特許經(jīng)營(yíng)期間所發(fā)生的一切經(jīng)濟(jì)、法律等責(zé)任均由乙方承擔(dān)。PartyBshould,beforethedateoftransfer,relieveanddischargethedebt,lien,mortgageandotherclaimofmovableorimmovableproperties,whicharewithrelationtothisprojectandwithintransferredassets,irrespectiveofanykindsandnaturethereof.AnyandallliabilitiesofeconomyandlawswhichoccurinfranchisingoperationperiodwillbeundertakenbypartyB.9.5在移交日，乙方應(yīng)將本項(xiàng)目的公路資產(chǎn)以及土地使用權(quán)證全部、完好、無償移交給甲方，與此同時(shí)，乙方還應(yīng)向甲方移交項(xiàng)目的運(yùn)行記錄、移交記錄、設(shè)計(jì)圖紙等全部資料。乙方應(yīng)將該項(xiàng)目仍有效的保險(xiǎn)單有償轉(zhuǎn)讓給甲方。所有權(quán)屬證書辦理移轉(zhuǎn)所產(chǎn)生的費(fèi)用由甲方負(fù)擔(dān)。PartyBshould,onthetransferdate,maketurn-overinfullsets,goodandfreeofcharge,topartyAwithhighwayassetsandCertificateofLandUseRights,atsametimepartyBshouldturnoverpartyAwithfullsetsofOperationRecord,TransferRecordanddesigndrawings,whicharerelativetotheproject.PartyBshouldtransfertheinsurancepolicyofthisproject,whichremaininginforcetopartyA.ThefeesandexpenseofconductingthecertificatesofpropertieswillbebornbypartyA.9.6 在項(xiàng)目移交時(shí)，專屬于乙方的財(cái)產(chǎn)或乙方為經(jīng)營(yíng)本項(xiàng)目而添加的財(cái)產(chǎn)歸乙方所有。Intheturn-overofprojecttheexclusivepropertiestopartyBortheaddedpropertiesfortheprojectoperationbypartyBwillsolelybelongtopartyB.第十章 雙方總體性權(quán)利、義務(wù) ArticleTenGeneralTittlesandResponsibilities10.1甲方協(xié)助乙方按有關(guān)規(guī)定辦理項(xiàng)目建設(shè)、經(jīng)營(yíng)、管理中的各項(xiàng)審核、報(bào)批及辦證工作；參與協(xié)調(diào)、協(xié)助解決乙方的項(xiàng)目建設(shè)、經(jīng)營(yíng)過程中有可能出現(xiàn)的各種矛盾；依法和依本合同約定對(duì)本項(xiàng)目的建設(shè)、管理、經(jīng)營(yíng)和養(yǎng)護(hù)進(jìn)行監(jiān)督和檢查。PartyAwillunderrelevantprovisionsassistpartyBtoconductthevariousexamination/verification,applicationforapprovalandlicense,giveassistancebyjoininginthecoordinationtoresolvevariouspotentialcontradictionsinpartyB ‘sconstructionandoperation,carryoutsupervisionandinspectionbyvirtueoflawsandtheagreementshereofonproject ’sconstruction,management,operationandmaintenance.10.2乙方認(rèn)真執(zhí)行國(guó)家和有關(guān)部門關(guān)于項(xiàng)目法人責(zé)任制、資本金制、招標(biāo)投標(biāo)制度、協(xié)議管理制、工程監(jiān)理制等法律、法規(guī)有關(guān)規(guī)定，自覺接受有關(guān)主管部門的監(jiān)督和檢查；建立、健全并執(zhí)行包括計(jì)劃、技術(shù)、財(cái)務(wù)、物資材料、設(shè)備等在內(nèi)的各項(xiàng)管理制度；本項(xiàng)目工程通過交工驗(yàn)收之后，乙方按規(guī)定及時(shí)辦理竣工驗(yàn)收手續(xù)。PartyBshouldearnestlyimplementconcernedprovisionsoflawsandregulations,whichpromulgatedbyStateorcompetentauthorities,onthesystemsofprojectlegalperson,capital,biding/tender,contractmanagement ，projectsupervisionandothers;andconsciouslyacceptthesupervision/inspectionbyrelevantcompetentauthority;andestablish,improveandimplementvariousmanagementsystemsincludingplan,technology,fianc é,goods/material,equipmentandsoon.PartyBshouldupondeliveryandacceptanceoftheproject,inaccordancewithstipulations,processtheproceduresofcompletionandacceptanceintime.第十一章 稅收ArticleElevenTax11.1乙方應(yīng)向稅務(wù)機(jī)關(guān)辦理稅務(wù)登記，在建設(shè)期和特許經(jīng)營(yíng)期內(nèi)依法繳納稅款。PartyBshouldconductthetaxregistrationintaxauthority,andeffectthepaymentoftaxinvirtueoflawsduringtheperiodofconstructionandfranchisingoperation.11.2甲方保證乙方獲得項(xiàng)目建設(shè)、運(yùn)行期間內(nèi)，國(guó)家頒布的各項(xiàng)稅收優(yōu)惠政策。PartyAwillensurepartyBavailabletovariouspreferentialpoliciesoftaxwhichpromulgatedbyStateduringtheperiodofconstructionandfranchisingoperation.第十二章不可抗力和情事變更ArticleTwelveForceMajeureandCircumstancesChange12.1因不可抗力而導(dǎo)致本合同任何一方未能按照本合同的條款和條件履行本合同項(xiàng)下的義務(wù)，該方有權(quán)就不可抗力影響范圍內(nèi)的違約情形主張免除違約責(zé)任，但應(yīng)積極采取一切措施努力減少或消除不可抗力對(duì)工程時(shí)間的影響，并在盡可能短的時(shí)間內(nèi)恢復(fù)履行本合同的履行。Providedthatanypartyheretofailto,invirtueofthetermsandconditionshereof,performitsliabilitiesunderthiscontractduetoforcemajeure,thesaidpartyisentitletoclaimthedischargeorreleasefrombreachliabilitywithinthescopeofforcemajeureinfluence,providedthatshouldtakeallactivemeasurestotrytoreduceoreliminateforcemajeureinfluenceonWorkperiod,makeresumptionofperformancehereofassoonaspractice.12.2如果不可抗力時(shí)間持續(xù)超過 180天，雙方可通過友好協(xié)商解決如何履行本合同 項(xiàng)目公司ProjectCompany13.1乙方在本合同簽訂后在項(xiàng)目所在地組建項(xiàng)目業(yè)主公司，公司成立后全權(quán)負(fù)責(zé)該項(xiàng)目的投融資、建設(shè)、經(jīng)營(yíng)和移交等事宜。乙方有權(quán)對(duì)項(xiàng)目公司的股權(quán)進(jìn)行變更。PartyBwill,atthelocationofprojectonandafterthesignatureofcontract,establishtheprojectownercompanywhichisresponsibleinfullauthorityfortheinvestment,financing,construction,operation,turn-overoftheprojectandsoon.PartyBisentitletomakechangetothestockofthecompany.13.3項(xiàng)目公司成立后 協(xié)議的生效和終止 ArticleFourteenEffectivenessandTermination14.1本合同自簽訂之日起成立并生效。Thiscontractwillonandfromthedateofsignaturebecomeintoestablishmentandeffectiveness.14.2本合同的修改、變更，需雙方協(xié)商簽訂補(bǔ)充協(xié)議，補(bǔ)充協(xié)議與本合同具有同等的法律效力。Theamendmentandalterationhereofwillbesubjecttothesupplementalagreementsignedbypartieshereto,whichbeingequallyvalidandauthentic.14.3本合同特許經(jīng)營(yíng)期屆滿之日，移交完畢，本合同自行終止。Thiscontractwillbeterminatedupontheexpirationoffranchisingoperationperiodandcompletionofprojectturn-over.14.4如果因乙方自身的原因在開工日或經(jīng)甲方同意順延的開工日屆滿后的 Confidentiality各方承諾，將對(duì)因簽訂或履行本協(xié)議而由其或其雇用、代理人或顧問得到或獲得的所有信息，包括與本合同的規(guī)定、為達(dá)成本合同進(jìn)行的談判、標(biāo)的、或另一方的或另一方公司任一成員的業(yè)務(wù)或事務(wù)相關(guān)的信息嚴(yán)格保密，且在此后任何時(shí)候均不使用或向任何人披露或泄露任何該等信息，并竭力防止該等信息的公布或披露。EachPartyundertakeswiththeotherPartythatitshalltreatasstrictlyconfidentialallinformationreceivedorobtainedbyitoritsemployees,agentsoradvisersasaresultofenteringintoorperformingthisAgreementincludinginformationrelatingtotheprovisionsofthisAgreement,thenegotiationsleadinguptothisAgreement,thesubjectmatterofthisAgreementorthebusinessoraffairsoftheotherPartyoranymemberoftheotherParty ’sgroupofcompaniesandthatitshallnotatanytimehereaftermakeuseofordiscloseordivulgetoanypersonanysuchinformationandshalluseitsbestendeavorstopreventthepublicationordisclosureofanysuchinformation.第十六章 爭(zhēng)議的解決 附
