Deliverytime,placeandconditionsofthecontractsubject4.1交付時間：合同簽訂之日起，訂購期刊出版2個月內(nèi)到貨完畢。

4.1Deliverytime:Fromthedateofsigningthecontract,theorderedperiodicalshallbedeliveredwithintwomonthssubsequenttopublication.4.2交付地點：4.2Placeofdelivery:4.3交付條件：按招標(biāo)文件要求。

4.3Deliveryconditions:Subjecttothebiddingdocumentrequirement.5、合同標(biāo)的具體要求Specificrequirementsforthesubjectmatterofthecontract合同標(biāo)的應(yīng)符合招標(biāo)文件、乙方投標(biāo)文件的規(guī)定或約定，具體如下：

5.ThecontractsubjectshallbeconformtotheprovisionsoragreementsofthebiddingdocumentandpartyB’sbiddocument,thedetailsasfollows:6、驗收Acceptancecheck6.1驗收應(yīng)按照招標(biāo)文件、乙方投標(biāo)文件的規(guī)定或約定進行，具體如下：

6.1AcceptancecheckshallbecarriedoutinaccordancewiththeregulationsoragreementofthebiddingdocumentandpartyB’sbiddocument,thedetailsasfollows:甲方對乙方供應(yīng)的期刊經(jīng)檢查并認(rèn)為達到技術(shù)質(zhì)量要求的，給予簽收。甲方在期刊到達指定地點之日起10個工作日內(nèi)驗收完畢。驗收過程中，如發(fā)現(xiàn)收到的期刊與發(fā)貨清單不符，或有破損、污損等質(zhì)量問題，圖書館應(yīng)及時通知乙方，乙方應(yīng)給予補發(fā)、換發(fā)。PartyAshall,throughinspectiontomeetthetechnicalqualityrequirements,signandreceivetheperiodicalssuppliedbyPartyBandcompletetheacceptancecheckwithin10workingdaysupontheperiodical?sarrivalatthedesignatelocation.Intheprocessofacceptance,ifitisfoundthattheperiodicalsreceivedfailtoconformtothedeliverylist,oranyqualityproblemssuchasbreakageanddefacementfound,thelibraryshall,intime,notifyPartyBwhichshallreplaceorchangethesame.7、合同款項的支付Paymentofthecontractamount合同款項的支付應(yīng)按照招標(biāo)文件的規(guī)定進行，具體如下：

10、違約責(zé)任10.Defaultresponsibility10.1有下列情況發(fā)生，甲方將向乙方發(fā)出違約通知書，并要求乙方承擔(dān)賠償責(zé)任：

10.1Providedthatifthefollowingcircumstancesoccur,PartyAwillissueanoticeofbreachofcontracttoPartyBandrequirePartyBtobeliableforcompensation:10.1.1乙方未按照合同規(guī)定的要求交付合同貨物和提供服務(wù)。

10.1.1PartyBfailstodeliverthecontractgoodsandprovideservicesasrequiredbythecontract.10.1.2乙方在收到圖書館要求補缺或更換破損期刊的通知后30日內(nèi)沒有補足或更換外文原版期刊。

10.1.2PartyBfailstomakeuporchangetheperiodicalsoforiginalforeignlanguagewithin30daysafterreceivingthenoticeofthelibrarytosupplythelackorchangethedamagedperiodicals.10.1.3乙方未能履行合同規(guī)定的其他責(zé)任。

10.1.3PartyBfailorisunabletoperformanceofotherliabilitieshereof.10.2乙方承擔(dān)賠償責(zé)任包括：

10.2PartyB’scompensationresponsibilityinclude:10.2.1在大學(xué)圖書館同意延長的期限內(nèi)交付進口原版期刊，并承擔(dān)由此給甲方造成的損失。

10.2.1DeliveryofimportedoriginaljournalsinthelibraryconsentedextendeddurationinadditiontobearthelossescausedtothepartyA.10.2.2在大學(xué)圖書館規(guī)定的時間內(nèi)，乙方對其供應(yīng)有質(zhì)量問題的進口原版期刊負責(zé)更換并承擔(dān)因此發(fā)生的費用。如乙方無法更換，受損期刊應(yīng)作降價處理。降價幅度由甲、乙雙方協(xié)商決定。

10.2.2PartyBshall,withinthetimespecifiedbytheuniversitylibrary,beresponsibleforthereplacementandbearthepaymentofimportedoriginalperiodicalswithqualitydefects.IfPartyBisunabletoreplaceorchange,thepriceofdamagedjournalshallbereduced.ThepricereductionisdecidedbynegotiationbetweenPartyAandPartyB.10.2.3乙方承擔(dān)退貨責(zé)任，應(yīng)將所退進口原版期刊的相應(yīng)刊款退還給甲方，并承擔(dān)由此發(fā)生的費用。

10.2.3PartyBshallbear?theresponsibilityofreturningthegoodsandreturnthecorrespondingamountoftheimportedoriginalperiodicaltoPartyAinadditiontobeartheexpensesincurredtherefrom.10.2.4乙方如有違約行為發(fā)生，甲方有權(quán)要求乙方賠償由此給甲方造成的損失，包括甲方因采取必要的補救措施而發(fā)生的相關(guān)費用。

10.2.4ProvidedthatifpartyBhasdefaultactanddeed,partyAhavetheauthoritytorequirepartyB’scompensationforthelossescausedtopartyA,include,interaliatherelatedexpensesincurredbyPartyAfortakingnecessaryremedialmeasures.11、知識產(chǎn)權(quán)11.IntellectualProperty11.1乙方提供的采購標(biāo)的應(yīng)符合國家知識產(chǎn)權(quán)法律、法規(guī)的規(guī)定且非假冒偽劣品；乙方還應(yīng)保證甲方不受到第三方關(guān)于侵犯知識產(chǎn)權(quán)及專利權(quán)、商標(biāo)權(quán)或工業(yè)設(shè)計權(quán)等知識產(chǎn)權(quán)方面的指控，任何第三方如果提出此方面指控均與甲方無關(guān)，乙方應(yīng)與第三方交涉，并承擔(dān)可能發(fā)生的一切法律責(zé)任、費用和后果；若甲方因此而遭致?lián)p失，則乙方應(yīng)賠償該損失。

11.1ThesubjectmatteroftheprocurementprovidedbyPartyBshallbeinaccordancewiththeprovisionsoftheState’slawsandregulationsonintellectualpropertyandshallnotbefakeorinferior;PartyBshallalsoguaranteePartyAshallnotbesubjecttoanythirdparty'sallegationsofinfringementofintellectualpropertyrights,suchasintellectualpropertyrightsandpatentrights,trademarkrightsorindustrialdesignrights.IfanythirdpartymakessuchallegationsunrelatedtoPartyA,PartyBshallnegotiatewiththethirdpartyandbearalllegalliabilities,expensesandconsequencesthatmayoccur;ifpartyAsuffersalossasaresult,partyBshallcompensatefortheloss.11.2若乙方提供的采購標(biāo)的不符合國家知識產(chǎn)權(quán)法律、法規(guī)的規(guī)定或被有關(guān)主管機關(guān)認(rèn)定為假冒偽劣品，則乙方中標(biāo)資格將被取消；甲方還將按照有關(guān)法律、法規(guī)和規(guī)章的規(guī)定進行處理，具體如下：乙方承擔(dān)退貨責(zé)任，應(yīng)將所退進口原版期刊的相應(yīng)刊款退還給甲方，并承擔(dān)由此發(fā)生的費用。

11.2IfthesubjectmatteroftheprocurementprovidedbyPartyBfailtoconformtotheprovisionsoftheState’sintellectualpropertylawsandregulationsorisrecognizedasfakeandinferiorbytherelevantcompetentauthority,thequalificationofPartyBtowinthebidwillbecancelled;PartyAwillalsodealwithitinaccordancewiththerelevantlaws,regulationsandrules,detailasfollows:partyBshallbeartheresponsibilityofreturningthegoods,andshallrefundthecorrespondingamountoftheimportedoriginalperiodicaltoPartyAandbeartheexpensesincurredtherefrom.12、解決爭議的方法12.Themethodofdisputeresolution12.1甲、乙雙方協(xié)商解決。12.1Negotiatedsettlementbytheparties12.2若協(xié)商解決不成，則通過下列途徑之一解決：

13、不可抗力13,Forcemajeure13.1因不可抗力造成違約的，遭受不可抗力一方應(yīng)及時向?qū)Ψ酵▓蟛荒苈男谢虿荒芡耆男械睦碛桑⒃陔S后取得有關(guān)主管機關(guān)證明后的15日內(nèi)向另一方提供不可抗力發(fā)生及持續(xù)期間的充分證據(jù)?；谝陨闲袨椋试S遭受不可抗力一方延期履行、部分履行或不履行合同，并根據(jù)情況可部分或全部免于承擔(dān)違約責(zé)任。

13.1Incaseofbreachofcontractduetoforcemajeure,thepartysufferingforcemajeureshallpromptlyinformtheotherpartyofthereasonsforfailureorbeingunabletoperformfully,andshall,within15daysuponobtainingtherelevantcompetentauthoritycertificate,providetheotherpartywithsufficientevidenceoftheoccurrenceanddurationofforcemajeure.Basedontheaboveacts,thepartysufferingforcemajeureisallowedtopostpone,partiallyperformorsuspendtoperformthecontract,andmaybepartiallyorwhollyexemptfromliabilityforbreachofcontractsubjecttothecircumstances.13.2本合同中的不可抗力指不能預(yù)見、不能避免、不能克服的客觀情況，包括但不限于：自然災(zāi)害如地震、臺風(fēng)、洪水、火災(zāi)及政府行為、法律規(guī)定或其適用的變化或其他任何無法預(yù)見、避免或控制的事件。
