PropertySaleandPurchaseAgreement

Parties

ThisPropertySaleandPurchaseAgreement(“Agreement”)isenteredintobetween[Seller],alegalentityorganizedandexistingunderthelawsof[Country],havingitsprincipalplaceofbusinessat[Address],and[Buyer],alegalentityorganizedandexistingunderthelawsof[Country],havingitsprincipalplaceofbusinessat[Address].

Property

SelleragreestosellandBuyeragreestopurchasetherealpropertylocatedat[Address](the“Property”).

PurchasePrice

ThepurchasepriceforthePropertyshallbe[AmountinWords]([AmountinNumbers])Dollars,tobepaidin[Currency].ThepurchasepriceshallbepaidbyBuyertoSellerasfollows:

10%ofthepurchasepriceshallbepaidasadeposituponsigningofthisAgreement;and

TheremainingamountofthepurchasepriceshallbepaidinfullbyBuyertoSelleronthedateofcompletionofthetransaction,whichshallbenolaterthan[Date](the“CompletionDate”).

CompletionDate

TheCompletionDateshallbethedateonwhichthetransferofownershipandpossessionofthePropertyfromSellertoBuyertakesplace.ThetransferofownershipshallbemadebytheexecutionanddeliveryofadulyexecutedandacknowledgeddeedofconveyanceinformandsubstancesatisfactorytoBuyeranditslegalcounsel.

ClosingCosts

Allclosingcosts,includingbutnotlimitedto,costsassociatedwithconveyancing,titleinsurance,recordingfees,andanyotherfeesorexpensesassociatedwiththetransferofownershipshallbebornebyBuyer.

Warranties

SellerwarrantsandrepresentsthatitisthelawfulownerofthePropertyandhasfullrightandauthoritytoselltheProperty.

SellerwarrantsthatthePropertyisfreeandclearofallliens,claims,andencumbrances,exceptthefollowing:

SellerwarrantsandrepresentsthatthePropertyisbeingsoldinitspresentconditionandBuyerhascompletedallnecessaryinspectionsandinvestigations.

SellermakesnowarrantiesorrepresentationsastothefitnessofthePropertyforanyparticularpurposeoruse.

RiskofLoss

RiskoflossordamagetothePropertyshallremainwithSelleruntiltheCompletionDate,atwhichtimetheriskoflossordamageshallpasstoBuyer.

Indemnification

SelleragreestoindemnifyandholdharmlessBuyerfromallclaims,damages,expenses,andliabilities,includingreasonableattorney’sfees,arisingoutoforinconnectionwithanybreachofthewarrantiessetforthinthisAgreement.

Notice

AllnoticesandcommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeliveredbyhandorbyregisteredorcertifiedmail,returnreceiptrequested,tothefollowingaddresses:

GoverningLaw

ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Country]withoutgivingeffecttotheprinciplesofconflictoflaws.

EntireAgreement

ThisAgreementcontainstheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,agreementsandunderstandingsbetweenthem.

BindingEffect

ThisAgreementshallbebindinguponandinuretothebenefitofthepartiestothisAgreementandtheirrespectivesuccessorsandassigns.

CounterpartsandExecution

ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichshallconstituteoneandthesameinstrument.Allsignaturesshallbedeemedtoha
