TemplateofSalesContract

ThisSalesContract(hereinafterreferredtoas“Contract”)ismadeandenteredintobyandbetween[SellerName],a[Seller’sRegisteredCountry]companywitharegisteredaddressof[Seller’sAddress](hereinafterreferredtoas“Seller”),and[BuyerName],a[Buyer’sRegisteredCountry]companywitharegisteredaddressof[Buyer’sAddress](hereinafterreferredtoas“Buyer”),andshallbecomeeffectiveonthedateofsigningofthisContract.

Article1.SubjectofContract

ThesubjectofthisContractshallbethesaleandpurchaseofthefollowinggoods(hereinafterreferredtoas“Goods”):

Article2.Quantity

ThequantityofGoodssubjecttothisContractshallbeasfollows:

Article3.UnitPrice

TheunitpriceoftheGoodsshallbe[UnitPrice].ThetotalpriceoftheGoodsshallbe[TotalPrice],whichshallbepayablebyBuyertoSellerinaccordancewiththetermsofthisContract.

Article4.PaymentTerms

BuyershallremittoSeller[Percentage]%oftheContractpriceastheadvancepaymentwithin[NumberofDays]daysaftertheContracttakeseffect.

ThebalanceoftheContractpriceshallbepdbyBuyertoSeller[Number]dayspriortotheshippingdate.

PaymentshallbemadeinthecurrencyspecifiedinthisContract.

Article5.ManufacturingandDelivery

TheGoodsshallbemanufacturedandpreparedforshipmentinaccordancewiththespecificationsinthisContract.

TheGoodsshallbeshippedtoBuyer’sdesignatedlocation[DeliveryLocation]within[Number]daysafterSellerreceivestheadvancepaymentfromBuyer.

BuyershallberesponsibleforalltransportationandinsurancecostsassociatedwiththedeliveryoftheGoods.

Article6.QualityAssuranceandInspection

TheGoodsshallbesubjecttoinspectionbyBuyeratthemanufacturingfacilitypriortoshipment.

IntheeventthattheGoodsfltomeetthespecificationssetforthinthisContract,BuyershallbeentitledtorejectthedeliveryoftheGoods.

Article7.ForceMajeure

DuringthetermofthisContract,ifeitherpartyispreventedfromfulfillinganyobligationunderthisContractduetoanactofGod,war,strike,riot,oranyothercausebeyondthecontroloftheparty,theaffectedpartyshallnotbeliableforanydamagesarisingfromsuchfluretoperform.

Theaffectedpartyshalltakeallreasonablestepstomitigatetheeffectsoftheeventcausingthefluretoperform.

Article8.Termination

ThisContractmaybeterminatedbyeitherpartyupon[Number]dayspriorwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisContract.

Intheeventoftermination,neitherpartyshallhaveanyfurtherobligationtotheotherparty,exceptforpaymentobligationsthathaveaccruedpriortothedateoftermination.

Article9.GoverningLawandJurisdiction

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Seller’sRegisteredCountry],withoutregardtoitschoiceoflawprovisions.

AnydisputearisingoutoforinconnectionwiththisContractshallbesubmittedtothe[ArbitrationOrganization]forarbitrationinaccordancewithitsrulesandregulations.

Article10.EntireAgreement

ThisContractconstitutestheentireunderstandingbetweenthepartiesandsupersedesallpriornegotiations,understandings,andagreementsbetweentheparties.ThisContractmaynotbeamended,modified,orsupplementedexceptinwritingsignedbybothparties.

Article11.Notices

AnynoticeorcommunicationrequiredorpermittedbythisContractshallbeinwritingandshallbedeemedeffectivelygivenuponreceiptbytheotherpartyifsentbycertifiedml,postageprepd,orbyemltotheaddresseslistedinthisContract.

InWitnessWhereof,thepartieshaveexecutedthisContractasofthedatefirstabovewritten.
