借款協(xié)議LoanContract貸款方(Lender)：身份證件號碼(IDNumber.)：地址(Address)：電話(Tel)：借款方(Borrower)：法定代表人(Representative)：職務(Title)：地址(Address)：電話(Tel)：借款方是一家從事如下兩種業(yè)務的企業(yè)：TheBorroweroperatestwodiscretebusinesses:生產銷售噴砂和拋光研磨纖維石產品；（“砂石品業(yè)務）1.Manufactureandsaleofthe“spray-stone”and“super-stone”products(“theStoneBusiness”);生產銷售柳制產品（“柳制品業(yè)務”）Manufactureandsaleofwickerproducts(“theWickerBusiness”).現(xiàn)借款方打算停止開展柳制品業(yè)務。TheBorrowerintendstoceaseoperatingtheWickerBusiness.借款方因生產經營需要，向貸款方借款。雙方本著互惠互利的目的，友好協(xié)商，特制定本協(xié)議。Foritsproductionandoperation,theBorrowerintendstoborrowmoneyfromtheLender.Forthemutualbenefits,bothPartiesagreetoconcludethisContract.借款金額Article1Amount借款金額280,000美元(大寫：貳拾捌萬美元)US$280,000(CapitalLetter:TwoHundredEightyThousandUSDollars)貸款方在簽訂本書面協(xié)議之前，已向借款方提供280,000美元貸款。借款方在此確認已經收到貸款方通過銀行轉賬方式提供的280,000美元貸款。TheLenderagreestoadvancetheLoanUS$280,000totheBorrowerpriortothesigningofthisContract.TheBorrowerherebyconfirmsthatithasreceivedtheLoanUS$280,000advancedbytheLenderthroughbanktransfer.借款用途Article2ScopeforUse本協(xié)議所約定的貸款僅用于借款方生產銷售砂石品業(yè)務，不得挪作它用。TheloanhereofisonlyforBorrower’sStoneBusinessandshallnotbeappropriatedforotheruse.利率及還款期Article3InterestandTerm1.假如借款方在協(xié)議約定的還期限內還清借款，貸款方則不收取借款利息。1.TheLenderagreesthatnointerestwillbepayableontheLoanforthetermoftheloanwhiletheBorrowerisnotindefaultofrepayment.2.借款方應按照如下還款期向貸款方償還借款：在本協(xié)議簽訂之日起十二個月內償還借款美元；在本協(xié)議簽訂之日起二十四個月內償還借款美元；在協(xié)議簽訂之日起三十六個月內償還借款美元。2.TheBorroweragreestorepaytheLoantotheLenderinaccordancewiththefollowingrepaymentschedule:3.借款方應根據貸款方合理規(guī)定的時間、場所和方式還款。3.AllrepaymentsshallbemadeatthetimeandplaceandinthemannerreasonablyrequiredbytheLender.管理費用Article4ManagementFee1.借款方同意在借款期內，向貸款方支付管理費用，管理費用的金額為借款方砂石品業(yè)務銷售總額1.4%。1.TheBorroweragreestopaytotheLenderasumequivalentto1.4%ofthetotalincomereceivedbytheBorrower,fromthesalesturnoveroftheStoneBusiness,duringthetermoftheloan.2.借款方同意自每一財務季度結束之日起三十日內向貸款方支付管理費用，付款時間表如下：每年一月一日至三月三十一日期間的管理費用；每年四月一日至六月三十日期間的管理費用；每年七月一日至九月三十日期間的管理費用；每年十月一日至十二月三十一日期間的管理費用。2.Subjecttoclause4.3theBorroweragreestopaytheManagementFeetotheLenderinarrearsonorbeforethedate30daysfollowingtheendofthepreviousfinancialquarterinaccordancewiththefollowingpaymentschedule:3．4.假如借款方在本協(xié)議簽訂之日起兩年內提前還清借款280,000美元，借款方支付管理費用的義務自協(xié)議簽訂之日起兩年后終止。4.IncasetheBorrowerrepaystheloanUS$280,000within2yearsfromthedateofthisagreementthentheobligationtopaytheManagementfeewillceaseattheendofthe2yearperiod.浮動抵押Article5FloatingCharge1.借款方以其既有的和未來擁有的生產設備、原材料、成品和半成品向貸款方提供抵押。1.TheBorroweragreestochargetotheLenderallequipments,rawmaterials,finishedandunfinishedgoodsownednowandinthefuturebytheBorrower.2.《抵押物清單》對抵押物價值的約定，并不作為貸款方依本協(xié)議對抵押物進行處分的估價根據，也不構成貸款方行使抵押權的任何限制。2.Thevalueofthechargedpropertiesstipulatedinthe<ChargedPropertiesList>shallneitherbedeemedasthepriceofsalenorasanylimitonthechargee’sright,whiletheLenderexercisesitsright.3.抵押物的有關有效證明和資料由當事人確認封存后，由借款方交與貸款方保管，但法律法規(guī)另有規(guī)定的除外。3.Subjecttoanythelawsandregulations,anyinformationandcertificationsinrespectofthechargedpropertiesshallbehandedoverbytheBorrowertotheLenderaftersealed.4.浮動抵押擔保的范圍為本金、利息、管理費、違約金、賠償金以及實現(xiàn)債權所發(fā)生的一切費用，包括但不限于訴訟費、公證費、仲裁費、律師費、財產保全費、差旅費、執(zhí)行費、評估費、拍賣費等。4.Thefloatingchargehereofsecurestheprincipal,interests,managementfees,compensation,andanyothercostarisingfromtheenforcementoftheLender’srightpursuanttothisContract,includingbutwithoutlimitationcourtfee,costfornotarization,arbitrationfee,attorneyfee,feeforcustody,travelingexpense,compulsoryexecutionfee,assessmentfeeandauctionfee.5.借款方應自本協(xié)議簽訂之日起三十日內向有關部門辦理本協(xié)議的審批、立案和登記等事宜，所產生的費用由借款方承擔。5.TheBorrowershallapplyforadministrativeapproval,record-keepingandregistrationonitsownfeeinthirtydaysfromthesigningofthisContract.6.借款方應當合理使用和妥善保管抵押物，如抵押物的價值比本協(xié)議簽訂時的評估價減少15%以上的，借款方應當在三日內告知貸款方。貸款方有權規(guī)定借款方繼續(xù)提供對應擔?；蛘咛崆斑€款。6.TheBorrowershalluseandkeepthechargedpropertiesinareasonablemanner,incasethevalueofthechargedpropertieshavebeenreducedby15%fromtheagreedvalueatthedateofsigningthisContract,theBorrowershallinformtheLender.TheLenderisentitledtorequiretheBorrowerforappropriatesecuritiesorforrepaymentimmediately.7.貸款方在借款方發(fā)生如下情形之一時，可以行使抵押權：7.TheLenderisentitledtoexerciseitschargee’sright,inthefollowingcases:（1）借款方違反本協(xié)議所約定的義務；(1)TheBorrowerisindefaultofitsobligationhereof;（2）經營狀況嚴重惡化、減少注冊資本；(2)TheBorrower’sbusinesshasseriouslydeterioratedorreducedtheregisteredcapital.（3）借款方分立、合并；(3)TheBorroweristobeorhasbeendividedormerged;（4）借款方波及重大糾紛訴訟，涉案標的30萬元人民幣以上；(4)TheBorrowerisinvolvedinanimportantlitigationoranyotherdisputeofwhichtheamountisabove300,000RMB.（5）借款方破產、歇業(yè)、解散、被停業(yè)整頓、被吊銷營業(yè)執(zhí)照；(5)Theborrowerriskstobankruptcyorgoesbankrupt,closesout,dissolves,hasbeenaskedtosuspendbusinesstoraisestandardsorhasitslicenserevoked;（6）借款方住所或法定代表人發(fā)生變更；(6)Thebusinessplaceorthelegalrepresentativehasbeenchanged;（7）其他因借款方原因也許導致貸款方擁有抵押權無法實現(xiàn)的情形。(7)TheLendercouldnotenforcethechargee’srightbecauseofanyothereventduetotheBorrower.借款方發(fā)生或很也許發(fā)生以上情形之一的，貸款方書面告知借款方之日為浮動抵押財產確定之日。若借款方不簽收告知回執(zhí)的，貸款方有權按本協(xié)議第十四條所示措施告知，視為乙方已經收到。Ifanycaseabovesaidoccursormorethanlikelytooccur,thefloatingchargeconvertsintofixedchargeatthedateofnoticesentbytheLender.IftheBorrowerrefusestosignreceipt,itisdeemedtohavereceivedthenoticesentbytheLenderinaccordingarticle14.陳說與保證Article6PresentationsandWarranties借款方在此陳說并保證如下事項屬實，否則承擔欺詐的法律責任：TheBorrowerherebypresentsandwarrantsallthefollowingfacts,otherwiseitshallbeliableforfraud.1.借款方是本協(xié)議項下抵押財產完全的、有效的、合法的所有者；該抵押財產不存在權屬方面的爭議。1.TheBorrowerhastheentire,validandlegalownershipofthechargedpropertieswithoutanydisputeorclaim.2.本協(xié)議項下抵押財產不存在瑕疵。2.Nodefectonthechargedproperties.3.本協(xié)議項下的抵押財產依法可以設定抵押，設置本協(xié)議的抵押不會受到任何限制。3.Thechargedpropertiesarelegallyavailableforchargewithoutanylimitation.4.本協(xié)議項下的抵押財產未被依法查封、扣押。4.Thechargedpropertieshaven’tbeensealedorseized.借款方在此保證在協(xié)議存續(xù)期間，未經貸款方書面同意，不從事如下行為：WithouttheLender’spriorwrittenconsent,theBorrowerherebywarrantsthatduringthetermofthisContract,itwillnot:對企業(yè)的利潤進行分紅；1.Payanydividendinrespectofitsprofitstoitsshareholders;2.在一種財務季度內購置價值合計25,000美元以上的生產設備；2.NotacquireanaggregateofmorethanUS$25,000worthofplantorequipmentinacalendarquarter;3.對抵押財產再次設置抵押、質押或者出租、贈送抵押財產。3.Remortgage,recharge,rentorgivethechargedpropertiestoanyotherperson;柳制品業(yè)務Article7WickerBusiness借款方應當在月日前停止其柳制品業(yè)務。TheBorrowershallceaseoperatingtheWickerBusinessby.未經貸款方書面同意，借款方不得將其柳制品業(yè)務或其柳制品業(yè)務的顧客轉讓或交給他人。TheBorrowershallnotselltheWickerBusinessorreferthecustomersoftheWickerBusinesstoanyotherpersonwithoutthewrittenconsentoftheLender.在貸款方規(guī)定下，借款方應當將其柳制品業(yè)務的顧客免費轉讓貸款方，并協(xié)助貸款方接受客戶。TheBorrowerrefersthecustomersoftheWickerBusinesstotheLenderandprovidesallassistanceforreceivingthecustomerofWickerBusinessbytheLenderifitisrequestedtodosobytheLender;借款方以三方一致同意的價格，向貸款方指定的生產商轉讓借款方的現(xiàn)存的原材料、成品和半成品。TheBorrowersellsitsinventoryofrawmaterialsandfinishedandunfinishedgoodstoamanufacturernominatedbytheLenderatcostorotherpriceagreedbythatmanufacturerandtheBorrowerandLender.經銷Article8Distribution借款方同意貸款方在本協(xié)議約定的條件下，在世界范圍內銷售借款方生產的噴砂和拋光研磨纖維石產品（“砂石產品”）。TheBorroweragreesthattheLendermaydistributethe“spray-stone”and“super-stone”products(“StoneProducts”)anywhereintheworldandonwhatevertermsitseesfitforthetermofthisagreement.在本協(xié)議簽訂之日至12月31日期間，借款方向貸款方發(fā)售砂石產品的價格不高于當次交易時近來三個月借款方發(fā)售砂石產品的最低價格。TheBorroweragreesthatfromthedateofthisagreementuntil31DecemberitwillselltheStoneProductstotheLenderatapricenohigherthanthelowestpriceforwhichitsoldtheStoneProductsintheimmediatelypreceding3monthperiod.本條所賦予的經銷權是非獨家經銷權。Therightsconferredbythisclausearenon-exclusive.貸款方同意在12月31日前，不向借款方簽訂本協(xié)議步已經有的顧客發(fā)售砂石產品。該客戶名單以簽訂協(xié)議當日本協(xié)議雙方書面確認的名單為準。TheLenderagreesthatitwillnotpriorto31DecemberselltheStoneProductstoanyexistingcustomeroftheBorroweratthetimeofthisagreement.OnlythosecustomersoftheBorrowerconfirmedinwritingbythePartieshereofatthetimeofthisagreementhavethebindingeffect.監(jiān)督檢查Article9Supervision貸款方和保證人有權檢查貸款使用狀況。檢查時，借款方對調閱有關文獻、賬冊和記賬憑證，查核物資庫存，生產狀況以及其他與借款人的清償能力有關的信息，必須予以以便。TheLenderandtheSuretyhavetherighttosupervisetheuseofloan.TheBorrowershallprovideallkindsoffacilitytotheLenderandSuretytochecktherelevantdocuments,accountingbooks,accountingvouchers,inventory,productionandanyotherinformationrelatingtothesolvencyoftheBorrower.違約責任Article10Liability1.借款方不按協(xié)議規(guī)定的用途使用借款，貸款方有權提前收回所有貸款，對違約使用的部分，收取12%/年的利息。1.AsiftheBorrowerappropriatestheloanfromusestipulatedherein,theLenderisentitledtogetbacktheentireloanimmediatelyandtoclaimforinterestsontheamountofloanappropriatedattherateof12%/year.2．借款方如逾期不還借款，貸款方有權追回借款，并按0.05%每天加收罰息。2.AsiftheBorrowerfailstherepaytheloanintime,theLenderisentitledtogetbacktheentireloanimmediatelyandtoclaimfordelayedrepaymentinterestattherateof0.05%perday.法律合用Article11GoverningLaw本借款協(xié)議的效力、履行、變更、終止和解釋均合用中華人民共和國有關法律法規(guī)。Thevalidity，performance,modification,terminationandinterpretationofthisContractaregovernedbyChineselaw.爭議處理Article12DisputeResolution對本協(xié)議的效力、履行、變更、終止或解釋發(fā)生爭議，由當事人雙方協(xié)商處理。協(xié)商不成，雙方同意向中國有管轄權的人民法院起訴。Anydisputearisingfromthevalidity，performance,modification，terminationorinterpretationofthisContract,maybesettledbynegotiation.Ifanagreementcouldnotbereached,thenbothPartiesagreetosubmitthedisputetotheChinesecourtwhichhasthejurisdictionoverthematter.第十三條告知Article13Notice1.貸款方指定本協(xié)議事宜的聯(lián)絡人為。1.TheLenderappointsastheparticularforreceipt.聯(lián)絡電話(Tel)：傳真(Fax)：地址(Address)：電子郵箱地址(Email)：2.借款方指定本協(xié)議事宜的聯(lián)絡人為。2.TheBorrowerappointsastheparticularforreceipt.聯(lián)絡電話(Tel)：傳真(Fax)：地址(Address)：電子郵箱地址(Email)：借貸雙方因履行本協(xié)議而互相發(fā)出或者提供的所有告知、文獻、資料，均以本條所列明的地
