(hereinafterreferredtoasCIQ),havetherighttoclaimforreplacementwithnewgoods,orforcompensationorrepairandallexpenses(suchasinspectioncharges,repairingfee,freightforreturningthegoodsandforsendingthereplacement,ortherepairedgoods,insurancepremium,storage,loadingandunloadingchargesetc.)shallbebornebytheSellers.Asregardsquality,theSellersshallguaranteethatif,theinstallationandinspectionforacceptanceofthecommoditiescontractedarerequired,damagesand/ordefectsoccurinthecourseofoperationbyreasonsofinferiorquality,badworkmanshiportheuseofinferiormaterials,theBuyersshallimmediatelynotifytheSellersinwritingandputforwardaclaimsupportedbyCIQ.TheCertificatesoissuedshallbeacceptedasthebaseofaclaim.IftheSellersfailtoanswertheBuyerswithinonemonthafterreceiptoftheaforesaidclaim,theclaimshallbereckonedashavingbeenacceptedbytheSellers.TheSellers,inaccordancewiththeBuyers”claim,shallberesponsiblefortheimmediateeliminationofthedefect(s),completeorpartialreplacementofthecommodityorshalldevaluatethecommodityaccordingtothestateofdefect(s).WhenagreedbytheSellers,theBuyersmayeliminatethedefect(s)themselvesattheSellers”expenses.假設在貨物到達目的港的天內(nèi)覺察其質(zhì)量、規(guī)格或數(shù)量不符合本合同之規(guī)定〔因保險公司或承運方應負責的索賠除外〕，買方有權(quán)憑中國國家進出境檢驗檢疫局出具的檢驗證書要求換貨，或要求補償，而且全部的費用〔如檢驗費、退貨的運費以及更換貨物的運費、保險費、倉儲費、裝卸費等等〕應由賣方擔當。關于質(zhì)量問題，賣方擔保設備驗收合格之日〔如需要在華安裝,調(diào)試,驗收時〕起12個月在操作過程中覺察因質(zhì)量低劣、工藝不好或因承受了低劣的材料而貨物發(fā)生損壞或故障時，買方將馬上以書面形式通知賣方并憑中國出入境檢驗檢疫機構(gòu)出具的檢驗證書提出索賠。開具的檢驗證書應作為索賠的根底而予以承受。假設在收到上述索賠要求的一個月內(nèi)不予答復，則認為賣方已經(jīng)承受買方的索賠要求。賣方應依據(jù)買方的要求負責馬上排解故障，全部或局部更換貨物。在賣方同意時,買方可自行排解故障，費用由賣方擔當。FORCEMAJEURE不行抗力TheSellersshallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,suchaswar,seriousfire,flood,typhoonandearthquake,orothereventsagreeduponbetweenbothparties,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithin10daysthereafter,theSellersshallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan10weeks,theBuyersshallhavetherighttocanceltheContract.賣方對不行抗力緣由如戰(zhàn)斗、嚴峻火災，洪水、臺風,地震或雙方同意的其他大事所造成的遲交和未交付不負有責任.賣方在發(fā)生上述大事時應馬上通知買方，并在10天內(nèi)空郵買方一份由相應政府部門簽署的大事發(fā)生證明。在上述狀況下，賣方仍有責任實行全部措施來加快貨物的交付。假設上述大事持續(xù)超過10個星期，買方有權(quán)取消上述合同。LATEDELIVERYANDPENALTY遲交罰款ShouldtheSellerfailtomakedeliveryintimeasstipulatedintheContract,withtheexceptionofForceMajeurecausesspecifiedinClause15ofthisContract,theBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenaltywhichshallbedeductedbythepayingbankfromthepayment.Thepenalty,however,shallnotexceed5%ofthetotalvalueoftheContract.Therateofpenaltyischargedat0.5%foreverysevendays,odddayslessthansevendaysshouldbecountedassevendays.IncasetheSellersfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedintheContract,theBuyersshallhavetherighttocanceltheContractandtheSellers,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.假設買方未能按合同要求按時交付，除非是由于本合同第15款規(guī)定的不行抗力緣由。在賣方同意支付罰款的條件下，買方將同意延遲交貨。罰款由買方在支付的貨款中扣除，此罰款應不超過合同總價的5%。罰款率為每七天0.5%.缺乏7天按7天計算。假設賣方在合同規(guī)定的交付期10周后仍未交貨，則買方有權(quán)撤銷合同。在此狀況下，賣方仍應將上述罰金付給買方，不得延遲。ARBITRATION 仲栽AlldisputesinconnectionwiththisContractortheexecutionthereofshallbesettledfriendlythroughnegotiations.Incasenosettlementcanbereached,thecasemaythenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitrationCommission (Beijing) inaccordancewithitsArbitrationRules.ThearbitrationshalltakeplaceinBeijingandthedecisionoftheArbitrationCommitteeshallbefinalandbindinguponbothparties;neitherpartyshallseekrecoursetoalawcourtorotherau
