TheSellershall,within48hoursaftertheshipmentiseffected,advisetheBuyerbyfaxofthecontractnumber,nameofcommodity,quantity,grossweight,invoicedvalue,nameofthecarryingvesselandthedateofsailing.

賣方應(yīng)在貨物裝運后48小時內(nèi)以傳真通知買方合同號、商品的名稱、數(shù)量、毛重、發(fā)票金額、裝運的船名和開航日期。

14.DESPATCHANDDELIVERY發(fā)運和交付

IncasethegoodscannotbedespatchedtotheirdestinationatthedatescheduledthereforbyreasonsattributabletotheBuyerand/oroutsideSeller’sreasonablecontrol,theSellershallbeentitledtostorethegoodsconcernedattheBuyer”expenseandrisk.Insuchcasethewarehousereceipt(s)shallserveassubstitute(s)fortheshippingdocumentsinallrespectsandtheBuyerundertakestoreimbursewithinfourteendaysofourfirstdemandanyandalladditionalexpensessoincurred.

假如由于買方的緣由和/或超出賣方合理掌握的緣由導致貨物不能在預(yù)訂的日期發(fā)運至其目的地，賣方應(yīng)有權(quán)將相關(guān)貨物進展存儲，由買方擔當費用和風險。在該等狀況下，倉單應(yīng)在全部的方面替代裝運單據(jù)，并且買方保證在[賣方]首次要求后14天內(nèi)償付賣方因此發(fā)生的全部和一切費用。

Anydelayinthefulfilmentoftheabove-mentionedconditionswillobligetheBuyertocompensatetheSellerfortheadditionalcostsresultingfromthesuspensionoftheexecutionoftheContract.IncasesuchdelaywouldexceedaperiodofthreemonthstheSellerisentitledtocanceltheContractwithoutanypenaltyorliabilitytowardstheBuyer.

延遲履行上述條件將使買方有義務(wù)賠償賣方由于中止本合同履行而發(fā)生的額外費用。假如該等延遲超過3個月，賣方有權(quán)解除本合同，并且不應(yīng)受到任何懲罰或者對買方擔當任何責任。

PhilipswillonlyberesponsibleforfreightandInsurancefromPMGtohospital,allchargeshappenedduringcustomstransferenceandclearanceatairportorseaportwillbebornbyI/ECorp.,i.e.terminalhandlingcharge,portservicecharge,storagecharge,dispatchcharge,containeryardcharge,demurragecharge,customsclearancecharge,customstransferencecharge,containerdetention,documentationcharge,inspectioncharge,etc.

飛利浦醫(yī)療大系統(tǒng)產(chǎn)品的交貨方式為CIPHOSPITAL條款,即本錢+運費+保險到醫(yī)院.在此條款下,飛利浦只負責產(chǎn)品從工廠到醫(yī)院的運費和保險,其中包括海運及內(nèi)陸運輸局部.清關(guān)和轉(zhuǎn)關(guān)過程中在空港或海港發(fā)生的費用,包括轉(zhuǎn)關(guān)手續(xù)費,報關(guān)費,報檢費,通道費,倉儲費,換單費,掏箱費,轉(zhuǎn)站費,滯箱費,集裝箱修理費,洗箱費,押車費,港雜費及分撥費等都由外貿(mào)公司擔當.

15.GUARANTEEOFQUALITY質(zhì)量保證

TheSellershallguaranteethattheCommodityhereofismadeofthebestmaterialswithfirstclassworkmanship,brandnew,unused,andcorrespondstoallrespectswiththequality,specificationsandperformancestipulatedinthisContract.

賣方應(yīng)保證本合同項下的商品由最好的材料制造、工藝一流、全新、未使用過，并且在質(zhì)量、規(guī)格和功能各方面符合本合同的商定。

16.WARRANTY質(zhì)量保證

ThewarrantyperiodoftheContractCommoditysuppliedbytheSellershallbetwelve(12)monthscountingfromthedateofHand-overoftheContractCommoditytotheEnduser;orfifteen(15)monthsfromthedateoflandingattheportofdestination,whichevercomesfirst.

本合同項下賣方供應(yīng)的商品的質(zhì)量保證期為12個月，從該等商品交付給最終用戶之日起算，或者為從該等商品到達目的港之日起的15個月，以先到期者為準。

Seller’sobligationsunderthiswarrantyarelimited,atSeller’soption,totherepairorthereplacementoftheCommodity(oraportionthereof),ortoarefundofaportionofthepricepaidbytheBuyer.

賣方責任局限于,取其選擇，修改或更換商品(或其局部)或退還局部買方所付的價格。

TheabovestatesSeller’entireobligationandliability,andtheBuyer’ssoleremedyintheeventofabreachofCommoditywarranty.

上術(shù)列出于商品不符合質(zhì)量狀況下賣方全部的責任以及買方的唯一補救。

17.IMPORTDECLARATIONCERTIFICATE進口報關(guān)單

AccordingtothePRCcustomregulations,theimportdutyonservicepartsshouldbewaivedwithinthewarrantyperiodiftheequipmentwaslegallyimportedtoChina.TheBuyershallprovideacopyofthefollowingdocumenttotheSupplierwithinthestatedtimeinordertoobtainthiswaiver:

依據(jù)中國海關(guān)的規(guī)定，假如設(shè)備是合法進口到中國的，在質(zhì)量保證期內(nèi)修理零部件應(yīng)免除進口關(guān)稅的征收。買方應(yīng)在下述時間內(nèi)向[供貨商]供應(yīng)如下文件的副本以取得該等免除：

ImportDeclarationCertificate(within2weeksafterthecustomclearance);

TaxExemptionCertificate;or

進口報關(guān)單(報關(guān)后2個星期之內(nèi))

·ReceiptofImportTaxoftheequipment(within2weeksafterthecustomclearance)and

設(shè)備進口關(guān)稅完稅證明(報關(guān)后2個星期之內(nèi))

·ReceiptofVAToftheequipment(within2weeksafterthecustomclearance)

設(shè)備進口增值稅完稅證明(報關(guān)后2個星期之內(nèi))

ThefreeofchargereplacementofdefectivepartsduringthewarrantyperiodprovidedbytheSellershallbevoidiftheBuyerisunabletosupplytheaforesaiddocuments.AlltaxesonsparepartsleviedbytheChinaGovernmentshallbebornebytheBuyer.

假如買方無法供應(yīng)上述單據(jù)，賣方在質(zhì)量保證期間對有缺陷的部件供應(yīng)的免費更換應(yīng)失效。中國政府對部件征收的全部稅賦應(yīng)由買方擔當。

18.INSPECTIONANDCLAIMS檢驗和索賠

UnlessotherwisespecificallyagreedheretoinwritingbytheSeller,theSellershallinspectandtestproductstoitsspecificationspriortodeliverytotheBuyer.TheBuyermay,atitsownexpense,inspectandtesttheproductssuppliedhereunderuponarrivalattheBuyer’sfacility.

除非賣方以書面方式作出特殊相反商定，賣方應(yīng)在向買方交付產(chǎn)品之前依據(jù)規(guī)格檢驗和測試產(chǎn)品。在貨物到達買方場所后，買方可以自負費用檢驗和測試本合同項下供應(yīng)的產(chǎn)品。

Within90daysafterthearrivalofthegoodsatdestination,shouldthequality,specifications,orquantitybefoundnotinconformitywiththestipulationsoftheContractexceptthoseclaimsforwhichtheinsurancecompanyortheownersofthevesselareliable,theBuyershall,onthestrengthoftheInspectionCertificateissuedbytheInspectionBureau,notifytheSellerpromptlyinwritingofanyclaimfordamagesorforcompensation.

在貨物到達目的地后90天之內(nèi)，假如發(fā)覺貨物的質(zhì)量、規(guī)格或數(shù)量與合同的規(guī)定不符，除非應(yīng)由保險公司和船東擔當責任之外，買方應(yīng)憑檢驗機構(gòu)出具的檢驗證書馬上以書面方式將任何損害賠償或賠償金的要求通知賣方。

18.ALIMITATIONOFLIABILITY

有限法律責任

Theliability,ifany,ofSellerandSeller’representativesarisingfromthisContractislimitedtoanamountnotexceedingthepriceoftheCommoditygivingrisetotheliability.

賣方及買方代表在本合同下的責任(如有)不會超過有關(guān)商品的價格。

18B.INDEMNIFICATION-IntellectualPropertyRightsInfringementclaims

彌償–侵害學問產(chǎn)權(quán)權(quán)利的申索

Incase(a)anon-appealablejudgment;or(b)theCommodityisbelievedbySellertoinfringesuchaclaim,Sellermay,atitsoption,(i)procuretherightfortheBuyertocontinuetousetheCommodity,(ii)replaceormodifytheCommoditytoavoidinfringement,or(iii)refundtothecustomerareasonableportionoftheCommoditypurchasepriceuponthereturnoftheoriginalCommodity.

假如(a)有不行上訴的判決;或(b)賣方信任商品侵害學問產(chǎn)權(quán)，賣方可以，自行作出選擇，(i)為買方獲取權(quán)利連續(xù)使用商品，(ii)替換或修改商品以避開侵權(quán)，或(iii)于退回商品時退還合理局部的商品價格。

TheabovestatesSeller’entireobligationandliability,andtheBuyer’ssoleremedyintheeventofaclaimofinfringement.

上術(shù)列出于侵害學問產(chǎn)權(quán)權(quán)利的申索狀況下賣方全部的責任以及買方的唯一補救。

19.SETTLEMENTOFCLAIMS理賠

IncaseoftheSellerisliableforthediscrepanciesandaclaimismadebytheBuyerwithintheperiodofclaimorqualityguaranteeperiodasstipulatedinClauses15to18ofthisContract,theSellershallsettletheclaimupontheagreementoftheBuyerinthefollowingways.

假如賣方應(yīng)對貨物的不符擔當責任，并且買方已經(jīng)在第15條至18條規(guī)定的索賠期限或質(zhì)量保證期內(nèi)提出索賠，賣方應(yīng)依據(jù)其與買方達成的協(xié)議以以下方式向買方理賠：

a)Anycomplaintsoferroneousdespatchand/orapparentdamagetothegoodssuppliedshallbenotifiedinwritinggivingthereasonfortherequesttoreturnthegoodsandthedateandnumberoftheSeller”sinvoice.IfreturnofthegoodsisagreeduponbytheSellerinwritingbymeansofareturnauthorisationnotice,thegoodsshallbeforwardedinaccordancewiththeSeller”sinstructions;allgoodsreturnedmustbepackedintheiroriginalpacking.

對于供應(yīng)的貨物的錯誤發(fā)運和/或顯而易見的損壞的投訴應(yīng)以書面方式通知要求退貨的理由以及賣方的發(fā)票日期和編號。假如賣方通過發(fā)出退貨許可通知的書面方式同意退貨，貨物應(yīng)依據(jù)賣方的指示發(fā)運，并且包裝應(yīng)為其原始包裝。

b)Devaluatethegoodsaccordingtothedegreeofinferiority,extentofdamageandamountoflossessufferedbytheBuyer.

依據(jù)質(zhì)量差的程度、損壞的程度和買方患病的損失金額，降低貨物的價款。

c)Replacethedefectivegoodswithnewoneswhichconformtothespecifications,qualityandperformancestipulatedinthisContract.

用全新的符合本合同規(guī)定的規(guī)格、質(zhì)量和功能的貨物更換有缺陷的貨物。

NogoodsmaybereturnedunlesstheSellerhavepreviouslyagreedinwritingtosuchreturnandtheBuyerhasfullyobservedanyconditionstheSellerhaveprescribed.UndernocircumstanceswilltheSelleracceptthereturnofgoodsspeciallyprocuredfortheBuyer.

除非賣方事先書面許可退貨并且買方遵守賣方制定的任何條件，否則任何貨物不得退回。在任何狀況下，賣方均不承受對于買方特地選購的貨物的退回。

20.FORCEMAJEURE:不行抗力

ShouldanythinghappenwhichpreventseitherPartyfromexecutingtheContractwhichcouldnotbecontrolled,avoidedandovercome,suchaswar,seriousfire,typhoon,earthquake,floodsandothercases,theconcernedPartyshallnotifytheotherPartybyfaxortelexwithintheshortestpossibletimeandsendbyregisteredairmailtotheotherPartyacertificateissuedbycompetentauthoritiesforconfirmationwithinfourteen(14)daysfollowingtheoccurrenceofthecaseofforcemajeure.

假如發(fā)生任何不能掌握、不能避開并且不能克制的大事防礙任何一方對本合同的履行，諸如戰(zhàn)斗、重大火災(zāi)、臺風、地震、水災(zāi)和其他大事，受到影響的一方應(yīng)在盡可能短的時間內(nèi)以傳真或電傳通知另一方，并且應(yīng)在該等不行抗力大事發(fā)生后14天內(nèi)以掛號航空的方式向另一方發(fā)出一份由主管機關(guān)出具的證明加以確認。

TheconcernedPartyshallnotberesponsibleforanydelayorfailureinperforminganyoralloftheobligationsduetotheeventofforcemajeure.However,theconcernedPartyshallinformtheotherPartybytelexorfaxtheterminationoreliminationofthecauseoftheforcemajeureassoonaspossible.

受到影響的一方不應(yīng)對不行抗力大事造成的延遲或未履行任何或全部義務(wù)擔當責任。然而，受到影響的一方應(yīng)盡快以傳真或電傳將不行抗力大事的終止或消退通知另一方。

ThePartiesshallproceedwiththeirobligationsimmediatelyafterthedatewhenthecaseofforcemajeurehasceasedortheeffectshavebeenremovedandthetermoftheContractshallbeextendedcorrespondingly.Shouldtheeffectsoftheforcemajeurementionedabovelastmorethanonehundredandtwenty(120)consecutivedays,bothPartiesshallsettlefurtherexecutionoftheContractthroughfriendlynegotiationsassoonaspossible.

雙方應(yīng)在不行抗力大事終止或其影響被消退之日馬上開頭履行各自的.義務(wù)，并且本合同的期限應(yīng)相應(yīng)地予以延長。假如上述不行抗力的影響持續(xù)120個連續(xù)日，雙方應(yīng)通過友好協(xié)商盡快解決本合同的進一步履行。

21.TERMINATIONOFCONTRACT合同終止

TheSellermayterminatethisContractwithoutprejudicetotheSeller’sanyotherrightorremediesintheeventthat:

在下述狀況下賣方可以終止本合同，并且其享有的其他權(quán)利和法律救濟不應(yīng)受到影響：

1)TheBuyerfailstopaymoneyowingtotheSellerinstrictaccordancewiththetermssetforthhereoforanyotheragreemententeredintobetweentheBuyerandtheSeller;or

買方未能嚴格依據(jù)本合同或者買賣雙方訂立的其他協(xié)議中規(guī)定的條款支付其欠付賣方的款項;或者

2)TheBuyerbecomesinsolventorbeadjudgedbankruptorwhereapetitiontowindupbuyeristobeorhasbeenpresented;or

買方資不抵債或者被判定破產(chǎn)或者要求買方清算的申請書已經(jīng)或者將要提交;或者

3)WheretheSellerhasagreedtosupplytheBuyerwithgoodsoncreditandtheBuyerhasexceededthatcreditlimitfixedbytheSeller;or

假如賣方已經(jīng)同意在賒銷的條件向買方供應(yīng)貨物，買方已經(jīng)超出了賒銷期限;或者

4)TheBuyerrefusestoacceptproductsdeliveredunderthetermshereunder.

買方拒絕承受依據(jù)本合同規(guī)定交付的產(chǎn)品。

IftheBuyershallforanyreasonterminatethisContractinwholeorinpart,thenoticeofterminationmustbegiveninwritingtotheSeller.TheSellershallthereuponceaseworkandtheBuyershallpaytheSellerthepriceprovidedintheContractforallgoodswhichhavebeenmanufactured,modifiedororderedbytheSellerpriortotheterminationandwhichconformtotheprovisionsoftheContract.SuchgoodsshallbedeliveredtotheBuyer.

無論何等緣由假如買方終止本合同，無論全部還是局部，終止通知必需以書面方式發(fā)送給賣方。據(jù)此賣方應(yīng)停頓工作并且買方應(yīng)向賣方支付在終止之前全部賣方已經(jīng)制造、修改或訂購并且符合合同規(guī)定的貨物在本合同項下規(guī)定的價款。該等貨物應(yīng)交付給買方。

22.ARBITRATION仲裁

AnydisputeorclaimarisingfromtheexecutionoforinconnectionwiththisAgreement,includinganyquestionregardingitsexistence,validity,orterminationshallbesettledamicablythroughfriendlynegotiation.Incasenosettlementcanbereachedthroughnegotiationwithinfifteen(15)daysafterwrittennotificationfromonepartytotheotherpartyoftheexistenceofthedispute,suchdisputeorclaimshallbereferredtoandfinallysettledbyarbitrationinShanghai/Shenzhen(“Arbitration”)inaccordancewiththeArbitrationRulesoftheChinaInternationalEconomicandTradeArbitrationCommission(“CIETACRules”)whichrulesaredeemedtobeincorporatedbyreferenceintothisclause.ThelawapplicabletotheArbitrationshallbethelawsofthePeople’sRepublicofCh
