鑒于你方向借款人供應(yīng)了一筆貸款，我行特此為借款人出具本保函并保證如下：

InconsiderationofyourmakingaloanavailabletotheBorrower_____weherebyissuethisguaranteefortheaccountoftheBorrowerandagreeasfollows:

1.我行在此無條件地不行撤消地保證，借款人在貸款到期或發(fā)生加速還款或其他狀況下，按時(shí)償還貸款協(xié)議(包括經(jīng)我行書面同意的對(duì)該協(xié)議的修改和補(bǔ)充)項(xiàng)下現(xiàn)時(shí)或?qū)淼牡狡诳铐?xiàng)。保證金額最高不超過_____美元(即貸款本金加利息的110%)。假如借款人到期不能歸還該等款項(xiàng)，我行將憑你方書面索賠馬上償還。除非有明顯的錯(cuò)誤，由你方授權(quán)官員簽發(fā)的載明該等應(yīng)還款細(xì)節(jié)及到期日的任何聲明應(yīng)是終局的并對(duì)我行具有約束力。

1.Weherebyunconditionallyandirrevocablyguaranteetomakerepaymentontime(thedueandpunctualpayment—1)uptotheamountofUSD_____(110%oftheprincipalplusaccruedinterest)whichisormaybecomerepayable(payable—2)bytheBorrowerundertheLoanAgreementbetweentheLenderandtheBorrowerwhichshallincludeallsubsequentamendmentsandsupplementsmadetotheLoanAgreement(theLoanAgreementasamendedorsupplementedfromtimetotime—3)withourconsentinwriting,whetheratmaturityoruponaccelerationorotherwise.IftheBorrowerfailstorepay(pay—4)anysuchsumwhendue,weshallpayyoutheamountonthedateofourreceiptofyourclaiminwriting.Anystatementsignedbyyourdulyauthorizedofficerthatgives(settingout—5)detailsandtheduedateofanysuchclaimshallbeconclusiveandbindingonusexceptinthecaseofmanifesterror.

2.本保函自開立之日起生效，直至_____(貸款協(xié)議到期后6個(gè)月)失效。隨著貸款協(xié)議項(xiàng)下本金的每一期償還，我行的擔(dān)保責(zé)任亦應(yīng)相應(yīng)遞減。我行在本保函項(xiàng)下的擔(dān)保責(zé)任將不受下列大事的影響：對(duì)借款人賜予延期還款等優(yōu)待;或貸款人不行使對(duì)借款人享有的權(quán)利;或由于本款規(guī)定可能影響我行在本保函項(xiàng)下責(zé)任的其他緣由或狀況，但前提是對(duì)該貸款協(xié)議的任何修改或補(bǔ)充須經(jīng)我行事前書面確認(rèn)，我行亦保證不會(huì)不合理地耽擱或拖延此種確認(rèn)。對(duì)本保函項(xiàng)下的索賠可隨時(shí)進(jìn)行，貸款人在向我行索賠前，無須實(shí)行任何措施以實(shí)現(xiàn)其對(duì)借款人或其繼承人的權(quán)利。

2.ThisGuaranteeshallbecome(be—6)effectiveonthedatehereofandshallexpireon_____(sixmonthsaftertheexpirydue—7)dateoftheLoanAgreement.FollowingeachrepaymentofprincipalundertheLoanAgreement,ourliabilityhereundershallbereducedaccordingly.OurliabilityhereundershallnotbeaffectedbythegrantingofanyindulgencetotheBorrower,orbyanydefectintherightsoftheLenderagainsttheBorrower,orbyanyothermatterorcircumstancewhich,duetothisprovision,mayaffectourliabilityhereunder,providedthatanyamendmentsorsupplementsto(of—8)theLoanAgreementaresubjecttoourpriorwrittenapprovalwhichweundertakewewillnot(undertakenotto—9)unreasonablywithhold(withhold—10)ordelay(delay—10).TheLendermayhereuponlodgedemandsuponusfromtimetotimeandwouldnotberequiredtotakeanysteptoexercisehisrightsagainsttheBorrowerbeforeclaiminguponus.

3.本保函項(xiàng)下索賠款的支付不得包括任何抵消、反索賠、限制以及豁免于任何現(xiàn)有或?qū)淼亩愂栈蚱渌蹨p或任何性質(zhì)的預(yù)留。假如在索賠款的支付中必需包含任何扣減或預(yù)留，我行除索賠款金額外，還將支付該等必要的附加費(fèi)用，從而確保貸款人得到應(yīng)收回的足額還款。

3.A1lpaymentsunderthisGuaranteeshallbemadewithoutanysetofforcounterclaimor(any—11)restrictionorexemptfrom(conditionandfreeof—12anypresentorfuturetaxesorotherdeductionsorwithholdingsofanynature.Ifanydeductionorwithholdingmustbeincludedinthepaymentoftheclaim(isrequiredtobemadefromanysuchpayment—13)weshall(togetherwithpayment—14)oftheclaim)paysuchadditionalamounttogetherwithpaymentoftheclaim(suchpayment—15)asisnecessarytoensuretheLender'sreceiptof(theLenderreceive—16)thefullamountduetohim(them—17).

4.我行在此確認(rèn)已獲得對(duì)本保函或與本保函有關(guān)的全部法人同意，認(rèn)可以及相應(yīng)政府部門或其他有關(guān)當(dāng)局的批準(zhǔn)，該等批準(zhǔn)是充分有效的。本保函的條款構(gòu)成我行合法、有效并具有約束力的責(zé)任，我行在本保函項(xiàng)下的責(zé)任將在任何時(shí)刻至少與我行其他未擔(dān)保以及非從屬債務(wù)處于同等地位，我行保證為此目的的全部必要授權(quán)始終是充分的、有效的。

4.Weherebyrepresentandundertakethatallcorporateconsentsandapproval，andapprovalfromthegovernmentaloranyotherauthoritiesinvolvedinthisGuaranteehavebeenobtainedandareinfullforceandeffect.ThisGuaranteeconstitutesourlegal.validandbindingobligationsenforceableinaccordancewithitsterms，andourobligationshereunderwillatalltimesrankatleastpari-passuwithallofourotherunsecuredandinsubordinate(unsubordinated—18)obligations.Weconfirm(willensure—19)thatallauthorizationsnecessaryforthispurposeremaininfullforceandeffect.

5.貸款人在本保函項(xiàng)下疏于或怠于行使任何權(quán)利或補(bǔ)救措施等，均不應(yīng)視為對(duì)該等權(quán)利的放棄;任何單項(xiàng)或部分行使上述權(quán)利也不能排解貸款人進(jìn)一步實(shí)行行動(dòng)或行使其他權(quán)利或補(bǔ)救措施的權(quán)利。假如在任何時(shí)候本保函的任何條款已是或變?yōu)榉欠āo效或在任何方面不行執(zhí)行，本保函其他條款的合法性、有效性及可執(zhí)行性均不應(yīng)受到影響或相應(yīng)降低。

5.NofailureordelaybytheLenderinexercisinganyright。powerorremedyunderthisGuaranteeshalloperateaswaiverthereof，norshallanysingleorpartialexerciseofthesameprecludeanyfurtherexercisethereofortheexerciseofanyotherright，powerorremedy.Ifatanytimeanyprovisioninthisguarantee(hereof—20)isorbecomesillegal，invalidorunenforceableinanyrespect，neitherthelegality，validityorenforceabilityoftheremainingprovisionshereinshallinanywaybeaffectedorimpairedthereby.

6.我行將償付貸款人因行使其在本保函項(xiàng)下權(quán)利而發(fā)生的全部合理費(fèi)用(包括律師費(fèi)用)。

6.WeshallreimbursetheLenderforallreasonable(feesand—21)expenses(includinglawyer'sfee)incurredinconnectionwiththeenforcementofhisrightshereunder.

7.我行將對(duì)本保函項(xiàng)下的任何遲付金額按借款人應(yīng)用的利率水平支付利息，該付息期間的計(jì)算從你方索償之日起，直至實(shí)際付款日止(在判決前或判決后)。

7.Weshallpayinterestonanyamountduehereunderfromthedateofdemandtothedateofactualpayment(beforeandafterjudgement)attherate0rrateswhichshouldbeapplied(wouldbepayable—23)bytheBorrower.

8.未經(jīng)我行事前書面同意，本保函項(xiàng)下的權(quán)益不行以轉(zhuǎn)讓，我行亦確認(rèn)不會(huì)不合理地拖延該等同意。

8.ThebenefitofthisGuaranteemaynotbeassignedwithoutourpriorwrittenconsent，suchconsentnottobeunreasonablywithheld.

9.本保函應(yīng)確保貸款人和其相應(yīng)后繼者的權(quán)益。不論我行或我行相應(yīng)后繼者的組織和機(jī)構(gòu)有任何變化，在保函項(xiàng)下的義務(wù)對(duì)我行及我行后繼者持續(xù)具有約束力。在不違反上述第8條的狀況下，貸款人可以將其在本保函項(xiàng)下或由于本保函、貸款協(xié)議及其他擔(dān)保契約(依據(jù)貸款協(xié)議的定義)而派生的權(quán)利或權(quán)益全部或部分地轉(zhuǎn)讓給任何他人。

9.ThisGuaranteeshallassure(ensuretothebenefitof—24)theLenderandhis(their—25)successor/Sofhis/theirrightsandinterests(its—26).Ourobligationshereundershallbebindingonusandoursuccessor/snotwithstandinganychangeinourconstitutionorstatusorthatofOursuccessor/S.Subjectt0Article8above,theLendermayassigntoanyotherpersonalloranypartofhis(its—27)rightsandbenefitsunderorarisingfromthisGuarantee,theLoanAgreementandanyothersecuritydocuments(asdefinedintheLoanAgreement)(subjecttoArticle8above—28).

10.我行在此確認(rèn)本保函的簽定和執(zhí)行是一種商業(yè)行為，并同意放棄實(shí)行與本保函有關(guān)的任何法律行為或程序的豁免權(quán)。

10.Weconfirmthatthesigningandexecution(andperformance—29)ofthisGuaranteeareacommercialactandagreenottoclaimanyimmunityfromanylegalactionorproceedinginconnectionherewith.

11.本保函受中華人民共和國(guó)法律管轄并按其法律解釋，我行將不行撤消地接受中華人民共和國(guó)法院的司法管轄。

1.假如發(fā)生這樣的狀況，即：賣方變得有義務(wù)支付該輪船、其船體、機(jī)械和部件、設(shè)備修理和/或更換任何劣質(zhì)部件(擔(dān)保項(xiàng)目)的有關(guān)費(fèi)用，而這些項(xiàng)目正是賣方依據(jù)造船合同第×條規(guī)定所保證的項(xiàng)目，

1.intheeventthattheSellershallbecomeliabletopaythecostoftherepairand/orreplacementsinrespectofanydefectsoftheVessel,herHull,hermachineryandallpartsandequipmentthereof(theGuaranteeItems)whicharethesubjectofguaranteebytheSellerundertheprovisionsofArticle______oftheShippingContract;and,

2.假如發(fā)生賣方未能根據(jù)本保函的條款支付上述費(fèi)用的狀況，則我們應(yīng)在收到你方書面索賠后×工作日之內(nèi)向你方支付這樣的一筆或數(shù)筆等額款項(xiàng)，但該書面索賠應(yīng)附帶下列材料：

A.(1)買方致賣方信件的副本，該信件通知了賣方買方已經(jīng)索賠的劣質(zhì)項(xiàng)目，同時(shí)說明其性質(zhì)以及由此造成的損害程度，并附帶：

a.賣方確認(rèn)依據(jù)保函規(guī)定對(duì)劣質(zhì)項(xiàng)目應(yīng)加以補(bǔ)救的信件;

(a)letteroftheSeller'sacceptanceofthesaiddefectasjustifyingremedyundertheGuaranteeprovisions,or

b.買方出具的證明，申明在上述通知后×日內(nèi)沒有得到賣方的回應(yīng);和

(b)acertificatefromtheBuyerstatingthatnoresponsewasreceivedfromtheSellerwithin

a.有關(guān)造船廠、制造商或供貨人出具的一張或數(shù)張?jiān)及l(fā)票(一式兩份)并經(jīng)船廠質(zhì)量保證工程師簽署(按造船合同規(guī)定)或

(a)anoriginalinvoiceorinvoices(induplicate)fromtherelevantShipyard,manufacturerorsupplier,whichshallbecountersignedbytheShipyard'sguaranteeengineer(asdefinedintheShippingContract),or

b.有關(guān)造船廠、制造商或供貨人出具的一張或數(shù)張?jiān)及l(fā)票(一式兩份)，連同經(jīng)信譽(yù)良好的損壞評(píng)級(jí)機(jī)構(gòu)鑒定員簽署的證明書。

(b)anoriginalinvoiceorinvoices(induplicate)fromtherelevantShipyard,manufacturerorsupplier,togetherwithacertificatesignedbyareputableclassificationsocietysurveyor;
