STANDBYTRUSTAGREEMENT

StandbyTrustAgreement(the"Agreement")enteredintoasof ,20 byandbetween[NameofCompanyprovidingfinancialassurance],a[identifyState]corporationwithaprincipalplaceofbusinessat[AddressofCompany](the"Grantor")and[NameandAddressofTrustee,usuallyabank](the"Trustee").

PREAMBLE

TheGrantorownsandoperatesasolidwastefacilitylocatedat[AddressofFacility](the"Facility").TheFacilityconsistsof[DescriptionofFacility]andispermittedbytheNewHampshireDepartmentofEnvironmentalServices(DES)underSolidWasteManagementFacilityStandardPermitNo. (the"Permit").ThePermitwasissuedon[DateofIssuance].

TheGrantorisrequiredunderthelawsoftheStateofNewHampshire,inparticularNewHampshireRSA149-Mandtheregulationsdulypromulgatedthereunderastheymaybeamendedfromtimetotime,andunderthetermsofthePermit,toperformclosureoftheFacilityattheendoftheFacility'soperationsandtoprovidethenecessarythirtyyearpost-closuremonitoringandmaintenanceoftheFacility.Theclosureandpost-closureactivitiesthatmustbeperformedbytheGrantoraresetforthintheFacility'sapprovedclosureplan,incorporatedinthePermit,asitmaybeamendedfromtimetotimewiththeapprovalofDES.

TheGrantorisfurtherrequiredtoprovidefinancialassurancetotheStateofNewHampshirethatfundswillbeavailableinthefuturetocoverthecostofallrequiredclosureandpost-closureactivitiesoftheFacility.TheGrantorhaselectedtosatisfyitsobligationtoprovidefinancialassurancefortheFacilitybyobtaininga[SuretyBond/LetterofCredit]intheamountof$ from[IdentificationofIssuer]andbyestablishingthisstandbytrustagreement,bothforthebenefitoftheStateofNewHampshire.

TheGrantor,actingthroughitsdulyauthorizedofficers,hasselectedtheTrusteetofulfilltheobligationsidentifiedfortheTrusteeunderthisAgreementandtheTrusteeiswillingtoactinthatcapacityandtofulfillitsobligationsunderthisAgreement.

THEREFORE,theGrantorandtheTrusteeagreeasfollows:

Section1.IdentificationofFacilityandClosureWork.

(a)ThisAgreementpertainstotheFacility,asmorespecificallydescribedinthePermit,theClosureWorkandtothe[SuretyBond/LetterofCredit],acopyofwhichisattachedasAppendixA.NoprovisionisherebymadeforclosureofotherexistingorproposedphasesoftheFacility.

(b)TheClosureWorkisdefinedasallwork,materials,labororotherservicesrequiredundertheFacility'sclosureplan,permits,approvalsrelatedtheretoand/orlawsandrulesoftheStateofNewHampshire,astheymaybeamendedfromtimetotime,tocarryoutclosureand30yearsofpost-closuremonitoringandmaintenanceoftheFacility.

(c)CurrentestimatesforthecostoftheClosureWorktotal$ .ThecostoftheClosureWorkmayberevisedfromtimetotimeasnecessarytomoreaccuratelyreflectactualanticipatedcosts.

Section2.EstablishmentofFund.PursuanttotheconditionsofthisAgreement,theGrantorandtheTrusteeherebyestablishastandbytrustfund(the"Fund")forthebenefitoftheStateofNewHampshire,throughitsDepartmentofEnvironmentalServices,WasteManagementDivision.TheFundisdedicatedexclusivelytotheClosureWorkattheFacility.TheGrantorandtheTrusteeintendthatnothirdpartyhaveaccesstotheFundexceptashereinprovided.TheCommissionerofDES,ortheCommissioner'sdulyappointeddesignee,shallexerciseallpowersandresponsibilitiesgiventotheStateofNewHampshireherein.TheCommissionermaydesignateanotherstateofficialtoexercisethosepowersandresponsibilitiesinhisorhersteadwithtendayswrittennoticetotheTrusteeandGrantor.

Section3.PaymentComprisingtheFund.

(a)TheFundisestablishedinitiallywiththedeliveryanddepositofthe[SuretyBond/LetterofCredit]withtheTrustee.Theamountguaranteedunderthe[SuretyBond/LetterofCredit]shallbedepositedintheFundintheeventpaymentistriggeredunderthe[SuretyBond/LetterofCredit]andfundsarereceivedbytheTrustee.

(b)TheFundwillconsistofmoniespaidunderthe[SuretyBond/LetterofCredit],anyothercashorsecuritiesacceptabletotheTrusteesubsequentlydepositedintheFund,andallearnings,interestandprofitsthereon,lessanypaymentsordistributionsmadebytheTrusteepursuanttothisAgreement.

(c)TheFundshallbeheldbytheTrustee,intrust,ashereinafterprovided.TheTrusteeshallnotberesponsiblenorshallitundertakeanyresponsibilityfortheamountoradequacyofanypaymentsnecessarytodischargeanyobligationsoftheGrantor,norshalltheTrusteehaveanydutytocollectsuchpaymentsfromtheGrantororSurety.

Section4.PaymentforClosureWork.Uponreceiptoffundsfromthe[Surety/LetterofCreditIssuer],theTrusteeshallmakepaymentsfromtheFundastheCommissionershalldirectinwritingtoprovideforthepaymentoftheClosureWorkconsistentwiththisAgreement.TheTrusteeshallreimbursetheGrantororotherpersonsasspecifiedbytheCommissionerfromtheFundforClosureWorkexpendituresinsuchamountsastheCommissionershalldirectinwriting.Inaddition,theTrusteeshallrefundtotheGrantorsuchamountsasDESspecifiesinwriting.Uponrefund,suchrefundsshallnolongerconstitutepartoftheFundasdefinedherein.TheTrusteeshallaccountforeachdisbursementfromtheFundconsistentwiththeCommissioner'sinstructions.TheTrusteeshallnotifytheCommissionerandtheGrantorwhenallmonieshavebeendisbursed.

Section5.TrusteeManagement.TheTrusteeshallinvestandreinvesttheprincipalandincomeoftheFundandkeeptheFundinvestedasasinglefund,withoutdistinctionbetweenprincipalandincome,inaccordancewithgeneralinvestmentpoliciesandguidelineswhichtheGrantormaycommunicateinwritingtotheTrusteefromtimetotime,subjecttotheprovisionsofthisSectionandstatelaw.AllinvestmentsshallprovideforthepreservationoftheprincipaloftheFund.Ininvesting,reinvesting,exchanging,selling,andmanagingtheFund,theTrusteeshalldischargehisdutieswithrespecttotheFundsolelyintheinterestofDES,thebeneficiary,andwiththecare,skill,prudenceanddiligenceunderthecircumstancesthenprevailingwhichpersonsofprudence,actinginalikecapacityandfamiliarwithsuchmatters,woulduseintheconductofanenterpriseofalikecharacterandwithlikeaims;exceptthat:

(a)SecuritiesorotherobligationsoftheGrantor,oranyotherowneroroperatorofthefacilities,oranyoftheiraffiliatesasdefinedintheInvestmentCompanyActof1940,asamended,15U.S.C.80a-2.(a),shallnotbeacquiredorheld,unlesstheyaresecuritiesorotherobligationsofthefederalorastategovernment;

(b)TheTrusteeisauthorizedtoinvesttheFundintimeordemanddepositsoftheTrustee,totheextentinsuredbyanagencyofthefederalorstategovernment;and

(c)TheTrusteeisauthorizedtoholdcashawaitinginvestmentordistributionun-investedforareasonabletimeandwithoutliabilityforthepaymentofinterestthereon.

Section6.ComminglingandInvestment.TheTrusteeisexpresslyauthorizedinitsdiscretion:

(a)TotransferfromtimetotimeanyoralloftheassetsoftheFundtoanycommon,commingled,orcollectivetrustfundcreatedbytheTrusteeinwhichtheFundiseligibletoparticipate,subjecttoalloftheprovisionsthereof,tobecommingledwiththeassetsofothertrustsparticipatingtherein;and

(b)TopurchasesharesinanyinvestmentcompanyregisteredundertheInvestmentCompanyActof1940,15U.S.C.80a-1etseq.,includingonewhichmaybecreated,managed,underwritten,ortowhichinvestmentadviceisrenderedorthesharesofwhicharesoldbytheTrustee.TheTrusteemayvotesuchsharesinitsdiscretion.

Section7.ExpressPowersofTrustee.WithoutinanywaylimitingthepowersanddiscretionsconferredupontheTrusteebytheotherprovisionsofthisAgreementorbylaw,theTrusteeisexpresslyauthorizedandempowered:

(a)Tosell,exchange,convey,transfer,orotherwisedisposeofanypropertyheldbyit,bypublicorprivatesale.NopersondealingwiththeTrusteeshallbeboundtoseetotheapplicationofthepurchasemoneyortoinquireintothevalidityorexpediencyofanysuchsaleorotherdisposition;

(b)Tomake,execute,acknowledge,anddeliveranyandalldocumentsoftransferandconveyanceandanyandallotherinstrumentsthatmaybenecessaryorappropriatetocarryoutthepowershereingranted;

(c)ToregisteranysecuritiesheldintheFundinitsownnameorinthenameofanomineeandtoholdanysecurityinbearerformorinbookentry,ortocombinecertificatesrepresentingsuchsecuritieswithcertificatesofthesameissueheldbytheTrusteeinotherfiduciarycapacities,ortodepositorarrangeforthedepositofsuchsecuritiesinaqualifiedcentraldepositaryeventhough,whensodeposited,suchsecuritiesmaybemergedandheldinbulkinthenameofthenomineeofsuchdepositarywithothersecuritiesdepositedthereinbyanotherperson,ortodepositorarrangeforthedepositofanysecuritiesissuedbytheUnitedStatesGovernment,oranyagencyorinstrumentalitythereof,withaFederalGovernment,oranyagencyorinstrumentalitythereof,withaFederalReservebank,butthebooksandrecordsoftheTrusteeshallatalltimesshowthatallsuchsecuritiesarepartoftheFund;

(d)TodepositanycashininterestbearingaccountsmaintainedorsavingscertificatesissuedbytheTrustee,initsseparatecorporatecapacity,orinanyotherbankinginstitutionaffiliatedwiththeTrustee,totheextentinsuredbyanagencyoftheFederalorStategovernment;and

(e)TocompromiseorotherwiseadjustallclaimsinfavoroforagainsttheFund.

Section8.TaxesandExpenses.AlltaxesofanykindthatmaybeassessedorleviedagainstorinrespectoftheFundandallbrokeragecommissionsincurredbytheFundshallbepaidfromtheFund.AllotherexpensesincurredbytheTrusteeinconnectionwiththeadministrationofthisTrustshallbepaidbytheGrantor,includingfeesforlegalservicesrenderedtotheTrustee,thecompensationoftheTrustee,andallotherproperchargesanddisbursementsoftheTrustee.IntheeventtheGrantorfailstopaytheTrusteeinaccordancewiththisSectionandwrittendemandontheGrantorforpaymentdoesnotresultinpromptpayment,theTrusteeisentitledtopaymentfromtheFundafterwrittennotificationtoDES.

Section9.AnnualValuation.TheTrusteeshallannually,afterthefirstdepositofmoniesfromthe[SuretyBond/LetterofCredit],atleast30daysbeforetheanniversarydateofthefirstdeposit,furnishtotheGrantorandtotheCommissionerastatementconfirmingthevalueoftheFund.AnysecuritiesintheFundshallbevaluedatmarketvalueasofnomorethan60daysbeforetheanniversarydateofthefirstdeposit.

Section10.AdviceofCounsel.TheTrusteemayfromtimetotimeconsultwithcounsel,whomaybecounseltotheGrantor,withrespecttoanyquestionarisingastotheconstructionofthisAgreementoranyactiontobetakenhereunder.TheTrusteeshallbefullyprotected,totheextentpermittedbylaw,inactingupontheadviceofcounsel.TotheextenttheTrusteeconsultswithcounselfortheGrantorwithrespecttoquestionsconcerningtheinterpretationofthisAgreement,oractionstobetakenhereunder,theTrusteeshallbefullyprotected,totheextentpermittedbylaw,inactingupontheadviseofsuchcounsel,iftheTrusteehascommunicatedsuchquestionsandproposedinterpretationsoradvicetotheCommissionerinwriting,andiftheCommissionerhasnotobjectedtotheproposedinterpretationoradvicewithin30daysofnotification.

Section11.TrusteeCompensation.TheTrusteeshallbeentitledtoreasonablecompensationforitsservicesasagreeduponinwritingfromtimetotimewiththeGrantor.

Section12.SuccessorTrustee.TheTrusteemayresignortheGrantormayreplacetheTrustee,butsuchresignationorreplacementshallnotbeeffectiveuntiltheGrantorhasappointedasuccessortrustee,DESapprovestheproposedsuccessor,andthesuccessoracceptstheappointment.ThesuccessortrusteeshallhavethesamepowersanddutiesasthoseconferredupontheTrusteehereunder.Uponthesuccessortrustee'sacceptanceoftheappointment,theTrusteeshallassign,transfer,andpayovertothesuccessortrusteethefundsandpropertiesthenconstitutingtheFund.IfforanyreasontheGrantorcannotordoesnotactintheeventoftheresignationoftheTrustee,theTrusteemayapplytoacourtofcompetentjurisdictionfortheappointmentofasuccessortrusteeorforinstructions.ThesuccessortrusteeshallspecifythedateonwhichitassumesadministrationofthetrustinawritingsenttotheGrantor,DES,andthepresentTrusteebycertifiedmailtendaysbeforesuchchangebecomeseffective.AnyexpensesincurredbytheTrusteeasaresultoftheactscontemplatedbythisSectionshallbepaidbytheGrantorasprovidedinSection8.

Section13.InstructionstotheTrustee.Allorders,requests,andinstructionsbytheGrantortotheTrusteeshallbeinwriting,signedbysuchpersonsasaredesignatedinAppendixBorsuchothersasmaybedesignatedbyamendmenttoAppendixB.TheTrusteeshallbefullyprotectedinactingwithoutinquiryinaccordancewiththeGrantor'sorders,requests,andinstructionswhereGrantorisauthorizedunderthisAgreementtoissuesuchorders,requestsandinstructions.Allorders,requestsandinstructionsbyDEStotheTrusteeshallbeinwriting,signedbytheCommissioner.TheTrusteeshallactandshallbefullyprotectedinactinginaccordancewithsuchorders,requests,andinstructions.TheTrusteeshallhavetherighttoassume,intheabsenceofwrittennoticetothecontrary,thatnoeventconstitutingachangeoraterminationoftheauthorityofanypersononbehalfoftheGrantororDEShasoccurred.TheTrusteeshallhavenodutytoactintheabsenceofsuchorders,requestsandinstructionsfromtheGrantorand/orDES,exceptasprovidedforherein.IntheeventthattheTrusteereceivescontradictinginstructionsfromtheGrantorandtheCommissioner,orintheeventofadisputebetweentheGrantorandtheCommissioner,theTrusteeshallbeentitledtorelyandactupontheinstructionsoftheCommissionerwithoutincurringanyliabilityandobligationwithrespecttotheGrantor.

Section14.AmendmentofAgreement.ThisAgreementmaybeamendedbyaninstrumentinwritingexecutedbytheGrantorandtheTrustee,afterapprovalbyDES,orbytheTrusteeandDESiftheGrantorceasestoexistandhasnosuccessororassign.

Section15.IrrevocabilityandTermination.SubjecttotherightofthepartiestoamendthisAgreementasprovidedinSection14,thisTrustshallbeirrevocableandshallcontinueuntilterminatedasprovidedbelow.TheFundshallterminateattheearliestof:

(a)ThewrittenagreementoftheGrantor,theTrusteeandtheCommissioner,orbytheTrusteeandtheCommissioner,iftheGrantorceasestoexistandhasnosuccessororassign.

(b)CertificationbytheCommissionerthattheClosureWorkattheFacilityhasbeenfullycompleted.

UponterminationoftheFund,allpropertyremainingintheFund,lessfinaltrustadministrationexpensesshallbedeliveredtotheGrantor.

Section16.ImmunityandIndemnification.TheTrusteeshallnotincurpersonalliabilityofanynatureinconnectionwithanyactoromission,madeingoodfaith,intheadministrationofthisFund,orincarryingoutanydirectionsbytheGrantororDESissuedinaccordancewiththisAgreement.TheTrusteeshallbeindemnifiedandsavedharmlessbytheGrantoror,ifrecourseagainsttheGrantorfails,fromtheFundfromandagainstanypersonalliabilitytowhichtheTrusteemaybesubjectedbyreasonofanyactorconductinitsofficialcapacity,includingallexpensesreasonablyincurredinitsdefenseintheeventtheGrantorfailstoprovidesuchdefense.

Section17.ChoiceofLaw.ThisAgreementshallbeadministered,construed,andenforcedaccordingtothelawsoftheStateofNewHampshire.

Section18.Interpretation.AsusedinthisAgreement,wordsinthesingularincludethepluralandwordsinthepluralincludethesingular.ThedescriptiveheadingsforeachSectionofthisAgreementshallnotaffecttheinterpretationorthelegalefficacyofthisAgreement.

Section19.SuccessorsandAssigns.ThisAgreementshallinuretothebenefitofandbebindinguponthesuccessorsandassignsofthepartieshereto.TheGrantormaynotassignitsrightsandobligationsunderthisAgreementtoanyotherpartywithoutthepriorwrittenconsentoftheCommissioner.

Section20.IncorporationofPreamble.ThepartiestothisAgreementadoptandincorporat
