AnyoftheforegoingofficerswhoceasestobeashareholderintheCorporation

shallsubmithisorherresignationtothecorporationwhenheorshetransfers

4（a）。Theundersignedshareholdersagreeanyactiontakenatameetingofthe

shareholdersthatreceivesavoteinfavoroflessthan________%ofthe

shareholdersmaybesubjecttoactionfromthedissentingshareholders.Theymaythesharesofthecorporationownedbythedissenter（s）atapricepershare

thisagreement.Anysuchoffershallbemadeinwritingandshallremainopen

fortheacceptanceofthecorporationforaperiodofnolessthan______days.

Shouldthecorporationaccepttheoffer，itmustagreeinwritingtopurchase

theentireamountofstockofferedandshallmakeadownpaymentcomprisedof

thisagreement.Thisagreementshallnotbarasale，transfer，assignment，or

bequestsharesofstockbyoneoftheundersignedshareholderstoamemberof

hisorherimmediatefamily，whoshall，however，takehisorherstocksubject

toalltheprovisionsandlimitationsofthisagreement.

4（c）。Thepartiestothisagreementagreethatuponthedeathof

legalrepresentativesofthedeceasedshall，within________days，offertosell

totheCorporationallthesharesofstockownedbythedeceasedatthetimeof

herfamilyshallterminateanyandallinterestintheCorporationandthatany

7.Shouldanydisputearisebetweentwoormoreofthepartiestothisagreement
