1 定義1.1 本協(xié)議下列術語應解釋為:1）“協(xié)議”系指買賣雙方簽署的協(xié)議中載明的買賣雙方達成的協(xié)議，涉及所有的附件、附錄和上述文獻所提到的構成協(xié)議的所有文獻，但各方在協(xié)議中明確指明不作為各方實質性權利義務約定，而僅作為履行相關程序而訂立的格式文獻除外。2）“協(xié)議價”系指根據本協(xié)議規(guī)定賣方在對的地完全履行協(xié)議義務后買方應支付給賣方的價格。3）“貨品”系指賣方根據本協(xié)議規(guī)定須向買方提供的一切設備、機械和/或其它材料。4）“隨著文獻”指依照中華人民共和國法律規(guī)定的本協(xié)議設備出廠時應當一并提供的文獻和資料，涉及安全技術規(guī)范規(guī)定的設計文獻、產品質量合格證明、安裝及使用維修說明、辦理監(jiān)督檢查證明文獻所需的其他文獻。5）“隨著服務”系指根據本協(xié)議規(guī)定賣方承擔與供貨有關的輔助服務，如運送、保險以及其它的隨著服務，例如設計、安裝技術指導、調試、提供技術支持、培訓和協(xié)議中規(guī)定賣方應承擔的其它義務。6）“協(xié)議條款”系指本協(xié)議條款。7）“買方”系指在協(xié)議條款中指明的購買貨品和服務的單位，指四川省攀西靈山旅游投資開發(fā)有限公司。8）“賣方”系指在協(xié)議條款中指明的提供本協(xié)議項下貨品和服務的公司或實體，POMAGALSKI公司（以下簡稱“波馬法國”）、波馬嘉仕其（北京）索道有限責任公司（以下簡稱“波馬北京”）。9）“買方進口代理”系指為買賣雙方本次設備進口提供買方進口代理服務的公司，指10）“項目現場”系指本協(xié)議項下貨品安裝、運營的現場，指中國四川冕寧縣靈山景區(qū)索道的施工現場。11）“交貨現場”指中國四川冕寧縣靈山景區(qū)索道下站。12）“天”指日歷天數。13）“驗收證書”指由中國國家客運架空索道安全監(jiān)督檢查中心簽署的證明，以表達按照協(xié)議條款及附件所規(guī)定的協(xié)議設備安裝完畢且性能測試順利完畢，協(xié)議設備批準投入使用的相關證明文獻。1DEFINITIONSInthiscontract,thefollowingtermsshallbeinterpretedasindicated:“TheContract”meanstheagreemententeredintobetweenTheBuyerandSeller,asrecordedintheContractsignedbytheparties,includingallattachmentsandappendicestheretoandalldocumentsincorporatedbyreferencetherein,withtheexceptionofthoseformatdocumentsasspecifiedintheagreementnotforsubstantialrightsandobligationbindingofthepartieswhereasforimplementingrelevantproceduresonly.“TheContractPrice”meansthepricepayabletoTheSellerbyTheBuyerundertheContractforthefullandproperperformanceofitscontractualobligations.“TheGoods”meansalloftheequipment,machinery,and/orothermaterials,whichTheSellerisrequiredtosupplytoTheBuyerundertheContract.“TheIncidentalDocuments”meansthosedocumentsandmaterialsthatshallbeprovidedwhenthecontractualequipmentleavesthefactoryinaccordancewiththelawsofPeople’sRepublicofChina,includingthedesigndocumentasrequiredbythesafetytechnicalcode,productqualityqualificationcertificate,installationusageandmaintenanceinstruction,andotherdocumentneededforsupervisioninspectiondocumentaryevidence.“TheIncidentalServices”meansthoseservicesancillarytothesupplyoftheGoods,suchastransportationandinsurance,andanyotherincidentalservices,suchasdesign,installationsupervision,commissioning,provision協(xié)議范圍2.1買方批準從賣方購買，賣方批準向買方提供協(xié)議設備:單線循環(huán)脫掛抱索器八人吊廂式索道一套（含配件和隨著文獻），以及使協(xié)議設備在現場能按照本協(xié)議及其附件的規(guī)定順利運營（設備安裝中安裝方責任導致的問題除外）的涉及不限于該協(xié)議設備的設計、技術服務及技術培訓、售后服務、質量保證等附屬服務，本協(xié)議中統(tǒng)一稱為協(xié)議設備。2.2在初步設計的線路圖（見附件）請?zhí)顚懜郊幪査s定的上下站點不變的情況下，最終線路圖在不增長吊箱數量和改變索道中心線的情況下，賣方將對協(xié)議設備及備件清單的完整性及準確性負責，不因附件2、附件3、附件4、附件5（以下稱為“建議清單”）缺項＼漏項而免去責任，或規(guī)定增長協(xié)議包干價款。在買方根據賣方提供的說明和手冊（涉及日記）恰本地安裝、操作和維護了協(xié)議設備、配件的情況下，如發(fā)現某些部件缺失（買方因素導致的丟失除外），賣方將無償地、及時地向買方提供缺失部件。若最終交貨范圍低于或少于建議清單的應當相應減少協(xié)議價款。請?zhí)顚懜郊幪柸糇罱K線路圖需要增長吊箱數量和索道中心線改變的，按照“建議清單”中分項報價擬定。2.3協(xié)議設備保質期內，因質量問題不能正常使用的設備和配件賣方有義務免費并及時的向買方提供，并按照規(guī)定提供售后服務。2.4根據買方規(guī)定，賣方有義務向買方提供協(xié)議設備保質期屆滿后的設備、備件和售后服務，雙方屆時將另簽協(xié)議，但賣方保證給予中華人民共和國國內客戶最優(yōu)惠條件。2.5備件和設計內吊箱增補的賣方承諾：2.5.1增補的備件和吊箱，賣方應當按照協(xié)議質保規(guī)定為其承擔質保義務；2.5.2在備件和吊箱停止生產的情況下，賣方應事先將要停止生產的計劃告知買方，使買方有足夠的時間采購所需的備件和吊箱；2.5.3在備件和吊箱停止生產后，假如買方規(guī)定，賣方應免費向買方提供備件的藍圖、圖紙、規(guī)格和材質；2.6賣方應當對買方指定的安裝公司進行具體的技術交底，并指派技術人員在項目現場對設備安裝進行技術指導。2.SCOPEOFCONTRACT3原產地3.1本協(xié)議項下所提供的貨品及服務均應來自于中華人民共和國或與中華人民共和國有正常貿易往來的國家和地區(qū)（以下簡稱“合格來源國”）。3.2本條款所述的“原產地”是指貨品生產或提供有關服務的來源地。所述的“貨品”是指制造、加工或實質上裝配了重要部件而形成的貨品。商業(yè)上公認的產品是指在基本特性、性能或功能上與部件有著實質性區(qū)別的產品。3.3貨品和服務的原產地有別于賣方的國籍。3COUNTRYOFORIGINrecognisedproductresultsthatissubstantiallydifferentinbasiccharacteristicsorinpurposeorutility4標準4.1 本協(xié)議下交付的貨品應符合中華人民共和國有關客運索道相關規(guī)定和標準。假如中華人民共和國內沒有合用標準的，則應符合貨品來源國合用的官方標準。這些標準必須是有關機構發(fā)布的最新版本的標準。4.2 除非協(xié)議中另有規(guī)定，計量單位均采用中華人民共和國法定計量單位。4 STANDARDS4.1 TheGoodssuppliedunderthisContractshallconformtotherequirementsandstandardsrelatingtopassengerropewayoftheP.R.C.,and,whennoapplicablestandardismentionedinP.R.C.,totheauthoritativestandardsappropriatetotheGoods’countryoforigin.Suchstandardsshallbethelatestissuedbytheconcernedinstitution.4.2 AllmeasurementsshallbethemeasuringunitofficiallypublishedbyPRC,unlessotherwisespecifiedintheTechnicalSpecifications.5 使用協(xié)議文獻和資料5.1沒有其他方事先書面批準，協(xié)議任何一方不得將由另一方提供的有關協(xié)議或任何協(xié)議條文、規(guī)格、計劃、圖紙、模型、樣品或資料提供應與履行本協(xié)議無關的任何其別人。即使向與履行本協(xié)議有關的人員提供，也應注意保密并限于履行協(xié)議必須的范圍。5.2沒有其他方事先書面批準，除了履行本協(xié)議之外，協(xié)議任何一方不應使用協(xié)議條款第5.1條所列舉的任何文獻和資料。5.3協(xié)議各方應保護對方對所有違反本協(xié)議第五條規(guī)定使用技術文獻和資料的索賠并在向其提交此類索賠后三十天內補償相稱于不妥使用文獻和/或資料當時市值五倍的金額。5 USEOFCONTRACTDOCUMENTSANDINFORMATION5.1 Anypartyshallnot,withoutpriorwrittenconsentoftheotherparties,disclosetheContract,oranyprovisionthereof,oranyspecification,plan,drawing,pattern,sample,orinformationfurnishedbyoronbehalfofthepartyinconnectiontherewith,toanypersonotherthanapersonemployedbythemintheperformanceoftheContract.Disclosuretoanysuchemployedpersonshallbemadeinconfidenceandshallextendonlysofarasmaybenecessaryforpurposesofsuchperformance.5.2 Anypartyshallnot,withoutpriorwrittenconsentoftheotherparties,makeuseofanydocumentorinformationenumeratedinContractClause5.1exceptforpurposesofperformingtheContract.5.3 AllpartiesshallindemnifytheotherpartiesagainstallclaimsofinfringementarisingfromtheuseofdocumentsorinformationinviolationtoClause5oftheContractandshallpayacompensationwithinthirty(30)daysaftersuchclaimshandedovertotheotherpartiesintheamountofequaltofive(5)timesthemarketvalueofthegoodsrelatedtothedocumentsand/orinformationmisused.

6知識產權賣方應保證，買方在中華人民共和國境內使用該貨品或貨品的任何一部分時，免受第三方提出的侵犯其專利權、商標權、知識產權及非專利技術等的起訴。6 INTELLECTUALPROPERTYTheSellershallindemnifytheBuyeragainstallthirdclaimsofinfringementofpatent,trademark,intelligencepropertyornon-patentrightsetc.arisingfromuseoftheGoodsoranypartthereofinthePRC.7設計及設計聯絡7.1買方應當按照中華人民共和國有關客運索道設計規(guī)定提供附件2第三條第1款約定的設計實現。7.2進度規(guī)定：7.2.1買方向賣方交付索道線路測量資料之日起30日內，賣方應當向買方交付進一步設計的線路圖，經雙方會審并簽字確認后，作為雙方認定的最終線路圖。7.2.2最終線路圖確認且買方向其提供地勘資料后60日內，賣方應當向買方提交合格的支架基礎設計圖紙、站內基礎設計圖紙、站房設備配置圖紙，以及該等圖紙相應的施工圖紙。7.2.3在最終線路圖確認且買方向其提供地勘資料之日起30日內，賣方應當向國家客運架空索道安全監(jiān)督檢查中心提供本項目設計審查所需要的所有資料，完畢并通過設計審查并承擔相應費用。7.3賣方明確并承諾因其對本項目支架、站內基礎設計圖紙（含施工圖紙）的設計不具有中華人民共和國法律規(guī)定的相應資質，為此賣方負責將相應設計內容分包給具有相應資質的設計單位完畢并承擔相應費用，但賣方應當對分包單位的設計提供指導并對其設計責任承擔連帶責任。7.4設計成果的確認和移交：7.4.1賣方完畢本項目的設計后，應交由買方進行書面確認且接到買方的生產告知后方可用于本項目的設備生產。7.4.2設計成果涉及：7.4.3賣方應將設計成果一式套，以書面和電子文檔的方式向買方移交。7.5最終圖紙確認以后的設計變更7.5.1買方有權提出進行設計修改和增補的意見，而賣方應認真對待，并盡量批準意見。7.5.2因地質情況不符合地勘資料而導致設計圖紙必須變更以及非因賣方因素導致的吊箱數量增長和索道中心線變更除外，本項目任何設計變更導致的費用增長責任均應當由賣方承擔。7DESIGNANDDESIGNLIAISON7.1TheBuyershallprovide,inaccordancewiththerelevantdesignrequirementsofpassengerropewayofP.R.C.,designrealizationstipulatedinArticle3.1ofAppendix2.7.2ProgressRequirements7.2.1TheSellershallprovidetheBuyerwiththeprofilefurtherdesigned,within30daysaftertheBuyerprovidetheSellerwiththeropewayprofilemeasuringdocument.Thisfurther-designedprofileshallbeacceptedbybothpartiesasthefinalprofileafterjointreviewandsignaturebybothparties.7.2.2.TheSellershallprovidetheBuyerwiththequalifiedtowerfoundationdesigndrawing,in-stationfoundationdesigndrawing,stationequipmentlayoutdrawingandtheconstructiondrawingoftheaforesaiddrawings,within60daysafterthefinalprofileisconfirmedandtheBuyerprovidesthegeologicalsurveydocument.7.2.3TheSellershallprovidetoafterthefinalprofileisconfirmedandtheBuyerprovidesthegeologicalsurveydocument,8 協(xié)議價格:THECONTRACTPRICE:8.1：波馬法國部分：PortionofPOMAFrance:8.1.1協(xié)議價進口部分包干總價為：4225000歐元，CIF重慶港，由以下部分組成：Theturnkeypricefortheimportedpartofthecontractualequipmentis4225000EURO(CIFTianjinPort),composedofthefollowingparts:8.1.2進口設備范圍和標準不應當低于附件的約定。

ThescopeandstandardsoftheimportedequipmentshallnotbelowerthanthosestipulatedintheAppendix.8.2:波馬北京部分：PortionofPOMABJ:8.2.1協(xié)議價國內部分包干總價為：大寫：，小寫：13000000元人民幣（貨到項目現場），由以下部分組成：（詳見附件3.2）TheturnkeypriceforthedomesticpartofthecontractualequipmentisRMB（deliverytotheprojectsite）,composedofthefollowingparts(refertoAppendix3,2):8.2.2國內設備范圍和標準不應當低于附件的約定。

ThescopeandstandardsofthedomesticequipmentshallnotbelowerthanthosestipulatedintheAppendix.8.3本條確認的包干價格包含了第二條協(xié)議范圍及其他條款約定的賣方義務的所有費用。

ThetotalpriceconfirmedinthisclauseincludesalltheexpensesundertheSeller’sobligationstipulatedinArticle2ScopeofContractandotherclauses.8.4即便8.1.1約定為CIF重慶港，但雙方確認進口和國內所有設備交貨地點均由賣方負責運送至項目現場（索道下站或距離下站最近的集裝箱貨車所能到達的貨場。不涉及缷貨及二次轉運費用。)。

Althoughit’sstipulatedintheContractthattheimportedpartofthecontractualequipmentisCIF,bothpartiesconfirmthatthedeliveryplaceofallimportedanddomesticequipmentshallbedeliveredtotheprojectsitebytheSeller(bottomstationoftheropewayorgoodsyardaccessibletothetruckwithcontainersnearesttothebottomstation,notincludingunloadingandsecondtransportationexpenses)8.5波馬北京承諾：假如波馬法國未將協(xié)議設備保險或運送辦理至項目現場，則波馬北京負責以其名義辦理波馬法國協(xié)議設備到港之時至到達項目現場的保險和運送，并保證期間不存在任何也許導致風險的空隙，費用涉及在進口部分和國內部分包干價格中。

POMABeijingshallpromisethatPOMABeijingshallhandleinthenameofPOMABeijingtheinsuranceandtransportationofPOMAFrance’sequipmentfromseaporttoprojectsiteandmakesurethereisnopossiblegapwhenrisksmayoccurduringthisperiod,ifPOMAFrancecannothandletheinsuranceandtransportationofthecontractualequipmenttotheprojectsiteduetotheCIFdescribedintheContract.9 生產國別和制造廠商：法國或其他歐盟國家，POMAGALSKI公司9 COUNTRYOFORIGINANDMANUFACTURERS：FranceortheotherEuropeanUnionCountries,POMAGALSKI.10 保險及在途風險：10.1本協(xié)議下提供的貨品應對其在制造、購置、運送、存放及交貨過程中的丟失或損壞按本條款規(guī)定的方式，用協(xié)議貨幣進行全面保險。10.2賣方應用協(xié)議貨幣辦理以發(fā)票金額百分之一百一十（110%）投保的一切險和戰(zhàn)爭險至交貨現場，并以買方為受益人，保險費用已包含在本協(xié)議價款中。10.3貨品至交貨現場后由買方承擔交付后的風險，如部分或所有貨品在運送途中發(fā)生滅失或損毀，無論保險理賠與否，賣方應根據買方的規(guī)定先行按照原樣和原協(xié)議約定價款增補相應貨品，以盡量減少對項目工期的影響，買方應當在獲得保險公司理賠之日起五個工作日內將該貨品相應價款支付給賣方。10INSURANCEANDRISKSONTHEWAYOFTRANSPORTATION10.1TheGoodssuppliedundertheContractbySellershallbefullyinsuredinContractcurrencyagainstlossordamageincidentaltomanufacture,acquisition,transportation,storageanddeliveryinthemannerspecifiedinContract.10.2InsuranceistobeeffectedbytheSellerinContractcurrencyforonehundredandtenpercent(110%)invoicedvalueonan“allrisks”and“warrisk”basistodeliverysite.ThebeneficiaryshallbetheBuyer.10.3TheBuyershallbeartherisksafterthegoodsdeliveredtothedeliverysite.Incaseoflossordamageofpartorallthegoodsonthewayoftransportation,nomattertheinsurancesettlestheclaimornot,theBuyershallresendrelevantgoodsaspertheoriginalsampleandpricestipulatedintheoriginalcontractontherequirementsoftheBuyersoastoreducetheinfluencetotheprojectschedule.TheBuyershallpaytotheSellerthecorrespondingpriceofthegoodswithin5workingdaysaftertheBuyerreceivesthesettlementoftheclaimbytheinsurancecompany.11 包裝：11.1賣方應提供貨品運至協(xié)議規(guī)定的項目現場合需要的包裝，以防止貨品在轉運中損壞或變質。這類包裝應采用防潮、防雨、防銹防腐蝕、防震動及防止其它損壞的必要保護措施，從而保護貨品可以經受必需的搬運、裝卸及遠洋和內陸的長途運送。賣方應承擔由于其包裝或其防護措施不妥而引起貨品銹蝕、損壞和丟失的任何損失的責任。11.2貨品嚴禁采用松木類包裝，如包裝材料為其他木質品，則該木質包裝必須通過制造商所在國的IPPC（國際植物保護組織）機構的熏蒸解決，并在包裝箱外部顯著位置蓋有IPPC標志。11.3為考慮運送方便，上站和線路設備（鋼絲繩除外）的單件重量不得超過4噸。11.4鋼絲繩使用鋼卷筒包裝，分兩段同時交貨。11PACKING11.1TheSellershallprovideproperpackingforthegoodsdeliveredtotheprojectsiteasstipulatedintheContract.ThepackingshallpreventthegoodsfromdamageordeteriorationduringthetransferandshalltakenecessaryprotectionmeasurestoprotecttheContractGoodsfrommoisture,rain,rust,corrosionandshock,andotherdamagesoastomakethegoodsendurablewithnecessaryhandling,loadingandunloadingaswellaslong-distanceseaandinlandtransportations.TheSellershallbeliableforanyrust,damageandlosscausedbyinadequateorimproperpackingprovidedbytheSeller.11.2Thegoodsareprohibitedfrombeingpackedwithpinewood.Ifthepackagesaremadeinwoodenmaterialexceptpinelikewood,theyneedtobefumigatingtreatedbyIPPC(InternationalPlantProtectionConvention)locatedinthemanufacturer’scountryandmarkedatnotablepositionofoutsideoftheboxwiththewordsI.P.P.C.11.3Fortheeasiertransport,theweightofasinglepieceofequipmentforthelineandtopstationshouldnotexceed4tons,withtheexceptionofsteelwirerope.11.4Thesteelwireropeshallbepackedwithsteeldrumanddeliveredintwopiecesinoneshipment.12 裝運標記12.1賣方應在每包裝箱相鄰的四周用不可擦除的油漆和明顯做出以下標記（進口部分標注英文）：收貨人:協(xié)議號:發(fā)貨標記（嘜頭）: 收貨人編號:目的港:貨品名稱、品目號和箱號毛重/凈重（用kg表達）尺寸（長×寬×高，用cm表達）12.2假如單件包裝箱的重量在2噸或2噸以上，賣方應在包裝箱兩側用英語和國際貿易通用的運送標記標注“重心”和“起吊點”以便裝卸和搬運。根據貨品的特點和運送的不同規(guī)定，賣方應在包裝箱上清楚地標注“小心輕放”、“此端朝上，請勿倒置”、“保持干燥”等字樣和其他國際貿易中使用的適當標記。12MARKINGFORSHIPMENT12.1TheSellershallmarkthefollowingonthefouradjacentsidesofeachpackagewithindeliblepaintinconspicuousEnglishprintedwords:

1):::::packagesshallbemarkedlegiblybytheSellerwithwords"HandlewithCare","Rightside13裝運條件：13.1賣方應負責安排訂艙位、運送和支付運費，以保證按照協(xié)議規(guī)定的交貨期交貨。13.2進口設備貨品應用集裝箱運送。鋼絲繩用托盤運送，賣方應采用有效的防護措施。13.3承運的船只應來自合格來源國。13.4賣方裝運的貨品不應超過協(xié)議規(guī)定的數量或重量。否則，買方對由此產生的一切費用和后果不承擔責任。13TERMSOFDELIVERY13.1TheSellershallberesponsibleforbookingshippingspaceandarrangingtheshipmentandshallpayforthefreight,soastoensurethattheGoodswillbedeliveredaccordingtothetimeschedulestipulatedintheContract.13.2Theimportedgoodsshallbepackedincontainersfortransportation,exceptthesteelwireropewhichshallbeontheflatcontainer,theSellershalltakeeffectiveprotectionmeasures.13.3Theshipmentshallbecarriedbyvesselbelongingtoeligiblesourcecountries.13.6TheSellershallnotshipmorethantheContractedquantityorweight.Ifso,theBuyershallnotberesponsibleforanycostorotherconsequencerosefromshipmentofexcessivequantitiesorweight.14 裝運告知：14.1賣方應在接到買方的生產告知后30日內，將具體交貨計劃通過傳真或郵件提交給買方，具體交貨計劃若未能取得買方認可的，雙方應當按照附件約定的交貨期間完畢交貨。交貨計劃技術附件是否已經清楚明確？務必明確交貨期！交貨計劃技術附件是否已經清楚明確？務必明確交貨期！14.2賣方應在發(fā)運前十五（15）天內以傳真形式將協(xié)議號、貨品名稱、數量、箱數、總毛重、總體積（用m3表達）和在裝運口岸備妥待運日期告知買方，同時，賣方應用航空快件把具體的貨品清單一式五（5）份，涉及協(xié)議號、貨品名稱、規(guī)格、數量、總體積（用m3表達）、每箱尺寸（長×寬×高）、單價、總金額、啟運口岸、備妥待運日期和貨品在運送、儲存中的特殊規(guī)定和注意事項等寄給買方。14.3賣方應在貨品裝完后并收到文獻后立即以傳真形式將協(xié)議號、貨品名稱、數量、總毛重、體積（用m3表達）、發(fā)票金額、運送工具名稱及啟運日期告知買方。假如每個包裝箱的體積達成或超過長12米（m），寬2.7米（m）和高3米（m），賣方應將每個包裝箱的重量和體積告知買方，易燃品或危險品的細節(jié)還應另行注明。14SHIPPINGADVICE:14.1 TheSellershall,within30daysafterreceivingtheproductionnoticefromtheBuyer,providetheBuyerbyfaxoremaildetailedshipmentschedule.14.2TheSellershall,withinfifteen(15)daysaheadofseashipment,notifytheBuyerbyfaxofContractNo.,nameofGoods,quantity,numberofpackages,totalgrossweight,totalvolume(m3)incubicmetersandthedateofreadinessforshipmentattheportofloading.Atthesametime,theSellershallsendtotheBuyerbycourierfivecopiesofdetailedlistoftheGoods,includingContractNo.,nameofGoods,specification,quantity,totalvolume(m3)anddimensionofeachpackage(length×width×height),unitandtotalprice,portofshipmentanddateofreadinessforshipment,andanyspecialrequirementsorattentionneededfortheGoodsduringtransportationandstorage.14.3 TheSellershallaftercompletingofloadingoftheGoodsandreceivingdocuments,withoutdelaynotifytheBuyerbyfaxofContractNo.,nameofGoods,quantity,grossweight,volume(m3)incubicmeters,invoicedvalue,nameofcarryingvessel/aircraftanddateofitssailing/flight.Ifapackagedimensionsreachorexceedtwelve(12)metersinlength,twopointseven(2.7)metersinwidthandthree(3)metersinheight,theSellershalladvisetheBuyeroftheweightandmeasurementofeachpackage.ThedetailsofflammableanddangerousGoods,ifany,shallalsobeindicated.15 隨著服務15.1協(xié)議所述的隨著服務含在協(xié)議總價中。15.2賣方應按協(xié)議條款和技術附件中規(guī)定提供涉及不限于下列服務：15.2.1對協(xié)議設備的現場組裝、安裝進行技術指導；15.2.2對協(xié)議設備調試和試運營提供技術指導；15.2.3提供設備安裝和調試中所需的工具，詳見附件5。15.2.4為所供貨品的每臺重要設備提供具體的操作和維護手冊（含中文版）；15.2.4對所供貨品實行技術指導，維護或修理，且該服務并不能免去賣方在協(xié)議保證期內所承擔的義務；15.2.6在賣方廠家和/或在項目現場就所供貨品的組裝、試運營、運營、維護和/或修理對買方人員進行培訓。15.2.7一次主鋼絲繩編接。15.2.8根據買方告知，免費提供一次鋼繩二次截短服務，工期不超過3天。15.2.9機械和電氣安裝技術指導。15.2.10負荷試車技術指導15.2.11質保期內，接到買方告知后一周內，免費調整張緊系統(tǒng)一次。15INCIDENTALSERVICES15.1TheincidentalservicesasdescribedintheContractareincludedinthetotalcontractprice.15.2TheSellershallprovideservicesinaccordancewiththeclausesintheContractandstipulationsinthetechnicalappendix.Theservicesincludebutnotlimitedtothefollowing:15.2.1Technicalsupervisiononthesiteassemblingandinstallationofthecontractualequipment.15.2.2Technicalsupervisiononthecommissioningandtrailrunofthecontractualequipment.15.2.3Providenecessarytoolsforequipmentinstallationandcommissioning.RefertoAppendixProvidedetailedoperationandmaintenancemanual(includingChineseversion)ofthemainequipmentoftheGoodssupplied.15.2.5Providetechnicalsupervision,maintenanceorrepairforthegoodssupplied,ThatserviceshallnotexempttheSellerfromtheobligationsundertheContractwithinthewarrantyperiod.15.2.6TraintheBuyer’sstaffontheassembling,testrun,operation,maintenanceand/orrepairofthegoodssuppliedintheSeller’sfactoryand/orontheprojectsite.15.2.7Onetimesteelwireropesplicing.15.2.8ProvidefreeofchargefirstsplicingandsecondshorteningserviceuponthenoticefromtheBuyer,theconstructionperiodshallbelesthanthreedays.15.2.9Mechanicalandelectricalinstallationsupervision15.2.10Technicalsupervisiononloadedcartest.15.2.11Duringthewarrantyperiod,adjustfreeofchargethetensioningsystemforonetimewithinoneweekafterreceivingthenoticefromtheBuyer.16 備件和設計內吊箱16.1賣方按照協(xié)議附件中的規(guī)定提供所需的備件。16.2備件和設計最終最高運量內吊箱采購按照協(xié)議第2條約定。16SPAREPARTSANDGONDOLASINDESIGN16.1TheSellershallprovidethenecessarysparepartsinaccordancewiththestipulationsoftheAppendixundertheContract.

16.2TheprocurementofthesparepartsandgondolasforthedesignedfinalmaximumcapacityshallbestipulatedinaccordancewithClause2underthisContract.17檢查和測試17.1在交貨前，賣方應對貨品的質量、規(guī)格、性能、數量和重量等進行具體而全面的檢查，并出具一份證明貨品符合協(xié)議規(guī)定的檢查證書，檢查證書是付款時提交給議付行的文獻的一個組成部分，但不能作為有關質量、規(guī)格、性能、數量或重量的最終檢查。賣方檢查的結果和細節(jié)應附在質量檢查證書后面。17.2買方有權在接受貨品時檢查和/或測試貨品，以確認貨品是否符合協(xié)議規(guī)格的規(guī)定。17.3檢查和測試可以在賣方或供貨商的駐地、交貨地點和/或貨品的最終目的地進行。17.4 假如任何被檢查或測試的貨品不能滿足規(guī)格的規(guī)定，買方可以拒絕接受該貨品，賣方應更換被拒絕的貨品以滿足協(xié)議的規(guī)定。17.5 買方在貨品到達現場后對貨品進行檢查、測試及因貨品不滿足協(xié)議規(guī)定期拒絕接受貨品的權力將不會由于貨品在歷來源國啟運前通過了買方或其代表的檢查、測試和認可而受到限制或放棄。17.6 協(xié)議條款第18條的規(guī)定不能免去賣方在協(xié)議項下的保證義務或其他義務。17INSPECTIONSANDTEST17.1TheSellershallconductadetailedandoverallinspectiontothequality,specification,performance,quantityandweightetc.oftheGoodsbeforedeliveryandissueacertificateofinspectionprovingthattheGoodsconformtothestipulationsoftheContract.Thecertificateofinspectionisoneofthedocumentsthatshallbesubmittedtothenegotiatingbankwhenmakingthepayment.Thecertificateofinspectionisnotthefinalinspectionoftherelevantquality,specification,performance,quantityorweight.TheSellershallattachtheresultsanddetailsoftheinspectiontothecertificateofinspection.17.2TheBuyershallhavetherighttoinspectand/ortotesttheGoodsifitconfirmstotheContractspecifications.17.3TheinspectionsandtestsmaybeconductedonthepremisesoftheSellerorsubsupplier(s),atpointofdelivery,and/orattheGoods'finaldestination.17.4ShouldanyinspectedortestedGoodsfailtoconformtotheSpecifications,theBuyermayrejecttheGoods,andtheSellershallreplacetherejectedGoodstomeettherequirementsoftheContract.17.5TheBuyer'srighttoinspect,testand,wherenecessary,rejecttheGoodsaftertheGoods'arrivalatthesiteshallinnowaybelimitedorwaivedbyreasonoftheGoodshavingpreviouslybeeninspected,tested,andpassedbytheBuyeroritsrepresentativepriortotheGoods'shipmentfromthecountryoforigin.17.618質量保證及履約保證18.1賣方應保證協(xié)議項下所供貨品是全新的、未使用過的，是賣方目前能提供最先進的技術和設備。賣方進一步保證，協(xié)議項下提供的所有貨品沒有設計、材料或工藝上的缺陷，并且沒有因賣方的行為或疏忽而產生的缺陷，這些缺陷是所供貨品在最終目的地國家現行條件下正常使用也許產生的。假如賣方對上述情況負有責任，并且買方在協(xié)議條款規(guī)定的檢查、安裝、調試、驗收期間和質量保證期內提出了索賠，賣方應按照買方批準的下列一種或幾種方式結合起來解決索賠事宜：18.1.1賣方批準退貨并用協(xié)議規(guī)定的貨幣將貨款退還給買方或買方，并承擔由此發(fā)生的一切損失和費用，涉及利息、銀行手續(xù)費、運費、保險費、檢查費、倉儲費、裝卸費以及為看管和保護退回貨品所需的其它必要費用。18.1.2根據貨品的偏差情況、損壞限度以及買方所遭受損失的金額，經買賣雙方商定減少貨品的價格。18.1.3用符合協(xié)議規(guī)定的規(guī)格，質量和性能規(guī)定的新零件、部件和/或設備來更換有缺陷的部分和/或修補缺陷部分，賣方應承擔一切費用和風險并承擔買方蒙受的所有直接損失費用。同時賣方應根據協(xié)議條款規(guī)定，相應延長所更換貨品的質量保證期。18.2質量保證期為買賣雙方人員驗收協(xié)議簽署之日起的12個月，更換和維修的設備質保期為更換和維修該設備后的12個月。18.3質保期內所發(fā)現的缺陷買方應盡快以書面形式告知賣方。18.4質保期內，設備發(fā)生故障時，賣方在24小時內響應，72小時內技術人員到達現場檢查，賣方應承擔由此產生的所有費用。18.5假如賣方收到告知后72小時內沒有采用有效措施，買方可采用必要的補救措施，但其風險和費用將由賣方承擔，買方根據協(xié)議規(guī)定對賣方行使的其他權利不受影響。18.6若在協(xié)議設備建設期間，由于賣方因素而導致賣方技術文獻錯誤或內容缺失，賣方應在最短的合理期限內予以更正或補充。買方有權向賣方提出索賠。18.7假如在安裝，調試和性能測試和保質期中，因賣方因素導致協(xié)議設備及材料出現了細小缺陷，賣方可以書面形式委托買方予以解決。由此產生的費用由賣方向買方支付。假如損壞是由于買方技術人員沒有按照賣方提供的對的的技術文獻和/或技術指導和或操作手冊而導致，買方應承擔一切維修或更換費用，賣方有義務協(xié)助買方。18.8在質保期內，假如協(xié)議設備由于賣方發(fā)貨的失誤而導致有任何的缺陷，買方應立即告知賣方，如為賣方的責任，一旦收到買方索賠告知，賣方應在買方幫助下盡快免費更換或維修，并承擔更換部件的運費和風險送達項目現場。18.9在質保期內，協(xié)議設備損壞需維修或更換而停工5日及以上，設備質保期按實際停工時間相應延長。18.10對賣方交付的系統(tǒng)所進行的任何修改和/或修理應由通過培訓合格的人員執(zhí)行。18.11按照各方的職責劃分，各自對提供的測量資料、地質報告、設計文獻、圖紙等技術文獻/資料負責；各方沒有責任檢查其他方提供的文獻/資料的對的性，但是各方均有責任提醒其他方文獻/資料中的錯誤。18.12保證責任不合用于由于用戶不遵守有效的操作、服務和維護手冊以及不適當的使用。`18.13波馬嘉仕其（北京）索道有限責任公司和POMAGALSKI公司應對本協(xié)議項下的所有賣方義務承擔連帶保證責任。18WARRANTYANDPERFORMANCEGUARANTEEomissionoftheSellerthatmaydevelopundernormaluseofthesuppliedGoodsintheconditionsprevailinginthecountryoffinaldestination.IncasetheSellerisliablefortheabovementionedsituationandaclaimislodgedbytheBuyerwithinthetimelimitofinspection,erection,commissioning,acceptancetestandthewarrantyperiodasstipulatedintheContract,theSellershallsettletheclaimwiththeagreementoftheBuyerinoneoracombinationofthefollowingways:18.1.1AgreetotherejectionoftheContractEquipmentandrefundtotheBuyerthevalueoftheContractEquipmentsorejectedinthesamecurrencyasspecifiedintheContractandtobearthelossesandexpensesincurredincludinginterest,accruedbankingcharges,freightandinsurancepremiums,inspectioncharges,storage,stevedorechargesandothernecessaryexpensesrequiredforthecustodyandprotectionoftherejectedContractEquipment.18.1.2DevaluetheContractEquipmentaccordingtothedegreeofinferiority,extentofdamageandamountoflossessufferedbytheBuyer,asagreedbetweentheBuyerandtheSeller.18.1.3ReplacethedefectiveContractEquipmentwithnewparts,componentsand/orequipmentwhichconformtothespecifications,qualityandperformanceasspecifiedintheContract,and/orrepairthedefectiveContractEquipmentattheSeller’sexpensesandrisksandbearalldirectlyrelatedexpensessustainedbytheBuyer.TheSellershallatthesametimeguaranteethequalityofthereplacedContractEquipmentforafurthercorrespondingperiodaccordingtothecontract.18.2Thiswarrantyshallbe12monthsfromdateofAcceptanceagreementsingedbybothparties.Thewarrantyperiodforthereplacedandrepairedequipmentshallbe12monthsaftertheequipmentreplacementandrepair.18.3TheBuyershallpromptlynotifytheSellerinwritingofanydefectswithinthewarrantyperiod.18.4Duringwarrantyperiod,theSellershallrespondtotheclaimsoftheUserwithin24hourswhenthereisanequipmentfault,technicalpersonneltobeonsiteforexaminationwithin72hours,allthechargesshallbebornebytheSeller.18.5IftheSellerfailstotakeremedialactionwithin72hoursafterreceivingthenotification,theBuyermayproceedtotakesuchremedialaction,attheSeller'sriskandexpenseandwithoutprejudicetoanyotherrights,whichtheBuyermayhaveagainsttheSellerundertheContract.18.6DuringtheconstructionperiodoftheContractEquipment,theSellershallcorrectorsupplementwithintheshortestreasonableperiodthemistakesorcontentomissionsintheSeller’stechnicaldocumentcausedbytheSellerreason.TheBuyerhastherighttoraisecompensationtotheSeller.18.7ShouldanyminordefectstotheCONTRACTEQUIPMENTandmaterialsbefoundinthecourseoftheErection,Commissioning,Performance-TestandwarrantyperiodduetotheSELLER’sresponsibility,theSELLERmayentrustsucheliminationoftheminordefectsattheSITEtotheBUYERinwrittenform.TheexpensesthusincurredshallbebornebytheSELLER.IncasethedamagestotheCONTRACTEQUIPMENTareduetothefactthattheBUYER’stechnicalpersonnelhavenotfollowedtheSELLER’sDocumentationand/orthe
