英文契約合同范本

THISAGREEMENTismadeonthe__________dayof__________,20__.

Between:

1.__________,hereinafterreferredtoas"PartyA",whoseregisteredofficeisat__________andwhoseprincipalplaceofbusinessis__________.

2.__________,hereinafterreferredtoas"PartyB",whoseregisteredofficeisat__________andwhoseprincipalplaceofbusinessis__________.

WHEREAS:

PartyAdesirestoengagetheservicesofPartyBforthepurposeof__________.

PartyBhasagreedtoprovidesuchservicesuponthetermsandconditionssetforthherein.

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:

1.EngagementofServices:PartyAherebyengagesPartyBtoprovidetheservicesdescribedinScheduleAhereto(the"Services"),andPartyBherebyacceptssuchengagement.

2.TermofAgreement:ThisAgreementshallcommenceontheEffectiveDateandshallcontinueuntil__________,unlessearlierterminatedinaccordancewiththeprovisionshereof.

3.ScopeofServices:PartyBshallprovidetheServicesinaccordancewiththetermsofthisAgreementandthespecificationssetforthinScheduleA.PartyBshalluseitsbesteffortstocompletetheServicesinatimelyandprofessionalmanner.

4.FeesandPayment:PartyAshallpayPartyBthefeesspecifiedinScheduleBfortheServicesprovided.Paymentshallbedue__________daysfromthedateoftheinvoice.

5.Confidentiality:Bothpartiesagreetokeepconfidentialallinformationreceivedfromtheotherpartywhichisdesignatedasconfidentialorwhichoughtreasonablytobeconsideredconfidentialgiventhenatureoftheinformation.

6.IntellectualProperty:AllintellectualpropertyrightsintheworkproductcreatedbyPartyBinconnectionwiththeServicesshallvestinPartyAuponcreation,subjecttofullpaymentofallfeesduehereunder.

7.WarrantiesandRepresentations:PartyBrepresentsandwarrantsthatithastherighttoenterintothisAgreementandtoperformtheServices.PartyBfurtherrepresentsandwarrantsthattheServiceswillbeperformedinaprofessionalandworkmanlikemannerandwillconformtothespecificationssetforthinScheduleA.

8.Indemnification:PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandallclaims,damages,andexpensesarisingoutoforrelatedtoPartyB'sperformanceoftheServices,excepttotheextentsuchclaimsarisefromthegrossnegligenceorwillfulmisconductofPartyA.

9.Termination:EitherpartymayterminatethisAgreementupon__________days'writtennoticetotheotherparty.Intheeventoftermination,PartyBshallbeentitledtoreceivepaymentforServicesperformeduptothedateoftermination.

10.ForceMajeure:NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementtotheextentthatsuchfailureordelayiscausedbycircumstancesbeyondthereasonablecontrolofthatparty.

11.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreementsandunderstandings,whetheroralorwritten.

12.Amendments:ThisAgreementmaybeamendedonlyinwritingsignedbybothparties.

13.GoverningLawandJurisdiction:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof__________,andanydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof__________.
