股票質(zhì)借款協(xié)議書合同編號(hào)：__________stockPledgeLoanAgreementThisStockPledgeLoanAgreement(the"Agreement")ismadeandenteredintoasof__________(the"EffectiveDate"),andbetween____________________________("Borrower"),a(n)_____________________________,and_____________________________("Lender"),a(n)_____________________________.RECITALSWHEREAS,theBorrowerdesirestoborrowacertainsumofmoneyfromtheLender,andtheLenderiswillingtolendsuchsumtotheBorrower,subjecttothetermsandconditionssetforthherein;WHEREAS,assecurityfortherepaymentoftheLoan(asdefinedbelow),theBorroweragreestopledgetotheLendercertainsharesofstockin_____________________________("Issuer")ownedtheBorrower,assetforthinExhibitAattachedhereto;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:1.LOANAMOUNTANDTERMS1.1LoanAmount.TheLenderagreestolendtotheBorrowertheamountof_____________Dollars($____________)(the"Loan").1.2UseofProceeds.TheBorrowershallusetheproceedsoftheLoanforthepurpose(s)setforthinExhibitBattachedhereto.1.3Repayment.TheBorrowershallrepaytheLoan,togetherwithinterestthereon,asprovidedinSection3below.2.PLEDGEOFSTOCK2.1Pledge.AssecurityfortherepaymentoftheLoan,theBorrowerherepledgestotheLenderthesharesofstockintheIssuersetforthinExhibitAattachedhereto(the"PledgedStock").TheBorrowerrepresentsandwarrantsthatitistherecordandbeneficialownerofthePledgedStockandthatsuchPledgedStockisfreeandclearofanyliens,claims,encumbrances,orinterestsofanynature,exceptforthosesetforthinExhibitAattachedhereto.2.3MaintenanceofInsurance.TheBorrowershallmaintain,atitsownexpense,insurancecoverageinsuchamountsandwithsuchentitiesasiscustomaryforentitiesofsimilarsizeandnaturetotheBorrower,insuringthePledgedStockagainstlossordamage,ineachcasewithalosspayableclauseinfavoroftheLender.3.REPAYMENTOFLOAN3.1ScheduledPayments.TheBorrowershallmakemonthlypaymentsofprincipalandinterestontheLoan,inaccordancewiththeschedulesetforthinExhibitCattachedhereto.3.2prepayment.TheBorrowershallhavetherighttoprepaytheLoaninfull,orinpart,atanytimewithoutpenalty.3.3Default.IftheBorrowerfailstomakeanyscheduledpaymentwhendue,orotherwisebreachesanymaterialtermorconditionofthisAgreement,theLendermaydeclaretheentireoutstandingbalanceoftheLoan,togetherwithallaccruedandunpaidinterestthereon,tobeimmediatelydueandpayable.4.CONFIDENTIALITY4.1Confidentiality.ThepartiesheretoagreetomaintaintheconfidentialityofthetermsandconditionsofthisAgreement,excepttotheextentrequiredlaw,regulation,orjudicialoradministrativeorder.5.INDEMNIFICATION5.1Indemnification.TheBorrowershallindemnifyandholdharmlesstheLenderfromandagainstanyandalllosses,damages,claims,actions,judgments,fines,penalties,interest,andexpenses(includingreasonableattorneys'feesandexpenses)arisingoutoforinconnectionwiththisAgreementorthetransactionscontemplatedhere.6.MISCELLANEOUS6.1一、附件列表：1.附件A：股票質(zhì)權(quán)詳情2.附件B：貸款資金用途說(shuō)明3.附件C：還款計(jì)劃表二、違約行為及認(rèn)定：1.違約行為：Borrower未能按時(shí)償還貸款本金及利息。Borrower未能維持保險(xiǎn)覆蓋，保障PledgedStock的安全。Borrower未經(jīng)Lender同意，處分PledgedStock或涉及其權(quán)利的協(xié)議。Lender未能在約定時(shí)間內(nèi)完成StockAgreement中規(guī)定的股票轉(zhuǎn)換。2.違約認(rèn)定：依據(jù)本協(xié)議條款及條件，任何一方未履行或違反了其義務(wù)。依據(jù)適用法律，任何一方行為構(gòu)成違約。雙方同意的其它違約情形。三、法律名詞及解釋：1.股票質(zhì)借款協(xié)議書（StockPledgeLoanAgreement）：指本文件所述的協(xié)議。2.Borrower：指從Lender處借款的個(gè)人或?qū)嶓w。3.Lender：指提供貸款的個(gè)人或?qū)嶓w。4.Loan：指Borrower從Lender處借得的資金。5.PledgedStock：指作為貸款擔(dān)保的Issuer公司的股票。6.Issuer：指Borrower所持有的股票發(fā)行公司。7.StockAgreement：指governingthePledgedStock的協(xié)議。四、執(zhí)行中遇到的問(wèn)題及解決辦法：1.問(wèn)題：Borrower資金流動(dòng)出現(xiàn)問(wèn)題，無(wú)法按計(jì)劃還款。解決辦法：與Lender協(xié)商，尋求延期還款或調(diào)整還款計(jì)劃。2.問(wèn)題：PledgedStock市場(chǎng)價(jià)值下跌，低于貸款金額。解決辦法：Lender可要求Borrower提供額外擔(dān)保或增加還款額。3.問(wèn)題：未經(jīng)授權(quán)處分PledgedStock。解
