英文版經(jīng)濟聯(lián)盟采購合同合同編號：__________partiesthiscontract(hereinafterreferredtoasthe"contract")isenteredintoandbetweenthefollowingparties:partya:____________________(hereinafterreferredtoasthe"supplier")partyb:____________________(hereinafterreferredtoasthe"purchaser")referredtoindividuallyasa"party"andcollectivelyasthe"parties".objectthepurposeofthiscontractistosetforththetermsandconditionsunderwhichthesupplieragreestosupplythegoods(asdefinedbelow)tothepurchaser,andthepurchaseragreestopurchasethegoodsfromthesupplier.goods1.the"goods"referredtointhiscontractshallmeantheproductsand/orservicesdescribedinthescheduleattachedhereto.2.thesupplieragreestosupplythegoodstothepurchaserinaccordancewiththespecifications,quantitiesanddeliveryschedulesetforthinthescheduleattachedhereto.priceandpayment1.thepriceofthegoodsshallbeassetforthinthescheduleattachedhereto.2.thepurchaseragreestopaythepriceforthegoodstothesupplierinaccordancewiththepaymenttermssetforthinthescheduleattachedhereto.delivery1.thesuppliershalldeliverthegoodstothepurchaser'sdesignatedlocationinaccordancewiththedeliveryschedulesetforthinthescheduleattachedhereto.2.thesuppliershallberesponsibleforallcostsandexpensesassociatedwiththedeliveryofthegoodstothepurchaser'sdesignatedlocation.qualityandwarranty1.thesupplierrepresentsandwarrantsthatthegoodswillconformtothespecificationssetforthinthescheduleattachedheretoandwillbefreefromanydefectsinmaterialsandworkmanship.2.thesupplieragreestoreplaceorrepairanygoodsthatdonotconformtotherepresentationsandwarrantiessetforthinclause6.1withinareasonableperiodoftimeafterthepurchasernotifiesthesupplierofsuchnonconformity.3.thesupplier'srepresentationsandwarrantiessetforthinclause6.1shallnotapplytoanygoodsthathavebeensubjecttomisuse,neglectoraccident.quantityadjustment1.thepurchaserreservestherighttoadjustthequantityofthegoodsorderedatanytimepriortothedeliveryofthegoods.2.intheeventofadecreaseinthequantityofthegoodsordered,thesuppliershallbeendtoadjustthepriceaccordingly.3.intheeventofanincreaseinthequantityofthegoodsordered,thesuppliershallmakereasonableeffortstodelivertheadditionalgoodswithinareasonableperiodoftime,andthepurchasershallbeendtoadjustthepriceaccordingly.termination1.eitherpartymayterminatethiscontractatanytimeforanyreasonornoreasonuponwrittennoticetotheotherparty.2.uponterminationofthiscontract,thesuppliershallpromptlydelivertothepurchaseranygoodsthathavenotyetbeendelivered,andthepurchasershallpaythesupplierforthegoodsthathavebeendeliveredinaccordancewiththetermsofthiscontract.3.theterminationofthiscontractshallnotrelieveeitherpartyofanyobligationsorliabilitiesincurredunderthiscontractpriortotheeffectivedateoftermination.disputeresolutionentireagreementthiscontractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiationsanddiscussions,whetheroralorwritten,oftheparties.modificationthiscontractmaybemodifiedoramendedonlyawritteninstrumentexecutedbotherninglawandjurisdictionthiscontractshallbegovernedandconstruedinaccordancewiththelawsofthestateofnewyork,unitedstatesofamerica.anydisputesarisingoutoforinconnectionwiththiscontractshallbesubjecttotheexclusivejurisdictionofthecourtsofnewyork,unitedstatesofamerica.inwitnesswhereof,thepartieshaveexecutedthiscontractasofthedatefirstabovewritten.partya:____________________:____________________name:________________________________________date:____________________partyb:____________________:____________________name:________________________________________date:____________________一、附件列表：1.附件一：商品描述表2.附件二：交付時間表3.附件三：支付條款說明4.附件四：質量保證書5.附件五：仲裁規(guī)則二、違約行為及認定：1.供應商未能按照約定交付商品或交付的商品不符合約定規(guī)格、數(shù)量。2.供應商交付的商品存在缺陷。3.供應商未在規(guī)定時間內替換或修復不符合保證的商品。4.買方未按約定時間支付商品價款。5.買方未按約定數(shù)量購買商品。6.任何一方未履行合同中的其他義務。三、法律名詞及解釋：1.供應商：指合同第一方，承擔供應商品義務的一方。2.買方：指合同第二方，承擔購買商品義務的一方。3.商品：指合同中約定由供應商供應給買方的產(chǎn)品和服務。4.交付：指供應商按照合同約定，將商品送達買方指定地點的行為。5.質量保證：指供應商對商品的質量、性能等方面所做的承諾。6.違約：指合同一方未履行合同約定的義務。四、執(zhí)行中遇到的問題及解決辦法：1.商品交付延誤：與供應商溝通，要求其加快進度；必要時，根據(jù)合同條款要求供應商承擔延遲交付的違約責任。2.商品質量問題：要
