roductA:UnitPrice______,TotalPrice______ProductB:UnitPrice______,TotalPrice______ProductC:UnitPrice______,TotalPrice______3.1.2價格包括鎳礦的生產(chǎn)、包裝、運輸、保險及其他相關(guān)費用。Thepriceincludestheproduction,packaging,transportation,insurance,andotherrelatedcostsofthenickelore.3.2付款方式/PaymentMethod3.2.1乙方應(yīng)按以下方式支付貨款：預(yù)付款：合同簽訂后______天內(nèi)支付合同總金額的______%。中期付款：貨物交付后______天內(nèi)支付合同總金額的______%。尾款：驗收合格后______天內(nèi)支付合同總金額的______%。PartyBshallpaythepaymentasfollows:AdvancePayment:Pay______%ofthetotalcontractamountwithin______daysaftersigningthecontract.InterimPayment:Pay______%ofthetotalcontractamountwithin______daysafterdeliveryofthegoods.FinalPayment:Pay______%ofthetotalcontractamountwithin______daysafteracceptance.3.3付款期限/PaymentTerm3.3.1乙方應(yīng)在收到甲方開具的正式發(fā)票后______天內(nèi)支付貨款。PartyBshallpaythepaymentwithin______daysafterreceivingtheformalinvoiceissuedbyPartyA.3.3.2如乙方未按時支付貨款，甲方有權(quán)暫停供貨，并要求乙方支付逾期付款的利息，利息按日利率______%計算。IfPartyBfailstopaythepaymentontime,PartyAhastherighttosuspendthesupplyandrequirePartyBtopayinterestontheoverduepaymentatadailyinterestrateof______%.第四章：交貨與驗收/DeliveryandAcceptance4.1交貨地點/DeliveryLocation4.1.1甲方應(yīng)將鎳礦交付至乙方指定的地點，具體地址為：______。PartyAshalldeliverthenickeloretothelocationdesignatedbyPartyB,withthespecificaddressbeing:______.4.2交貨方式/DeliveryMethod4.2.1甲方應(yīng)按合同約定的方式交貨，具體方式為：______。PartyAshalldeliverthegoodsinthemanneragreedinthecontract,withthespecificmethodbeing:______.4.2.2甲方應(yīng)在鎳礦發(fā)運前______天書面通知乙方，提供鎳礦的詳細信息，包括但不限于產(chǎn)品名稱、規(guī)格、數(shù)量、運輸方式、預(yù)計到達時間等。PartyAshallnotifyPartyBinwriting______daysbefore4.2.2甲方應(yīng)在鎳礦發(fā)運前______天書面通知乙方，提供鎳礦的詳細信息，包括但不限于產(chǎn)品名稱、規(guī)格、數(shù)量、運輸方式、預(yù)計到達時間等。PartyAshallnotifyPartyBinwriting______daysbeforetheshipmentofnickelore,providingdetailedinformationaboutthenickelore,includingbutnotlimitedtoproductname,specifications,quantity,transportationmethod,andestimatedarrivaltime.4.3驗收標準及程序/AcceptanceStandardsandProcedures4.3.1乙方應(yīng)在鎳礦到達后______天內(nèi)對鎳礦進行驗收，如發(fā)現(xiàn)不符合合同約定的情況，應(yīng)在驗收期內(nèi)書面通知甲方。PartyBshallinspectthenickelorewithin______daysafteritsarrival.Ifanynon-conformitywiththecontractisfound,PartyBshallnotifyPartyAinwritingwithintheacceptanceperiod.4.3.2甲方應(yīng)在收到乙方的書面通知后______天內(nèi)對不合格鎳礦進行處理，包括但不限于更換、修理或退貨。PartyAshallhandlethenon-conformingnickelorewithin______daysafterreceivingPartyB'swrittennotice,includingbutnotlimitedtoreplacement,repair,orreturn.4.3.3如乙方在驗收期內(nèi)未提出異議，視為鎳礦驗收合格。IfPartyBraisesnoobjectionswithintheacceptanceperiod,thenickeloreshallbedeemedaccepted.第五章：違約責任/LiabilityforBreachofContract5.1違約定義/DefinitionofBreach5.1.1任何一方未按合同約定履行其義務(wù)，均視為違約。Anypartyfailingtoperformitsobligationsasagreedinthecontractshallbedeemedinbreachofcontract.5.2違約賠償/CompensationforBreach5.2.1違約方應(yīng)向守約方支付違約金，違約金金額為合同總金額的______%。Thebreachingpartyshallpayliquidateddamagestothenon-breachingparty,withtheamountbeing______%ofthetotalcontractamount.5.2.2如違約行為給守約方造成實際損失，違約方應(yīng)賠償守約方的全部損失。Ifthebreachcausesactuallossestothenon-breachingparty,thebreachingpartyshallcompensateforalllosses.5.3違約處理程序/BreachHandlingProcedures5.3.1守約方應(yīng)在發(fā)現(xiàn)違約行為后______天內(nèi)書面通知違約方，要求其在合理期限內(nèi)改正違約行為。Thenon-breachingpartyshallnotifythebreachingpartyinwritingwithin______daysafterdiscoveringthebreach,requiringthebreachingpartytocorrectthebreachwithinareasonableperiod.5.3.2如違約方在合理期限內(nèi)未改正違約行為，守約方有權(quán)解除合同，并要求違約方支付違約金及賠償損失。Ifthebreachingpartyfailstocorrectthebreachwithinareasonableperiod,thenon-breachingpartyhastherighttoterminatethecontractanddemandliquidateddamagesandcompensationforlosses.第六章：合同變更與解除/ContractModificationandTermination6.1合同變更程序/ContractModificationProcedures6.1.1任何一方如需變更合同內(nèi)容，應(yīng)提前______天書面通知對方，并經(jīng)雙方協(xié)商一致后簽署書面變更協(xié)議。Anypartyneedingtomodifythecontractcontentshallnotifytheotherpartyinwriting______daysinadvanceandsignawrittenmodificationagreementaftermutualagreement.6.1.2變更協(xié)議應(yīng)作為本合同的附件，與本合同具有同等法律效力。Themodificationagreementshallbeanattachmenttothiscontractandhavethesamelegaleffectasthiscontract.6.2合同解除條件/ConditionsforContractTermination6.2.1任何一方有下列情形之一的，另一方有權(quán)解除合同：嚴重違反合同條款，且在合理期限內(nèi)未能改正；因不可抗力導致合同無法繼續(xù)履行；破產(chǎn)、解散或其他喪失履約能力的情形。Anypartyhastherighttoterminatethecontractiftheotherparty:Seriouslyviolatesthecontracttermsandfailstocorrectwithinareasonableperiod;Isunabletocontinueperformingthecontractduetoforcemajeure;Isbankrupt,dissolved,orotherwiselosestheabilitytoperformthecontract.6.3合同解除后果/ConsequencesofContractTermination6.3.1合同解除后，雙方應(yīng)在______天內(nèi)結(jié)清所有未履行的義務(wù)，包括但不限于貨款支付、貨物退還等。Afterthecontractisterminated,bothpartiesshallsettlealloutstandingobligationswithin______days,includingbutnotlimitedtopaymentofgoodsandreturnofgoods.6.3.2合同解除不影響雙方在合同解除前已產(chǎn)生的權(quán)利和義務(wù)。Theterminationofthecontractdoesnotaffecttherightsandobligationsthathavearisenbeforethetermination.第七章：爭議解決/DisputeResolution7.1爭議解決方式/DisputeResolutionMethods7.1.1本合同在履行過程中如發(fā)生爭議，雙方應(yīng)本著友好協(xié)商的原則解決。Incaseofanydisputeduringtheperformanceofthiscontract,bothpartiesshallresolveitthroughfriendlynegotiation.7.1.2如協(xié)商不成，任何一方均有權(quán)將爭議提交至仲裁機構(gòu)或法院解決。Ifnegotiationfails,eitherpartyhastherighttosubmitthedisputetoarbitrationorcourtforresolution.7.2仲裁條款/ArbitrationClause7.2.1任何因本合同引起的或與本合同有關(guān)的爭議，均應(yīng)提交______仲裁委員會仲裁，仲裁地點為______。Anydisputearisingfromorrelatedtothiscontractshallbesubmittedto______ArbitrationCommissionforarbitration,withthearbitrationlocationbeing______.7.2.2仲裁裁決是終局的，對雙方均有約束力。Thearbitrationawardisfinalandbindingonbothparties.7.3訴訟管轄/JurisdictionforLitigation7.3.1如雙方選擇通過訴訟解決爭議，應(yīng)向合同簽訂地有管轄權(quán)的人民法院提起訴訟。Ifbothpartieschoosetoresolvethedisputethroughlitigation,theyshallfilealawsuitwiththecompetentpeople'scourtintheplacewherethecontractissigned.7.3.2訴訟費用由敗訴方承擔。Thelitigationcostsshallbebornebythelosingparty.第八章：其他條款/MiscellaneousProvisions8.1保密條款/ConfidentialityClause8.1.1雙方應(yīng)對在合同履行過程中獲得的對方的商業(yè)秘密和其他保密信息予以保密，未經(jīng)對方書面同意，不得向第三方披露。Bothpartiesshallkeeptheotherparty'stradesecretsandotherconfidentialinformationobtainedduringtheperformanceofthecontractconfidentialandshallnotdisclosethemtothirdpartieswithouttheotherparty'swrittenconsent.8.1.2保密義務(wù)不因合同的終止或解除而終止。Theconfidentiality
