ThisContractAgreementforTalentIntroductionismadeandenteredintoasof[InsertDate],byandbetween[CompanyName]("Company"),acompanyorganizedandexistingunderthelawsof[InsertJurisdiction],and[TalentName]("Talent"),aresidentof[InsertCountry/Region].

BACKGROUND:

WHEREAS,theCompanyisengagedinthebusinessof[InsertBusinessDescription]andisinneedofhighlyskilledandqualifiedtalentstocontributetoitsgrowthandsuccess;

WHEREAS,theTalentisaprofessionalwithexceptionalskillsandexpertiseinthefieldof[InsertTalent'sFieldofExpertise]andhasadesiretojointheCompany;

NOW,THEREFORE,inconsiderationofthemutualpromisesandbenefitscontainedherein,thepartiesagreeasfollows:

1.PositionandDuties

1.1TheCompanyagreestoemploytheTalentinthepositionof[InsertPosition],reportingto[InsertSupervisor'sName].TheTalentshallperformsuchdutiesandresponsibilitiesasmaybeassignedbytheCompanyfromtimetotime.

1.2TheTalentagreestofaithfullyandefficientlydischargethedutiesandresponsibilitiesofthePosition,andtocomplywiththeCompany'spolicies,procedures,andregulations.

2.TermofAgreement

2.1ThisAgreementshallcommenceontheEffectiveDateandshallcontinueforatermof[InsertTerm],unlessearlierterminatedinaccordancewiththetermshereof.

2.2ThepartiesmayagreetoextendthetermofthisAgreementbymutualwrittenconsent.

3.CompensationandBenefits

3.1TheCompanyagreestopaytheTalentacompetitivesalaryof[InsertSalaryAmount]perannum,subjecttoapplicabletaxesandwithholdings.

3.2TheTalentshallbeentitledtoparticipateintheCompany'semployeebenefitplansandprograms,asmaybeestablishedfromtimetotime,includingbutnotlimitedtohealthinsurance,retirementbenefits,andpaidtimeoff.

4.ConfidentialityandNon-Disclosure

4.1TheTalentacknowledgesandagreesthatduringthecourseofemploymentwiththeCompany,he/shewillhaveaccesstocertainconfidentialandproprietaryinformationoftheCompany("ConfidentialInformation").

4.2TheTalentagreestomaintaintheconfidentialityofallConfidentialInformationandnottodiscloseorusesuchinformationforanypurposeotherthantheperformanceofhis/herdutiesfortheCompany.

5.Non-CompetitionandNon-Solicitation

5.1TheTalentagreesthatduringthetermofthisAgreementandforaperiodof[InsertPeriod]followingtheterminationofthisAgreement,he/sheshallnotengageinanybusinessoractivitythatiscompetitivewiththebusinessoftheCompanywithin[InsertGeographicalArea].

5.2TheTalentfurtheragreesthatduringthetermofthisAgreementandforaperiodof[InsertPeriod]followingtheterminationofthisAgreement,he/sheshallnotsolicitanyclient,customer,oremployeeoftheCompanytoengageinanybusinessoractivitycompetitivewiththebusinessoftheCompany.

6.Termination

6.1ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherpartyintheeventofamaterialbreachofanyprovisionhereofthatisnotcuredwithin[InsertTimePeriod]afterreceiptofwrittennoticethereof.

6.2ThisAgreementmayalsobeterminatedbyeitherpartyuponwrittennoticeintheeventofthedeathordisabilityoftheTalent.

6.3ThisAgreementmaybeterminatedbytheCompanywithoutcauseuponwrittennoticetotheTalent,providedthattheCompanyshallcontinuetopaytheTalent'ssalaryandbenefitsforaperiodof[InsertTimePeriod]followingsuchtermination.

7.GoverningLawandDisputeResolution

7.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertGoverningJurisdiction].

7.2AnydisputesorcontroversiesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[InsertArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.

8.EntireAgreement

8.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.

INWITNESSWHEREOF,thepartieshaveexecutedthisContractAgreementasoftheEffectiveDatefirstabovewritten.
