ThisContractAgreement(the"Agreement")ismadeandenteredintoonthedateabovebyandbetweenPartyAandPartyB(eacha"Party"andcollectivelythe"Parties").

1.ScopeofWork

1.1PartyAagreestoprovide[descriptionofservicesorgoods]toPartyB,inaccordancewiththespecificationsandrequirementssetforthbyPartyB.

1.2PartyBagreestoaccepttheservicesorgoodsprovidedbyPartyAandtopayPartyAtheagreed-uponcompensationforsuchservicesorgoods.

2.Compensation

2.1PartyBagreestopayPartyAatotalcompensationof[amount](the"Compensation"),asdetailedintheattachedScheduleA,fortheservicesorgoodsprovidedunderthisAgreement.

2.2TheCompensationshallbepaidbyPartyBtoPartyAwithin[number]daysafterthedateoftheinvoiceissuedbyPartyA.

3.Term

3.1ThisAgreementshallcommenceonthedatehereofandshallcontinueforaperiodof[duration],unlessearlierterminatedinaccordancewiththetermsofthisAgreement.

3.2eitherPartymayterminatethisAgreementbyprovidingwrittennoticetotheotherPartyatanytimepriortotheexpirationofthetermhereof.

4.Confidentiality

4.1ThePartiesagreetomaintaintheconfidentialityofanyandallconfidentialinformationdisclosedbyeitherPartytotheotherPartyduringthetermofthisAgreement,excepttotheextentthatsuchinformationisorbecomespubliclyknownthroughnofaultoftheParties.

4.2ThePartiesagreethatanybreachofthisconfidentialityobligationshallconstituteamaterialbreachofthisAgreement.

5.Indemnification

5.1PartyAagreestoindemnifyandholdharmlessPartyBagainstanyandallclaims,damages,losses,andexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwiththeperformanceofthisAgreement,excepttotheextentthatsuchclaims,damages,losses,andexpensesaredirectlycausedbythenegligenceorwillfulmisconductofPartyB.

5.2PartyBagreestoindemnifyandholdharmlessPartyAagainstanyandallclaims,damages,losses,andexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwiththeuseorsaleoftheservicesorgoodsprovidedunderthisAgreement,excepttotheextentthatsuchclaims,damages,losses,andexpensesaredirectlycausedbythenegligenceorwillfulmisconductofPartyA.

6.Miscellaneous

6.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheParties.

6.2ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothParties.

6.3Ifanyterm,provision,covenant,orconditionofthisAgreementisheldbyacourtofcompetentjurisdictiontobeinvalid,void,orunenforceable,theremainderoftheprovisionsshallremaininfullforceandeffectandshallinnowaybeaffected,impaired,orinvalidated.

6.4ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].
