2024服務(wù)合同范本中英文2024ServiceContractTemplatePartyA(ServiceProvider):_______________________PartyB(ServiceReceiver):_______________________ContractSigningDate:_______Year_______Month_______DaySigningLocation:________________________________鑒于PartyAisaprofessionalserviceprovider,andPartyBrequirescertainservicesforitsbusinessoperations.Bothparties,inaccordancewiththeprinciplesofequality,mutualbenefit,andgoodfaith,havereachedaconsensusthroughnegotiationandherebyenterintothisServiceContract.Article1ServiceContent1.1PartyAagreestoprovidethefollowingservicestoPartyBaccordingtothetermsofthisContract:_______.1.2Thespecificcontent,standards,andrequirementsoftheservicearedetailedinAnnex1"ServiceContentandStandards".1.3PartyAshallensurethequalityandefficiencyoftheservicesprovided,meetingthereasonableneedsofPartyB.Article2ServicePeriod2.1TheserviceperiodofthisContractshallcommencefrom_______Year_______Month_______Dayto_______Year_______Month_______Day.2.2Ifanextensionoftheserviceperiodisrequired,bothpartiesshallnegotiateinwritingatleast_______daysinadvance.Article3ServiceFees3.1PartyBagreestopaytheservicefeestoPartyAaccordingtothetermsofthisContract,withthetotalamountbeing:_______.3.2Themethodofpaymentfortheservicefeesshallbe:_______.3.3Thepaymentschedulefortheservicefeesshallbe:_______.Article4RightsandObligationsofPartyA4.1PartyAhastherighttocollectservicefeesasstipulatedintheContract.4.2PartyAshallprovideservicesinthetimeandmanneragreeduponandensurethecontinuityandstabilityoftheservices.4.3PartyAshallkeepconfidentialallmaterialsandinformationusedintheserviceprocessthatbelongtoPartyB.Article5RightsandObligationsofPartyB5.1PartyBhastherighttosupervisetheprovisionofservicesbyPartyAandmakereasonablesuggestionsandrequirements.5.2PartyBshallmaketimelypaymentsofservicefeesasagreed.5.3PartyBshallprovidenecessaryassistanceandinformationtoPartyAtofacilitatetheprovisionofservices.Article6ServiceModificationandTermination6.1EitherpartyrequiringamodificationoftheservicecontentorearlyterminationoftheContractshallgivewrittennoticetotheotherpartyatleast_______daysinadvance.6.2Ifforcemajeuremakesitimpossibletocontinueprovidingorreceivingservices,bothpartiesmayterminatetheContractwithoutbearinganyliabilityforbreachofcontract.6.3AftertheterminationoftheContract,bothpartiesshallsettlethefeesaccordingtotheactualservicesituation.Article7LiabilityforBreachofContract7.1IfPartyAfailstoprovideservicesontimeortheservicequalitydoesnotmeettheagreedstandards,PartyAshallbeartheliabilityforbreachofcontractandcompensateforthelossessufferedbyPartyB.7.2IfPartyBfailstopaytheservicefeesontime,PartyBshallpayliquidateddamagestoPartyAattherateof_______%perdayontheunpaidamount.Article8DisputeResolution8.1AnydisputesarisingduringtheperformanceofthisContractshallfirstberesolvedthroughfriendlynegotiation.8.2Ifnegotiationfails,eitherpartymaysubmitthedisputetothe_______ArbitrationCommissionforarbitrationorfilealawsuitwiththe_______People'sCourt.Article9OtherAgreements9.1AnymodificationsorsupplementstothisContractshallbemadeinwritingandshalltakeeffectafterbeingsignedandsealedbytheauthorizedrepresentativesofbothparties.9.2MattersnotcoveredbythisContractmaybenegotiatedanddeterminedseparatelybybothparties,andthewrittenformshallserveasasupplementtothisContract.9.3ThisContractismadeintwocopies,eachpartyholdingonecopy,withthesamelegaleffect.PartyA(Seal):_______________________PartyB(Seal):_______________________RepresentativeofPartyA(Signature):___________RepresentativeofPartyB(Signature):___________Pleaseprovidethesecondhalfofthecontractinthenextquestion.Article10ConfidentialityClause10.1BothpartiesshallkeepconfidentialallinformationinthisContractandanybusinesssecretsorprivateinformationlearnedintheperformanceofthisContract.10.2Withoutthewrittenconsentoftheotherparty,neitherpartymaydisclose,leak,orallowathirdpartytousetheaforementionedconfidentialinformation.Article11Annexes11.1TheannexestothisContractareanintegralpartoftheContractandhavethesamelegaleffectasthemaintext.11.2Thelistofannexesisasfollows:Annex1:ServiceContentandStandardsAnnex2:ServiceFeeDetailsAnnex3:ServicePeriodandTimelineAnnex4:CopiesofIdentityDocumentsofAuthorizedRepresentativesofBothPartiesArticle12BreachofContractandDetermination12.1Breachofcontractincludes,butisnotlimitedto,thefollowingsituations:PartyAfailstoprovideservicesasagreedortheservicequalitydoesnotmeettheagreedstandards.PartyBfailstopaytheservicefeesasagreedorpayslate.Eitherpartydisclosesconfidentialinformationinviolationoftheconfidentialityclause.12.2Thedeterminationofabreachofcontractshallbemadethroughnegotiationbetweenbothpartiesordeterminedbytherelevantjudicialauthoritiesaccordingtolaw.Article13LegalTermsandInterpretations13.1ThelegaltermsinthisContractshallbeinterpretedinaccordancewiththerelevantlawsandregulations."ServiceContract"referstothelegalactwherePartyAprovidescertainservicestoPartyB,andPartyBpaysthecorrespondingfees."BusinessSecrets"refertotechnicalinformationandbusinessinformationthatisknownbyPartyAorPartyBintheperformanceofthisContract,isnotpubliclyknown,canbringeconomicbenefitstooneparty,haspracticality,andhastakenconfidentialitymeasuresbythatparty.Article14ProblemsEncounteredinExecutionandSolutions14.1IntheprocessofexecutingthisContract,ifanyproblemsarise,bothpartiesshallfirstresolvethemthroughfriendlynegotiation.14.2Ifnegotiationisineffective,thedisputemayberesolvedthroughlegalmeansaccordingtothedisputeresolutionclauseagreedintheContract.14.3ForobstaclesintheperformanceoftheContractduetoforcemajeure,bothpartiesshallnegotiatearesolutionbasedontheactualsituation.Article15ApplicationScenarios15.1ThisContractappliestothefollowingservicescenarios:PartyBrequiresprofessionalconsultingservices,andPartyAhasthecapacitytoprovidesuchservices.PartyBrequirestechnicalsupportservices,andPartyAhasthecapacitytoprovidesuchservices.PartyBrequiresmarketresearchservices,andPartyAhasthecapacitytoprovidesuchservices.Annex1:ServiceContentandStandardsServiceItem:_______ServiceContent:_______ServiceStandards:_______CompletionTime:_______Remarks:_______Annex2:ServiceFeeDetailsServiceItem:_______ServiceFee:_______PaymentMethod:_______PaymentTime:_______Remarks:_______Annex3:ServicePeriodandTimelineServiceItem:_______StartTime:_______EndTime:_______KeyMilestones:_______Remarks:_______Annex4:CopiesofIdentityDocumentsofAuthorizedRepresentativesofBothPartiesCopyofIdentityDocumentofAuthorizedRepresentativeofPartyA:_______CopyofIdentityDocumentofAuthorizedRepresentativeofPartyB:_______Remarks:_______BreachofContractandDeterminationDetailsIfPartyAfailstoprovideservicesasagreedupon,orthequalityoftheservicedoesnotmeettheagreedstandards,itisconsideredabreachofcontract.IfPartyBfailstopaytheservicefeesasagreedupon,orpayslate,itisconsideredabreachofcontract.Ifeitherpartydisclosesconfidentialinformationinviolationoftheconfidentialityclause,itisconsideredabreachofcontract.Thebreachingpartyshallbearthecorrespondingliabilityforbreachofcontractandcompensatetheotherpartyforthelossessuffered.LegalTermsandInterpretations"ServiceContract"referstothelegalactwherePartyAprovidescertainservicestoPartyB,andPartyBpaysthecorrespondingfees."BusinessSecrets"refertotechnicalinformationandbusines
