賽郵短信服務(wù)SMSServiceAgreementThisSMSServiceAgreement(hereinafterreferredtoas"Agreement")isenteredintoasofthe_______dayof_____,20,byandbetween:ServiceProvider:__________(hereinafterreferredtoas"Provider"),acompanydulyorganizedandexistingunderthelawsof__________,withitsregisteredaddressat__________.Client:__________(hereinafterreferredtoas"Client"),acompanydulyorganizedandexistingunderthelawsof__________,withitsregisteredaddressat__________.WHEREAS,theProviderisengagedinthebusinessofprovidingSMSservicesandtheClientdesirestoutilizesuchservicesforitscommunicationneeds;andWHEREAS,theProvideragreestoprovideandtheClientagreestousetheSMSservicessubjecttothetermsandconditionssetforthherein.NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:Article1:Definitions1.1"SMSServices"shallmeantheShortMessageServiceprovidedbytheProvidertotheClient,whichincludesthesendingandreceivingoftextmessagestoandfromdesignatedrecipients.1.2"ServicePeriod"shallrefertothedurationofthisAgreementduringwhichtheSMSServicesareprovided.1.3"ConfidentialInformation"shallincludeallinformationdisclosedbyonepartytotheotherwhichismarkedasconfidentialorwhichshouldbereasonablyunderstoodtobeconfidentialgiventhenatureoftheinformationandthecircumstancesofdisclosure.Article2:ServiceDescription2.1TheProvidershallprovidetheClientwithaccesstoitsSMSServices,whichshallincludethecapabilitytosendSMSmessagestotheClient'sspecifiedrecipients.2.2TheSMSServicesshallbeprovidedinaccordancewiththeservicelevelsandspecificationsdescribedinExhibitA,whichisincorporatedhereinbyreference.Article3:ServiceFees3.1TheClientshallpaytotheProvideraservicefee("ServiceFee")fortheuseoftheSMSServices.TheServiceFeeshallbecalculatedbasedonthevolumeofSMSmessagessentasdetailedinExhibitB.3.2TheServiceFeeisexclusiveofanyapplicabletaxes,duties,andgovernment-imposedcharges,whichshallbetheresponsibilityoftheClient.Article4:PaymentTerms4.1TheClientshallpaytheServiceFeeinaccordancewiththepaymentscheduleoutlinedinExhibitC.4.2Allpaymentsshallbemadein__________(currency)andshallberemittedtothebankaccountspecifiedbytheProvider.Article5:TermandTermination5.1ThisAgreementshallcommenceontheEffectiveDateandshallcontinuefortheServicePeriodspecifiedinExhibitD,unlessterminatedearlierbyeitherparty.5.2EitherpartymayterminatethisAgreementupon__________days'writtennoticetotheotherpartyiftheotherpartybreachesanymaterialtermofthisAgreementandfailstocuresuchbreachwithin__________daysafterreceiptofwrittennoticethereof.Article6:Warranties6.1TheProviderwarrantsthattheSMSServiceswillbeperformedinaprofessionalandworkmanlikemannerandwillconformtotheservicelevelsdescribedinExhibitA.6.2TheClientrepresentsandwarrantsthatithastherighttousetherecipientdataprovidedtotheProviderforthepurposeofsendingSMSmessages.Article7:Confidentiality7.1BothpartiesagreetoholdinconfidenceandnotdisclosetoanythirdpartyanyConfidentialInformationoftheotherparty,exceptasrequiredbylaworwiththepriorwrittenconsentofthedisclosingparty.Article8:LimitationofLiability8.1TheProvider'sliabilityforanybreachofthisAgreementshallbelimitedtotheServiceFeespaidbytheClientinthetwelve(12)monthsprecedingtheeventgivingrisetotheclaim.8.2InnoeventshalltheProviderbeliableforanyindirect,incidental,special,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.Article9:Indemnification9.1TheClientshallindemnify,defend,andholdtheProviderharmlessfromandagainstanyandallclaims,damages,losses,andexpensesarisingoutoforinconnectionwiththeClient'suseoftheSMSServicesorbreachofthisAgreement.Article10:IntellectualPropertyRights10.1TheProviderretainsallright,title,andinterestinandtotheSMSServices,includingallintellectualpropertyrightstherein.10.2TheClientacknowledgesthatitisobtainingonlyalimitedrighttousetheSMSServicesduringtheServicePeriodandsubjecttothetermsofthisAgreement.Article11:CompliancewithLaws11.1TheClientshallcomplywithallapplicablelawsandregulationsinitsuseoftheSMSServices.Article12:Assignment12.1ThisAgreementandtherightsandobligationshereundermaynotbeassignedbytheClientwithoutthepriorwrittenconsentoftheProvider.Article13:ForceMajeure13.1NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementtotheextentthatsuchfailureordelayiscausedbyeventsbeyondthereasonablecontrolofthatparty,includingbutnotlimitedtoactsofGod,war,terrorism,riots,ornaturaldisasters.Article14:Notices14.1Allnotices,requests,demands,andothercommunicationsunderthisAgreementshallbeinwritingandshallbedeemeddulygivenwhendeliveredpersonally,byovernightcourierservice,orthreedaysafterbeingsentbyregisteredorcertifiedmail,postageprepaid,totheaddressessetforthinExhibitE.Article15:EntireAgreement15.1ThisAgreement,includingallexhibitsandattachments,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreementsandunderstandings,whetherwrittenororal.Article16:Amendments16.1ThisAgreementmaybeamendedormodifiedonlyinwritingsignedbybothparties.Article17:Waiver17.1Nowaiverbyeitherpartyofanybreachordefaulthereundershallbedeemedawaiverofanyprecedingorsubsequentbreachordefault.Article18:Severability18.1IfanyprovisionofthisAgreementisheldbyacourtofcompetentjurisdictiontobeinvalidorunenforceable,suchprovisionshallbeenforcedtotheextentpossibleandtheremainingprovisionsshallremaininfullforceandeffect.INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasofthedatefirstabovewritten.ServiceProvider:__________Client:__________（注：以上內(nèi)容為合同的前半部分，待續(xù)。）Article19:Non-Exclusivity19.1TheProvider'sprovisionoftheSMSServicestotheClientisnon-exclusive,andtheProvidermayprovidesimilarservicestootherclients.Article20:DataPrivacyandSecurity20.1TheProvidershallmaintainappropriateadministrative,physical,andtechnicalsafeguardstoprotectthesecurityandconfidentialityoftheClient'sdata.20.2TheClientshallberesponsiblefortheaccuracyandlegalityofalldataprovidedtotheProviderfortheSMSServices.Article21:ServiceLevelsandPerformanceMetrics21.1TheProvidershallusecommerciallyreasonableeffortstomeettheservicelevelsandperformancemetricsasdetailedinExhibitF.21.2TheProvidershallprovidetheClientwithregularreportsontheperformanceoftheSMSServices.Article22:ClientResponsibilities22.1TheClientshallberesponsibleforthecontentoftheSMSmessagesandensuringthatsuchcontentcomplieswithallapplicablelawsandregulations.22.2TheClientshallnotusetheSMSServicesforanyillegal,harmful,orfraudulentpurposes.Article23:SuspensionofService23.1TheProvidermaytemporarilysuspendtheSMSServicesifitbelieves,initssolediscretion,thattheClient'suseoftheservicemayviolateanylawsorthisAgreement.Article24:TerminationforCause24.1Inadditiontoanyotherremediesitmayhave,eitherpartymayterminatethisAgreementiftheotherpartybreachesanymaterialtermofthisAgreementandfailstocuresuchbreachwithin__________daysafterreceiptofwrittennoticethereof.Article25:EffectofTermination25.1UponterminationofthisAgreementforanyreason,allrightsandlicensesgrantedtotheClientshallimmediatelycease,andtheClientshallpromptlypayallamountsduetotheProvider.Article26:Post-TerminationObligations26.1UponterminationorexpirationofthisAgreement,theProvidershall,attheClient'srequestandexpense,returnordestroyalloftheClient'sdatainitspossession.Article27:AuditRights27.1TheProvidershallhavetherighttoaudittheClient'suseoftheSMSServicestoensurecompliancewiththisAgreement,uponreasonablenoticeandduringnormalbusinesshours.Article28:Third-PartyBeneficiary28.1ThisAgreementisintendedtobenefitonlythepartiesheretoandisnotintendedtobenefit,orbeenforceableby,anythirdparty.Article29:Publicity29.1NeitherpartymaydisclosetheexistenceortermsofthisAgreementwithoutthepriorwrittenconsentoftheotherparty,exceptasmayberequiredbylaworbyanyregulatoryauthority.Article30:Anti-Assignment30.1TheClientshallnotassign,delegate,orotherwisetransferthisAgreementoranyrightsorobligationshereunderwithoutthepriorwrittenconsentoftheProvider.Article31:ExecutioninCounterparts31.1ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,andallofwhichtogethershallconstituteoneandthesameinstrument.Article32:GoverningLawandJurisdiction32.1ThisA
