1.PurposeoftheContract

1.1Objective:ThisAnnualFrameworkAgreement(the"Agreement")isestablishedtodefinethetermsandconditionsgoverningtherelationshipbetweenPartyAandPartyBforthedurationofoneyear.Theobjectiveistooutlinethegeneralframeworkunderwhichspecifictransactionswilloccurthroughouttheyear.

2.ScopeofAgreement

2.1ScopeDescription:TheAgreementcoverstheprovisionof[goods/services]asoutlinedinspecificordersplacedPartyAandacceptedPartyBwithinthetermofthisAgreement.

2.2SpecificDeliverables:DetaileddescriptionsofthegoodsorservicestobeprovidedwillbespecifiedinindividualPurchaseOrdersorWorkOrdersissuedunderthisAgreement.

3.TermandTermination

3.2Renewal:ThisAgreementmayberenewedforadditionaltermsuponmutualwrittenagreementofbothparties.

3.3Termination:EitherpartymayterminatethisAgreementwithawrittennoticeof____________________________days.TerminationmaybeforanyreasonorforbreachofcontractasdetailedinSection9.

4.ObligationsandResponsibilities

4.1PartyA’sObligations:PartyAagreestoplaceordersandmakepaymentsasspecifiedinthePurchaseOrders.PartyAisresponsibleforprovidingaccurateandtimelyinformationrequiredPartyB.

4.2PartyB’sObligations:PartyBagreestodeliverthegoodsorservicesasspecifiedineachPurchaseOrder,meetingthequalityandtimelinessstandardsoutlinedinthisAgreement.

5.PricingandPaymentTerms

5.1Pricing:ThepricingforgoodsorserviceswillbeassetforthinindividualPurchaseOrdersorasnegotiatedandagreeduponinwritingbothparties.

5.2PaymentTerms:Paymentwillbemadewithin____________________________daysfromthedateofinvoice.InvoicesshouldbesubmittedaspertheagreedtermsinthePurchaseOrders.

5.3Currency:AllpaymentsunderthisAgreementshallbemadein____________________________currency.

6.Confidentiality

9.1Modifications:AnyamendmentsormodificationstothisAgreementmustbemadeinwritingandsignedauthorizedrepresentativesofbothparties.

9.2EntireAgreement:ThisAgreementconstitutestheentireunderstandingbetweenthepartiesandsupersedesallprioragreementsandunderstandingsrelatedtothesubjectmatterhereof.

10.Notices

11.Miscellaneous

11.1Severability:IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

11.2Waiver:FailureeitherpartytoenforceanytermofthisAgreementdoesnotconstituteawaiverofthattermoranyotherterm.

11.3Assignment:NeitherpartymayassignortransferitsrightsorobligationsunderthisAgreementwithoutpriorwrittenconsentfromtheotherparty.
