2024版苗木采購協(xié)議書2024StandardSaplingPurchaseAgreementAgreementNo.:________________________Purchaser(PartyA):_________________________Address:___________________________________AuthorizedRepresentative:_______________________ContactNumber:_________________________Supplier(PartyB):_________________________Address:___________________________________AuthorizedRepresentative:_______________________ContactNumber:_________________________Preamble:ThisSaplingPurchaseAgreement("Agreement")isenteredintobyandbetweenPartyAandPartyB,withPartyAdesiringtopurchaseandPartyBagreeingtosupplysaplingsonthetermsandconditionssetforthherein.Article1:SaplingstobePurchased1.1PartyAagreestopurchaseandPartyBagreestosupplythefollowingtypesandquantitiesofsaplings:Species/Variety:___________________________Quantity:___________________________________Caliper/DiameteratBreastHeight(DBH):________Height:_____________________________________Age:________________________________________Article2:SpecificationsandQualityStandards2.1Thesaplingsshallconformtothefollowingspecificationsandqualitystandards:HealthandDiseaseFree:____________________RootSystem:________________________________StemQuality:_______________________________CrownDevelopment:___________________________OtherRequirements:________________________Article3:Price3.1Thepurchasepriceforeachsaplingshallbe$,withatotalcontractvalueof$forthetotalquantityspecifiedinArticle1.Article4:PaymentTerms4.1PartyAshallpayPartyBadepositof_______%ofthetotalcontractvaluewithin_______daysoftheexecutionofthisAgreement.4.2Thebalanceofthepurchasepriceshallbepaidupondeliveryandacceptanceofthesaplings.Article5:Delivery5.1DeliveryofthesaplingsshallbemadebyPartyBtothefollowingaddress:DeliveryAddress:___________________________5.2Thesaplingsshallbedeliveredonorbeforethedateof_______.Article6:Acceptance6.1PartyAshallhavetherighttoinspectthesaplingsupondeliveryandmayrejectanythatdonotmeettheagreedspecificationsandqualitystandards.Article7:Warranty7.1PartyBwarrantsthatthesaplingsarehealthy,freefromdiseasesandpests,andmeetthequalitystandardsspecifiedinArticle2.Article8:BreachandRemedies8.1IntheeventofbreachbyPartyB,PartyAmayterminatethisAgreementandseekdamagesorspecificperformanceasremedies.Article9:ForceMajeure9.1NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementtotheextentthatsuchfailureordelayiscausedbyforcemajeure.Article10:IntellectualProperty10.1PartyBrepresentsandwarrantsthatthesaleofthesaplingsdoesnotinfringeuponanythird-partyintellectualpropertyrights.Article11:Confidentiality11.1BothpartiesagreetokeepconfidentialanyproprietaryinformationreceivedfromtheotherpartyinconnectionwiththisAgreement.Article12:DisputeResolution12.1AnydisputesarisingoutoforinrelationtothisAgreementshallberesolvedbynegotiation,andifnotresolved,thenbyarbitrationinaccordancewiththerulesofthe________ArbitrationInstitution.Article13:GoverningLaw13.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictioninwhichPartyAisincorporated.Article14:Amendments14.1ThisAgreementmayonlybeamendedinwritingsignedbybothparties.Article15:EntireAgreement15.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,understandings,andagreements.Article16:Notices16.1Allnoticesorcommunicationsshallbeinwritingandshallbedeemedgivenwhendeliveredpersonallyorsentbyregisteredmail,returnreceiptrequested,totheaddressesspecifiedinthisAgreement.Article17:ExecutioninCounterparts17.1ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.Schedule1:SaplingSpecificationandQualityStandardsSchedule2:DeliveryandInspectionProcedureSchedule3:PaymentandInvoiceSchedulePurchaser(PartyA)(Stamp):_________________________AuthorizedSignatory:___________________________Date:__________________________________--Supplier(PartyB)(Stamp):_________________________AuthorizedSignatory:___________________________Date:__________________________________--[Endofthefirsthalfofthecontract]2024StandardSaplingPurchaseAgreement(Continued)Article18:Assignment18.1NeitherpartymayassignortransferanyofitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty,exceptaspermittedbythisAgreement.Article19:IndependentContractors19.1Thepartiesareindependentcontractors,andnothinginthisAgreementshallbeconstruedtocreateapartnership,agency,orjointventurebetweenthem.Article20:Waiver20.1Thewaiverbyeitherpartyofanybreachordefaultshallnotbedeemedawaiverofanyprecedingorsubsequentbreachordefault.Article21:Third-PartyBeneficiary21.1Therearenothird-partybeneficiariestothisAgreementexceptasexpresslyprovidedherein.Article22:Survival22.1TherightsandobligationsunderArticlesconcerningindemnification,warranty,confidentiality,andintellectualpropertyshallsurvivetheterminationorexpirationofthisAgreement.Article23:Counterparts23.1ThisAgreementmaybeexecutedincounterparts,andeachcounterpartshallbedeemedanoriginalandallcounterpartstogethershallconstituteoneandthesameinstrument.AttachmentsandSupplementaryExplanationsI.AttachmentList:Schedule1:SaplingSpecificationandQualityStandards,detailingthespecificrequirementsforthesaplings.Schedule2:DeliveryandInspectionProcedure,outliningtheprocessforthedeliveryandinspectionofsaplings.Schedule3:PaymentandInvoiceSchedule,specifyingthepaymenttermsandinvoicingprocess.Schedule4:CertificateofOrigin,verifyingthesourceofthesaplings.Schedule5:HealthCertificate,confirmingthesaplingsarefreefromdiseasesandpests.II.BreachofContractandDetermination:Failuretodeliverthesaplingsaspertheagreedschedule.Failuretomeetthequalitystandardsspecifiedinthecontract.Non-paymentorlatepaymentbyPartyAbeyondthestipulatedterms.Breachofwarrantyregardingthehealthandqualityofthesaplings.Unauthorizeduseordisclosureofconfidentialinformation.III.LegalTermsandDefinitions:Assignment:Thetransferofrightsorobligationsunderacontracttoathirdparty.IndependentContractors:Entitiesthatperformworkorprovideservicesindependentlywithoutbeingpartoftheotherparty.Waiver:Thevoluntaryrelinquishmentofaknownright.Third-PartyBeneficiary:Apersonorentitywhoisnotapartytothecontractbuthasarighttoenforcesomeorallofitsterms.IV.IssuesEncounteredDuringExecutionandSolutions:DelayinDelivery:PartyBshouldnotifyPartyAofthedelayandnegotiateareviseddeliveryschedule.QualityDiscrepancies:PartyAshouldreportanyqualityissueswithintheacceptanceperi
