oftheDrawings,theEmplContractorattheContractor'scosts.TheContractorshallnotu發(fā)包人應(yīng)向承包人提供7套圖紙。承包人需要增加圖紙?zhí)讛?shù)的，發(fā)包人應(yīng)代為復(fù)制，復(fù)制費4.2TheContractormustnotprovapproval.WhenthequalitywarrantyperiodofthePoftheDrawingstotheEmployerexceptforthoseforProjectinspectionbytheEngineersandtheEmployer'sPersonnel.GeneralRightsandObligationsofBothParties雙方一般權(quán)利和義務(wù)5.EngineersandEmployer'sRepresentative工程師和發(fā)包人代表5.1TheEngineersshallexercisethemrightswiContractorconfirms:iftheEmployerrequires,accordingtotheagreementsftheContractorduringtheperfobeobtainedbeforetheEngineersexercisecertainapprovalandthoseactswithouttheapprovaloftheEmployershallnotbebinTheEmployerandtheContractorfurtherconfirmthat發(fā)包人和1)anyactsperformedbytheEngobligationsundertheContract,otherwisesuchactsshallhaveno1)工程師根據(jù)專用條款之權(quán)限履行的任何行為均不會增加發(fā)包人的義務(wù)，更不會解除或減2)anyactsoftheEngineersbeyondthescopeasauthorizedbytheEmployerwillnotberecognizedbytheEmployer,andtheEmployerwillnotbearanyliabilitiesarisingoutthere2)超過發(fā)包人授權(quán)范圍的工程師的任何行為都不會得到發(fā)包人的認可，并且發(fā)包人將不承extensionoftheProjectPeriodandtheincreaseocertifyandconfirmEngineerwithintheauthorizationscopeagreedundertheParticularTermsoftheContract.3)工程師在任何情況下都不會在工期順延和合同價款增加之事宜上得到任何授權(quán)，也無權(quán)andcontractmanagementwithregardtotheProjectonbehalfoftheEmployer.5.4DuringtheperformancoftheEmployerandtheContractoroccurs,Contract.IfeitherPartydisputestaccordancewithArticle35oftheContractinrespectofdisputesettlement.職權(quán)范圍內(nèi)客觀公正地進行處理。一方對監(jiān)理工程師的處理有異議時，按本合同條款第355.5TheEngineersshallhavenorightstoterminateanyoftheContrac務(wù)6.AppointmentoftheEngineersandInstrurighttogiveinstructionswithinthescopeasagreescopetheinstructionshallbegivenbytheEmplpersonalsignatureandwritesthereceivingtimeonit.Whennecessary,toralinstruction,whichshaContractorshallimplementtheinstruction.IftheEngineerscannotprovidehiswritingrequestforconfirmat程師可發(fā)出口頭指令，并在2個工作日內(nèi)給予書面確認，承包人對工程師的指令應(yīng)予執(zhí)行。工程師不能及時給予書面確認的，承包人應(yīng)于工程師發(fā)出口頭指求。工程師在承包人提出確認要求后2個工作日內(nèi)不予答復(fù)的，視為口頭指令已被確認。IftheContractorconsidersthattheEngineers'instructionisunreasonable,hemustsubmitaproposalinwritingtotheEngineersformodifyingtheinstruction,andtheEnimplementingtheoriginalinstructionandnotifytheContractorinwritingthereofwithin24hoursafterreceivingtheContractor'sproposEngineers'instructionwhichtheEngineEngineersdeterminetocontinueimplementinginspiteoftheContrac如承包人認為工程師指令不合理，應(yīng)在收到指令后的24小時內(nèi)向工程師提出修改指令的書面報告，工程師在收到承包人報告后24小時內(nèi)作出修改指令或繼續(xù)執(zhí)行原指令的決定，并6.2TheinstructionoftheEmployer'writteninstructionor2)OralInstruction:theEmployer'sRepresentativeandhisauthorizedrepresentinstructions.IftheContractorfailstoreceivethewrittenconfirmationfromtheEmployer'sRepresentativewithinconfirmationwithin7dgivestheoralinstruction;IftheEmployer'sRepresenta口頭指令：發(fā)包人代表及其授權(quán)人可發(fā)出口頭指令，并在指令發(fā)出后的2個工作日內(nèi)給予書其授權(quán)人發(fā)出口頭指令后7天內(nèi)提出書面確認要求；發(fā)包人代表在承包人提出確認要求后的2個工作日內(nèi)不予答復(fù)的，視為口頭指令已被確認。IftheContractordeemstheinstructionsgivenbytheinstruction.TheEmployer'sRepcontinuetoimplementtheoriginalinstructionandnotifytheContractorinwritingthereofwithiworkingdaysafterreceivingtheConstillimplementtheinstructionswhichisrequiredbytheEmployer'sRepreimplementedimmediatelybythetocontinueimplementinginspiteoftheContractor's如承包人認為發(fā)包人代表發(fā)出的指令不合理，其應(yīng)在收到指令后的24小時內(nèi)向發(fā)包人代表提出書面報告。發(fā)包人代表應(yīng)在收到承包人報告后的2個工作日內(nèi)作出修改指令或繼續(xù)執(zhí)行6.3TheSupervisor,TKSBauplanungGmbH,orwritingatleast7days如需更換工程師或和發(fā)包人代表，監(jiān)理公司，7.ProjectManager項目經(jīng)理7.2Anotice,requestordemandissuedbytheContractoraccorinwriting,signedbytheProjectManagerandRepresentative,andsuchnoticEmployer'sRepresentativesigntheirrespectivenamesandthereceivingtimeonthereturnofthe7.3TheProjectManagershallorganizetheconstructionworkorganizationdesign(tbytheEngineersand/ortheEmployer'sRepresentativeaccordingtothisContract.InemergencyandwhentheEngineersandtheEmployer'sRepresentaProjectManagershalltakeemergencymeasuresthoursaftersuchmeasuresaretaken.IftheEmployerorathirdpartyisresponsibloccurrenceoftheemergency,thandtheProjectPeriodwillbepostponedaccordingly.IftheContractemergency,heshallbeartheExpensesandtheProjectPeriodwillnotbepostponed.項目經(jīng)理按發(fā)包人認可的施工組織設(shè)計(施工方案)及工程師和/或發(fā)包人代表依據(jù)合同發(fā)證人員生命和工程、財產(chǎn)安全的緊急措施，并在采取措施后24小時內(nèi)向工程師和發(fā)包人代7.4TheProjectManagerconfirmedbytheEmployershallpriContractorneedstoreplacetheProjectManagerwithsufficientreason,theContractormustnotinwritingtotheEmployeratleas至少提前7天以書面形式通知發(fā)包人，并征得發(fā)包人同意。后任繼續(xù)行使本合同約定的前任7.5TheEmployerhastherighttorequiretheContractortoreplacetheincompetentbytheEmpwithin2daysafterreceivingthewritingnoticefromtheEm8.WorkstobedonebytheEmployer發(fā)包人工作(1)Completetheworkforlandconfiscation,compensationfordemolitionofhorelocationofresidentsandlevelingofftheconstructionSiteetcinordertomaconstructionconditions;andtheEmremainingproblemsarisingoutoftheaboveissuesafterthecommencementoftheconstruction.(2)Connectthelinesforsupplyofwater,electricityandtelecommunicationnecessarytothecourseofconstruction.將施工所需水、電、電訊線路從施工場地外部接至場地，保證施工ortheProjectandensf開通施工場地與城鄉(xiāng)公共道路的通道，以滿足施工運輸?shù)男枰?，保證施工(4)ProvidetotheContractorwiththegeoandpermitsnecessarytotheexecutionworks,temporarylanduse,interruptionofwatersupply,(6)ConfirmthebenchmarkandCartesiinArticle8.1fortheEmployer,andtherelatedExpenseswillbeb承包人應(yīng)在14天內(nèi)完成以下工作：(3)PresenttheEngineerstheweeklyandmonthlyprogressscheduleandrelevanrequirementsoftheSupvervisor.(6)Complywithrulesregardingtransportation,noise,environmentalprotectionandsafetyofconstructionontheSite,promulgatedbythcompleterelevantformalitiesandnotifytheEmployeroftheformalitiesinwriting.AExpensesarisingoutthereofandpenaltycausedbytheContractorwillbebornebytheContractor.(7)WithrespecttothecomploftheProjectrequiringtheContractor'sspecialpr(8)CompletetheworkwithrespecttotheprotectionoftheundergroundpipelinesbeneaththeSite,theadjacentbuildingsand做好施工場地地下管線和鄰近建筑物、構(gòu)筑物(包括文物和保護建筑)、古樹名木的保護工(9)EnsurethatthecleannessoftheSiteisinconformitywiththerelevantregulationsinrespectofrelevantrequirementsofJiangsuProvinceMunicipalityconcerningconstructionproject;andundertakeanylossandpenaltycausedbytheContractor'sviolationofrelevantregulationstheEmployer,theContractorshallcompensatetherelevantlossesoftheEmployer.承包人未能履行9.1款各項義務(wù)，造成發(fā)包人損失的，承包人賠償發(fā)包人有關(guān)損失。ConstructionOrganizationDesignandProjectPerscheduletotheEmploreceivingthemove-innoticefromtheEmployer.AndtheTKSEngineerandreceivingtheaforementioneddocuments,failureofwhichshallbedeemedasthec承包人應(yīng)在收到發(fā)包人書面進場通知后的5個工作日內(nèi)，向發(fā)包人代表和工程師提交一份詳10.2TheContractorshallorganizetconfirmedbytheTKSEngineerandtheEmployer'sRepresentatandsupervisionbytheEngineersandthbytheEngineersand/ortheEmployer'sRepresentativeiftheactualworapprovedbytheTKSEngineerclaimAdditionalContractPricefortheimprovementmeasuresiftheinconsistencybetweenactualscheduleandplannedscheduleisattributableto承包人必須按TKS工程師和發(fā)包人代表確認的進度計劃組織施工，接受工程師和發(fā)包人代表對進度的檢查、監(jiān)督。工程實際進度與經(jīng)確認的進度計劃不符時，承包人應(yīng)按工程師和/或發(fā)包人代表的要求在三天內(nèi)提出改進措施，經(jīng)TKS工程師和發(fā)包人代表確認后執(zhí)行。因承包人的原因?qū)е聦嶋H進度與進度計劃不符，承包人Theapprovaloforconsenttotheaboveexecutionorganizatiamendment,variationandadjustmeliabilityfortheProjectPeriod發(fā)包人或發(fā)包人代表對上述施工組織設(shè)計和工程進度計劃的批準(zhǔn)和同意將不會被視為構(gòu)成Agreement.IftheContractorcannotcommenceontime,theContractexplicitapprovalisobtainedfCommencementDateandtheProjectPeriodshallbeextendedaccordinglIftheSitecannotbedeliveredontimeduetoreasonsattributabletotheEoftheSiteactually.TheComstatementofopinion.TheContractorscompletedconstructionsaccordingtotherequirementoftheEmpiftheEmployer'sRepresentativefailstoprovidethewrittenstatementofabove-mentionedtimelimit,orfailstoreplywithin48hoursafterreceivinapplicationfromtheContractor.IftheEmployershallassumetheAdditionalContractPricearisingoutthereofandtheProjshallbeextendedaccordingly;Ifthes應(yīng)在提出要求后3天內(nèi)提出書面處理意見。承包人應(yīng)當(dāng)按發(fā)包人代表要求停止施工，并妥善包人代表應(yīng)當(dāng)在48小時內(nèi)給予答復(fù)。發(fā)包人代表未能在規(guī)定時間內(nèi)提出處理意見，或收到承包人復(fù)工要求后48小時內(nèi)未予答復(fù)，承包人可自行復(fù)工。因發(fā)包人原因造成停工的，由13.DelayinProjectPeriod工期延誤13.1TheProjectPerioEmployer'sRepresentativeifoneorseveralofthefollowingmatterscausesthedelay:因以下原因造成工期延誤，經(jīng)TKS工程師和發(fā)包人代表(1)TheEmployerfailstoprovidetheDrawingsas(2)TheEmployerfailstopunctuallymakepaymentoftheContractPriceformorethanthirty(3dayswithoutanyjustifiablereasons,whichrendersthattheProjectcannotbecontinuednormally.發(fā)包人未能按約定日期支付工程款超過30天，并且沒有合理的理由的，致使施工不能正常(4)OthersituationsunderwhichtheProjectPeriodshsubmittotheEmployer'sRepresentativeandtheTKSEnginethecontentofthedelayandtheecinformationtotheEmployer'sReprescorrespondingplanormaterial,theContractorshallprovidethesameuncondtheTKSEngineerattheendofeachmonthrequirementoftheEmployer'sRepresentativeandtheTKSEngineerfromtimetotime.在13.1款之情況發(fā)生后7天內(nèi)，承包人應(yīng)就延誤的內(nèi)容和因此發(fā)生的經(jīng)濟支出向發(fā)包人代代表和TKS工程師在收到報告后，將按經(jīng)批準(zhǔn)的施工組織設(shè)計和工程進度計劃就該等事項可能對工期造成的影響進行評價，并在14天內(nèi)予以書面確認、答復(fù)。如發(fā)包人代表和TKS可能引用的上述原因是持續(xù)發(fā)生的事件，承包人應(yīng)在該類事件發(fā)生后7天內(nèi)及時向發(fā)包人代IftheContractor'sfailstocomplefthisGeneralTermsoftheContract.13.3IftheProjectPeriodisdelayedduetoreasonsContractorfurtherfailstofulfillthemeasuresforimprovemerequirement,theEmployerisentitledtoentrustotherconstructionenterprisetoindemnifytheEmployerfromandagainstanyExpensesarisingoutthereof.AgreementorthepostponeddateasagreedbytheEmployer'sRepresentat承包人必須按照協(xié)議書約定的竣工日期或發(fā)包人代表及TKS工程師同意順延的工期竣工。14.2TheContractorshallundoftheContractifhecannotcompletetheProjectonAgreementorthepostponeddateasagreedbytheEngineersduetoreasonsa14.3Duringtheconstruction,iftheEmployerrequeststocompletetheProjenegotiation,whichwillbeasparContractor'smeasurestoensurequalityandsafetyoftheProjectandthecondQualityandInspection質(zhì)量與檢驗15.1ThequalityoftheProjectshallupon,theContractorshallundertaketheliabilityforbreach..TheContractorfurtherwarrantsthattheProjectcansatisfythefo1)Thedesign,materiprovisionsundertheContractandmworknotshowninanyContractDocumentsbutofthePRC.
