**1.Appointment**

2.2Agentshallberesponsibleforallsales,marketing,andpromotionalactivitiesintheTerritoryandshallprovidetheCompanywithregularreportsonthesalesperformanceandmarketconditionsintheTerritory.

**3.TermsofPayment**

5.1BothpartiesagreetomaintaintheconfidentialityofthetermsandconditionsofthisAgreementandanyotherconfidentialinformationexchangedbetweentheparties,excepttotheextentnecessarytoperformtheirobligationsunderthisAgreement.

5.2TheconfidentialityobligationssetforthinthisSectionshallsurvivetheterminationofthisAgreement.

**6.GoverningLawandDisputeResolution**

6.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertGoverningJurisdiction].
