Parties

ThisAgreement(the"Contract")ismadeandenteredintoasof[Date],byandbetween:

Recitals

WHEREAS,theBuyerdesirestopurchasecertaingoods(the"Goods")fromtheSupplier;

WHEREAS,theSupplieriswillingtosupplytheGoodstotheBuyeronthetermsandconditionssetforthherein;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thePartiesagreeasfollows:

1.PurchaseandSaleofGoods

1.1TheBuyeragreestopurchase,andtheSupplieragreestosell,theGoodsdescribedinExhibitAattachedhereto.

1.2ThepurchasepricefortheGoodsshallbe[Price],payableinaccordancewithSection3below.

2.DeliveryofGoods

2.1TheSuppliershalldelivertheGoodstotheBuyer'sdesignatedaddressin[Country]onorbefore[DeliveryDate].

2.2TheSuppliershallensurethattheGoodsareproperlypacked,labeled,andincompliancewithallapplicablelawsandregulations.

3.PaymentTerms

3.1TheBuyershallpaythepurchasepricefortheGoodswithin[Number]daysafterthedateoftheinvoiceissuedbytheSupplier.

3.2PaymentshallbemadebywiretransfertotheSupplier'sdesignatedbankaccount,inthecurrencyandaccordingtothepaymentdetailssetforthinExhibitBattachedhereto.

4.Warranties

4.1TheSupplierwarrantsthattheGoodsshallbefreefromdefectsinmaterialsandworkmanshipandshallconformtothespecificationssetforthinExhibitA.

4.2TheSupplier'ssoleliabilityforanybreachofwarrantyshallbe,atitsoption,torepairorreplacethedefectiveGoodsortorefundthepurchasepricepaidforsuchGoods.

5.IntellectualProperty

5.1TheSupplierrepresentsandwarrantsthatthesaleanduseoftheGoodswillnotinfringeanythird-partyintellectualpropertyrights.

5.2TheBuyershallnotuseanyoftheSupplier'strademarks,tradenames,orotherproprietaryrightswithouttheSupplier'spriorwrittenconsent.

6.Confidentiality

6.1EachPartyagreestomaintaintheconfidentialityofanyconfidentialinformationdisclosedbytheotherPartyduringthetermofthisContract.

6.2TheconfidentialityobligationshallnotapplytoinformationthatisalreadyknowntothereceivingParty,publiclyavailable,orlegallyrequiredtobedisclosed.

7.ForceMajeure

NeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,ordisruptionsintransportation.

8.GoverningLawandDisputeResolution

8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].

8.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.

9.GeneralProvisions

9.1ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.

9.2AnyamendmentsormodificationstothisContractshallbeinwritingandsignedbybothParties.

9.3IfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

9.4NoticesandothercommunicationsunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenwhensentbyemail,courier,orregisteredmailtotheaddressesspecifiedintheopeningparagraphhereof.
