1.ProductInformation

1.1PartyA(the"Buyer")agreestopurchasefromPartyB(the"Supplier")theproducts(the"Products")describedintheattachedProductSpecificationSheet.

1.2TheSuppliershallprovidetheBuyerwiththelatestcatalogoftheProducts,includingtechnicalspecifications,drawings,samples,andotherrelevantinformation.

2.OrderandDelivery

2.1TheBuyershallplaceanorderwiththeSupplierinwriting,specifyingthetype,quantity,price,deliverydate,andothernecessarydetailsoftheProducts.

2.2TheSuppliershallconfirmtheorderinwritingwithin[number]daysafterreceivingitandshallprovidetheBuyerwithadeliveryschedule.

2.3TheSuppliershalldelivertheProductstotheBuyer'sdesignatedlocationwithintheagreedtimeframe.IftheSupplierfailstodelivertheProductsontime,theBuyershallhavetherighttorequestadelayorterminatethecontract.

3.QualityandInspection

3.1TheSupplierguaranteesthattheProductsconformtotheagreed-uponspecifications,standards,andqualityrequirements.

3.2TheBuyershallhavetherighttoinspectandtesttheProductsattheSupplier'spremisesorattheplaceofdelivery.IftheProductsfailtomeettheagreed-uponspecifications,theBuyershallhavetherighttorejectthemandrequestareplacementorrefund.

4.PriceandPaymentTerms

4.1ThepriceoftheProductsshallbeasspecifiedintheBuyer'sorder.Thepriceincludestransportationcosts,insurance,customsduties,andotherrelevantfees.

4.2TheBuyershallmakepaymentfortheProductswithin[number]daysafterreceivingtheSupplier'sinvoice.Thepaymentmethodshallbemutuallyagreeduponbytheparties.

5.Confidentiality

6.1Anydisputesarisingoutoforinconnectionwiththiscontractshallberesolvedthroughnegotiationsbetweentheparties.Ifthenegotiationsfail,thedisputesshallbesubmittedtotheapplicablecourtsorarbitrationinstitutionsin[country/region].

7.Miscellaneous

7.1Thiscontractmaybeamendedorterminatedbymutualagreementofthepartiesinwriting.

7.2Thiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallpreviousagreements,understandings,andnegotiations.

7.3TheBuyerreservestherighttoassignortransferthiscontracttoanyaffiliateorsuccessorininterest.TheSuppliershallnotassignortransferthiscontractwithouttheBuyer'spriorwrittenconsent.
