ContractforInformationConsultingServices

ThisContract(the"Contract")ismadeandenteredintoasof[InsertDate],byandbetween[InsertClientName]("Client"),a[InsertClient'slegalentity],and[InsertConsultantName]("Consultant"),anindividual.

1.Services

1.1TheConsultantagreestoprovidetheClientwithinformationconsultingservices(the"Services")consistingof[InsertDescriptionofServices].

1.2TheServicesshallbeperformedbytheConsultantinaccordancewiththetermsandconditionssetforthinthisContract.

2.Term

2.1ThetermofthisContractshallcommenceontheEffectiveDateandshallcontinueforaperiodof[InsertDuration],unlessearlierterminatedinaccordancewiththetermsofthisContract.

3.FeesandPaymentTerms

3.1TheClientagreestopaytheConsultantafeefortheServicesequalto[InsertFeeAmount](the"Fee").

3.2TheFeeshallbepaidbytheClienttotheConsultantinaccordancewiththepaymenttermssetforthinthisContract.

4.Confidentiality

4.1TheConsultantagreestomaintaintheconfidentialityofallconfidentialinformationdisclosedbytheClienttotheConsultant,including,butnotlimitedto,tradesecrets,customerlists,andfinancialinformation(the"ConfidentialInformation").

4.2TheConsultantshallnotdiscloseanyConfidentialInformationtoanythirdpartywithouttheClient'spriorwrittenconsent.

5.Indemnification

5.1TheConsultantagreestoindemnifyandholdtheClientharmlessfromanyandallclaims,damages,liabilities,andexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwiththeperformanceoftheServices.

6.Termination

6.1eitherpartymayterminatethisContractuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithin[InsertCurePeriod]afterreceiptofwrittennoticethereoffromtheterminatingparty.

7.GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertGoverningJurisdiction].

7.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesofthe[InsertArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.

8.EntireAgreement

8.1ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.

INWITNESSWHEREOF,thepartieshaveexecutedthisContractasoftheEffectiveDatefirstabove
