生鮮乳2024年度區(qū)域銷售代理協(xié)議版A版本合同目錄一覽1.代理產(chǎn)品及區(qū)域2.代理期限3.銷售目標(biāo)與價(jià)格4.代理商的銷售權(quán)益5.代理商的義務(wù)與責(zé)任6.供應(yīng)商的權(quán)益與責(zé)任7.銷售支持與服務(wù)8.運(yùn)輸與交付9.質(zhì)量控制與標(biāo)準(zhǔn)10.售后服務(wù)與投訴處理11.合同的終止與解除12.違約責(zé)任與賠償13.爭(zhēng)議解決方式14.其他條款與附加說明第一部分:合同如下:1.代理產(chǎn)品及區(qū)域1.1代理產(chǎn)品代理商shallactastheexclusivesalesagentfortheSupplier'sfreshmilkproductsinthespecifiedregion(hereinafterreferredtoasthe"Region")duringtheTermofthisAgreement.ThespecificfreshmilkproductstobesuppliedandsoldunderthisAgreementaredetailedinExhibitAattachedhereto.1.2代理區(qū)域TheRegionshallbeasdefinedinExhibitBattachedhereto.TheSupplierreservestherighttoprovidethesameorsimilarproductstootheragentsorcustomersinareasoutsidetheRegion.2.代理期限2.1開始日期2.2續(xù)約條款UpontheexpirationoftheTerm,thisAgreementmayberenewedmutualagreementofthepartiesuponsuchtermsandconditionsastheymayestablish.3.銷售目標(biāo)與價(jià)格3.1銷售目標(biāo)DuringtheTerm,theSalesTargetshallbeasspecifiedinExhibitCattachedhereto.TheSuppliermayadjusttheSalesTargetuponwrittennoticetotheAgent,providedthatsuchadjustmentshallnotbelessfavorablethantheSalesTargetineffectpriortosuchadjustment.3.2產(chǎn)品價(jià)格ThepricesforthefreshmilkproductsshallbeassetforthinExhibitDattachedhereto.TheSupplierreservestherighttoadjustthepricesuponwrittennoticetotheAgent,providedthatsuchadjustmentshallnotbelessfavorablethanthepricesineffectpriortosuchadjustment.TheAgentshallsellthefreshmilkproductsatthepricessettheSupplier.4.代理商的銷售權(quán)益4.1獨(dú)家銷售權(quán)4.2銷售渠道TheAgentshalluseitsbesteffortstopromoteandsellthefreshmilkproductsthroughvariouschannels,includingbutnotlimitedtoretailstores,onlineplatforms,andinstitutionalclientsintheRegion.5.代理商的義務(wù)與責(zé)任5.1銷售推廣TheAgentshallactivelypromotethefreshmilkproductsandconductmarketingactivitiesintheRegiontoachievetheSalesTarget.5.2遵守法律法規(guī)5.3維護(hù)品牌形象6.供應(yīng)商的權(quán)益與責(zé)任6.1產(chǎn)品供應(yīng)TheSuppliershallprovidetheAgentwithhighqualityfreshmilkproductsinaccordancewiththetermsofthisAgreement.6.2質(zhì)量控制TheSuppliershallensurethatthefreshmilkproductsmeetthequalitystandardsspecifiedinExhibitEattachedhereto.6.3銷售支持TheSuppliershallprovidenecessarysalessupport,includingbutnotlimitedtomarketingmaterials,training,andtechnicalassistancetotheAgent.7.銷售支持與服務(wù)7.1市場(chǎng)推廣材料TheSuppliershallprovidetheAgentwithpromotionalmaterials,includingbrochures,posters,anddigitalcontent,whichshallbeusedtheAgenttopromotethefreshmilkproductsintheRegion.7.2培訓(xùn)與技術(shù)支持TheSuppliershallprovidetrainingandtechnicalsupporttotheAgent'ssalesandmarketingpersonneltoensurethattheyareadequatelyequippedtopromoteandsellthefreshmilkproducts.7.3售后服務(wù)8.運(yùn)輸與交付8.1運(yùn)輸方式ThefreshmilkproductsshallbetransportedtotheAgent'sdesignatedlocationintheRegiontheSupplieroracarrierdesignatedtheSupplier.TheSuppliershallberesponsibleforthetransportationcosts.8.2交付時(shí)間ThefreshmilkproductsshallbedeliveredtotheAgentwithinthetimeframesspecifiedinExhibitFattachedhereto.TheSuppliershallnotifytheAgentinadvanceintheeventofanydelays.9.質(zhì)量控制與標(biāo)準(zhǔn)9.1質(zhì)量保證TheSuppliershallmaintainappropriatequalitycontrolmeasurestoensurethatthefreshmilkproductsmeetthequalitystandardsspecifiedinExhibitEattachedhereto.9.2檢驗(yàn)與驗(yàn)收10.售后服務(wù)與投訴處理10.1售后服務(wù)10.2投訴處理流程11.合同的終止與解除11.1終止條件ThisAgreementmaybeterminatedeitherpartyuponwrittennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementthatisnotcuredwithinthirty(30)daysafterreceiptofwrittennotice.11.2解除后果UponterminationorexpirationofthisAgreement,theAgentshalldiscontinueallsalesandpromotionalactivitiesforthefreshmilkproducts.TheSuppliershallberesponsibleforthestorageanddisposalofanyunsoldinventoryremainingwiththeAgent.12.違約責(zé)任與賠償12.1違約行為IntheeventofabreachofthisAgreementeitherparty,thenonbreachingpartyshallbeendtoseekequitablerelief,includingbutnotlimitedtoinjunctiverelief,andtorecoveranydamagesresultingfromthebreach.12.2賠償金額Thebreachingpartyshallbeliableforanydirect,indirect,special,incidental,orconsequentialdamagessustainedthenonbreachingpartyasaresultofthebreach.13.爭(zhēng)議解決方式AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedarbitrationinaccordancewiththerulesofthe[insertnameofarbitrationinstitution]andshallbeconductedintheEnglishlanguage.14.其他條款與附加說明14.1完整協(xié)議ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.14.2修改與補(bǔ)充ThisAgreementmaybeamendedorsupplementedonlyawritteninstrumentexecutedbothparties.14.3法律適用ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[insertjurisdiction].14.4通知機(jī)制第二部分:其他補(bǔ)充性說明和解釋說明一:附件列表:1.附件A:代理產(chǎn)品清單描述:詳細(xì)列出供應(yīng)商將提供給代理商銷售的生鮮乳產(chǎn)品列表,包括產(chǎn)品名稱、規(guī)格、保質(zhì)期等信息。2.附件B:代理區(qū)域定義描述:明確指出代理商可以進(jìn)行銷售的地理區(qū)域,包括具體的省份、城市或區(qū)域。3.附件C:銷售目標(biāo)描述:具體說明代理商在合同期限內(nèi)需要實(shí)現(xiàn)的銷售目標(biāo),可能包括銷售額、銷售量等指標(biāo)。4.附件D:產(chǎn)品價(jià)格列表描述:列出所有生鮮乳產(chǎn)品的價(jià)格,包括建議零售價(jià)、促銷價(jià)等。5.附件E:質(zhì)量標(biāo)準(zhǔn)描述:詳細(xì)規(guī)定生鮮乳產(chǎn)品的質(zhì)量標(biāo)準(zhǔn),包括新鮮度、營養(yǎng)成分、包裝要求等。6.附件F:交付時(shí)間表描述:明確生鮮乳產(chǎn)品的交付時(shí)間框架,包括常規(guī)配送時(shí)間表和特殊節(jié)假日期間的配送安排。7.附件G:聯(lián)系信息描述:提供雙方聯(lián)系人信息,包括姓名、職位、聯(lián)系方式等,以便在合同執(zhí)行過程中進(jìn)行溝通。說明二:違約行為及責(zé)任
