a.TheSecuredPartyshallhavetherighttotakepossessionofandselltheBorrower'sassetssecuringtheBorrowingAmountintheeventofdefaultbytheBorrower.

b.TheSecuredPartyshallhavetherighttoreceivetheproceedsofthesaleoftheBorrower'sassetssecuringtheBorrowingAmountandapplytheproceedstosatisfytheBorrowingAmountandanyrelatedexpenses.

5.RightsandObligationsoftheBorrower:

a.TheBorrowershallpaytheBorrowingAmountandinteresttotheLenderinaccordancewiththetermsofthisContract.

b.TheBorrowershallprovidetheSecuredPartywithallinformationandaccessnecessarytoperfectandmaintainthesecurityinterestsgrantedtotheSecuredParty.

c.TheBorrowershallnotencumberorotherwisedisposeofanyassetssecuringtheBorrowingAmountwithoutthepriorwrittenconsentoftheSecuredParty.

6.DefaultandRemedies:

a.IntheeventofdefaultbytheBorrower,theLendershallhavetherighttodeclaretheBorrowingAmountdueandpayableimmediately.

b.TheBorrowershallbeliableforallcostsandexpensesincurredbytheLenderandtheSecuredPartyinenforcingthisContract,includingbutnotlimitedtolegalfeesandcostsassociatedwiththesaleoftheBorrower'sassetssecuringtheBorrowingAmount.

7.LimitationsonBorrower'sRights:

a.TheBorrowershallnotenterintoanytransactionthatwouldimpairthevalueormarketabilityoftheBorrower'sassetssecuringtheBorrowingAmount.

b.TheBorrowershallnotchangeitsbusinessstructureordissolvewithoutthepriorwrittenconsentoftheLenderandtheSecuredParty.

8.GoverningLawandJurisdiction:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionwheretheLenderislocated.AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedbythecourtsofthejurisdictionwheretheLenderislocated.
