模板選購供應商合作協議合同編號：__________SupplierAgreementThisSupplierAgreement(the“Agreement”)ismadeandenteredintoasof__________(the“EffectiveDate”),andbetween__________(the“Buyer”)and__________(the“Supplier”).RECITALSWHEREAS,theBuyerdesirestopurchasecertainproducts(the“Products”)fromtheSupplier;WHEREAS,theSupplieragreestosupplytheProductstotheBuyeronthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedherein,thepartiesheretoagreeasfollows:1.APPOINTMENT1.1AppointmentofSupplier.TheBuyerhereappointstheSupplierasitsexclusivesupplieroftheProducts.1.2AppointmentofBuyer.TheSupplierhereappointstheBuyerasitsexclusivecustomerforthepurchaseoftheProducts.2.PURCHASEANDSALEOFPRODUCTS2.1PurchaseofProducts.TheBuyeragreestopurchasefromtheSuppliertheProductsinaccordancewiththetermsandconditionssetforthherein.2.2SaleofProducts.TheSupplieragreestoselltheProductstotheBuyerinaccordancewiththetermsandconditionssetforthherein.3.ORDERINGANDDELIVERY3.1Ordering.TheBuyershallsubmitordersfortheProductstotheSupplierinsuchformastheSuppliermayrequirefromtimetotime.3.2Delivery.TheSuppliershalldelivertheProductstotheBuyer’sdesignateddeliverypointinaccordancewiththetermsandconditionssetforthherein.4.PRICEANDPAYMENT4.1Price.ThepricefortheProductsshallbeassetforthintheapplicableordersubmittedtheBuyer.4.2Payment.TheBuyershallmakepaymentfortheProductstotheSupplierinaccordancewiththetermsandconditionssetforthherein.5.WARRANTY5.1Warranty.TheSupplierwarrantsthattheProductsshallconformtothespecificationssetforthintheapplicableorderandshallbefreefromdefectsinmaterialsandworkmanship.5.2Remedies.IntheeventthattheProductsdonotconformtothespecificationssetforthintheapplicableorderoraredefectiveinmaterialsandworkmanship,theBuyershallhavetherighttoreturntheProductsforafullrefundorreplacement,asdeterminedtheSupplierinitssolediscretion.6.TERMANDTERMINATION6.2Termination.ThisAgreementmaybeterminatedeitherpartyuponwrittennoticetotheotherpartyintheeventofamaterialbreachofanytermorconditionofthisAgreementwhichisnotcuredwithinareasonableperiodoftime.7.CONFIDENTIALITY7.1Confidentiality.ThepartiesheretoagreetokeepconfidentialandnotdisclosetoanythirdpartyanyconfidentialinformationconcerningthetermsandconditionsofthisAgreement,exceptasmayberequiredlaworregulation.8.INDEMNIFICATION8.1Indemnification.TheSuppliershallindemnifyandholdharmlesstheBuyeragainstanyandalllosses,damages,claims,suits,actions,demands,costs,andexpenses(includingreasonableattorney’sfees)arisingoutoforresultingfromanybreachofthisAgreementtheSupplier.9.MISCELLANEOUS9.1GoverningLaw.ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsoftheStateof__________.9.2EntireAgreement.ThisAgreementconstitutestheentireagreementbetweenthepartiesheretoandsupersedesallprioragreementsandunderstandings,bothwrittenandoral,relatingtothesubjectmatterhereof.INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasoftheEffectiveDatefirstabovewritten.________________________Buyer:By:_____________________Name:Title:________________________Supplier:By:_____________________Name:Title:一、附件列表：1.產品規(guī)格說明書2.交付時間表3.付款條款明細4.產品質量標準5.保密協議6.保險證明文件7.稅務證明文件8.任何其他雙方同意作為協議一部分的文件二、違約行為及認定：1.供應商未能按照約定時間交付產品2.產品不符合約定的規(guī)格或質量標準3.供應商未能履行保密義務4.供應商未能履行indemnification義務5.任何其他違反協議約定的行為三、法律名詞及解釋：1.供應商（Supplier）：指承擔供應產品義務的法人或其他組織。2.買家（Buyer）：指承擔購買產品義務的法人或其他組織。3.產品（Products）：指雙方約定由供應商供應給買家的商品。4.交付（Delivery）：指供應商按照約定將產品送達買家指定地點的行為。5.保密協議（Confidentiality）：指雙方對協議內容及商業(yè)秘密的保密義務。6.indemnification：指供應商對買家因供應商違約行為而產生的損失進行賠償的義務。四、執(zhí)行中遇到的問題及解決辦法：1.供應商延遲交付：與供應商溝通，要求其盡快履行交付義務；嚴重時可依照協議約定追究供應商的違約責任。2.產品質量問題：要求供應商進行更換或退款；嚴重時可依照協議約定追究供應商的違約責任。3.保密義務違反：依據
