英文版版權(quán)采購協(xié)議合同編號：__________CopyrightAcquisitionAgreementThisCopyrightAcquisitionAgreement(the“Agreement”)ismadeandenteredintoasof__________(the“EffectiveDate”),andbetween:and(eacha“Party”andcollectivelythe“Parties”)RECITALS:WHEREAS,theSelleristheownerofthecopyrightinandtotheWork(asdefinedbelow);WHEREAS,thePurchaserdesirestoacquirefromtheSellertheexclusiverightstouse,publish,reproduce,distribute,perform,displayandlicensetheWorkinanyandallmedia,formatsandplatformsnowknownorhereafterdevelopedordiscoveredinanypartoftheworld(the“Territory”);NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thePartiesagreeasfollows:1.GrantofRights1.1Grant.SubjecttothetermsandconditionsofthisAgreement,theSellerheregrantstothePurchasertheexclusive,worldwide,perpetual,irrevocable,transferable,sublicensableandfullypaiduprightandlicensetouse,publish,reproduce,distribute,perform,displayandlicensetheWorkinanyandallmedia,formatsandplatformsnowknownorhereafterdevelopedordiscoveredinanypartoftheworld(the“LicensedRights”).1.2Work.ForthepurposesofthisAgreement,“Work”means[insertdescriptionofWork,e.g.,“thebookend‘Title’writtenAuthor”].2.Consideration2.1PurchasePrice.InconsiderationfortheLicensedRightsgrantedtheSellertothePurchaserunderthisAgreement,thePurchasershallpaytotheSellerapurchasepriceof[insertpurchaseprice],subjecttothetermsandconditionsofthisAgreement(the“PurchasePrice”).2.2PaymentTerms.ThePurchasePriceshallbepaidthePurchasertotheSellerinaccordancewiththefollowingterms:2.2.1UpfrontPayment.ThePurchasershallpaytotheSelleranupfrontpaymentintheamountof[insertamount]within[insertnumberofdays]aftertheEffectiveDate.2.2.2AdditionalPayments.ThePurchasershallpaytotheSelleradditionalpaymentsassetforthinExhibitAattachedhereto(the“AdditionalPayments”).3.RepresentationsandWarranties3.1Seller’sRepresentationsandWarranties.TheSellerrepresentsandwarrantstothePurchaserthat:(a)Ownership.TheSelleristhesoleandexclusiveowneroftheWorkandhastherighttogranttheLicensedRightstothePurchaserwithouttheneedforanyfurtherconsent,permissionorauthorizationfromanythirdparty;(b)NoInfringement.TheWorkdoesnotandwillnotinfringeuponanycopyright,trademark,patent,tradesecretorotherintellectualpropertyrightofanythirdparty;(c)NoLitigation.Thereisnolitigation,claim,action,suitorproceedingpendingor,totheSeller’sknowledge,threatenedinwritingagainsttheSellerortheWorkthatquestionsorchallengestheownershipoftheWorkortheSeller’sauthoritytogranttheLicensedRightstothePurchaser;and3.2Purchaser’sRepresentationsandWarranties.ThePurchaserrepresentsandwarrantstotheSellerthat:(a)Authority.ThePurchaserhastheright,powerandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder;4.Indemnification4.1IndemnificationSeller.TheSellershallindemnify,defendandholdharmlessthePurchaser,itsaffiliates,parents,subsidiaries,officers,directors,employees,agents,successorsandassigns(the“PurchaserIndemnifiedParties”)fromandagainstanyandalllosses,damages,Liabilities(asdefinedbelow),claims,suits,actions一、附件列表：1.版權(quán)作品摘要2.額外支付條款細(xì)節(jié)3.版權(quán)作品樣本4.支付授權(quán)書5.版權(quán)轉(zhuǎn)讓證明二、違約行為及認(rèn)定：1.賣方未能保證作品的版權(quán)完整性或存在版權(quán)爭議。2.賣方未能保證作品不侵犯第三方知識產(chǎn)權(quán)。3.賣方提供的信息不準(zhǔn)確或不完整。4.買方未能按時支付約定的購買價格。5.買方未能按照協(xié)議規(guī)定行使授權(quán)權(quán)利。三、法律名詞及解釋：1.版權(quán)：對文學(xué)、藝術(shù)和科學(xué)作品的獨占性法律權(quán)利。2.授權(quán)權(quán)利：授權(quán)他人使用、出版、復(fù)制、分發(fā)、表演、展示和許可作品的能力。3.獨家權(quán)利：在特定時間和地域內(nèi)，對某項權(quán)利的唯一使用權(quán)。4.知識產(chǎn)權(quán)：包括專利、商標(biāo)、版權(quán)和商業(yè)秘密等權(quán)利。5.侵權(quán)：未經(jīng)許可使用他人知識產(chǎn)權(quán)，侵犯他人的法律權(quán)利。四、執(zhí)行中遇到的問題及解決辦法：1.作品版權(quán)爭議：通過版權(quán)局或其他法定機
