2.PurchasePrice

4.RepresentationsandWarranties

4.1TheBuyerrepresentsandwarrantstotheSellerthat:

(a)TheBuyerhasthelegalcapacitytoenterintothisAgreementandperformitsobligationshereunder;

(b)TheBuyerhasobtainedallnecessaryapprovals,consents,andauthorizationsfromitsrespectivedirectors,officers,andshareholderstoenterintothisAgreementandperformitsobligationshereunder;

(c)TheBuyerisnotawareofanylegalproceedingorclaimthatcouldhaveamaterialadverseeffectontheAcquiredBusiness.

4.2TheSellerrepresentsandwarrantstotheBuyerthat:

(a)TheSellerhasthelegalcapacitytoenterintothisAgreementandperformitsobligationshereunder;

(b)TheSellerhasobtainedallnecessaryapprovals,consents,andauthorizationsfromitsrespectivedirectors,officers,andshareholderstoenterintothisAgreementandperformitsobligationshereunder;

(c)TheSellerisnotawareofanylegalproceedingorclaimthatcouldhaveamaterialadverseeffectontheAcquiredBusiness.

5.Indemnification

5.1TheBuyershallindemnifyandholdharmlesstheSeller,itsdirectors,officers,employees,andagentsagainstanyandallclaims,actions,suits,liabilities,damages,andexpenses(includingattorney'sfeesandcosts)arisingoutoforinconnectionwiththeBuyer'sbreachofanyrepresentation,warranty,orcovenantcontainedinthisAgreement.

5.2TheSellershallindemnifyandholdharmlesstheBuyer,itsdirectors,officers,employees,andagentsagainstanyandallclaims,actions,suits,liabilities,damages,andexpenses(includingattorney'sfeesandcosts)arisingoutoforinconnectionwiththeSeller'sbreachofanyrepresentation,warranty,orcovenantcontainedinthisAgreement.

6.ClosingConditions

6.1TheclosingofthisAgreementshallbesubjecttothefollowingconditions:

(a)TheSellershallprovidetheBuyerwithallnecessarydocuments,certificates,andinformationrequiredfortheBuyertoobtainthenecessarygovernmentalapprovalsandpermitsfortheacquisitionoftheAcquiredBusiness;

(b)TheBuyershallprovidetheSellerwithallnecessarydocuments,certificates,andinformationrequiredfortheSellertoobtainthenecessarygovernmentalapprovalsandpermitsforthetransferoftheAcquiredBusiness;

(c)TheBuyershallprovidetheSellerwithasatisfactoryenvironmentalsiteassessmentreportfortheAcquiredBusiness;

(d)TheBuyershallobtainallnecessaryfinancingfortheacquisitionoftheAcquiredBusiness.

7.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

8.EntireAgreement
