NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesheretoagreeasfollows:
1.SubjectMatteroftheContract
PartyAagreestosellandPartyBagreestopurchasethefollowingGoods,inaccordancewiththespecifications,quantities,andpricessetforthintheattachedlistofGoods("theGoodsList").
2.QuantityandSpecificationsoftheGoods
ThequantityandspecificationsoftheGoodsshallbeasspecifiedintheGoodsList,whichisanintegralpartofthisContract.
3.PriceandPaymentTerms
ThepriceoftheGoodsshallbeasspecifiedintheGoodsList,andthepaymenttermsshallbeasfollows:
a.PaymentshallbemadeinfulluponthedeliveryoftheGoods,inaccordancewiththetermsandconditionssetforthintheattachedPaymentSchedule.
b.Anydelayinpaymentmayresultintheaccrualofinterestatarateof__________%perannum,calculatedfromtheduedateuntiltheactualpaymentisreceived.
c.AllpaymentsshallbemadeinUSdollars.
4.DeliveryoftheGoods

b.TheGoodsshallbedeliveredwithin[NumberofDays]daysaftertheexecutionofthisContract.

5.InspectionandAcceptance
a.PartyBshallinspecttheGoodsupondeliveryandshallnotifyPartyAofanydefectswithin[NumberofDays]daysfromthedateofdelivery.
b.IfPartyBfailstoinspectandnotifyPartyAofanydefectswithintheaforementionedtimeperiod,theGoodsshallbedeemedtohavebeenacceptedandnoclaimsfordefectsshallbeentertainedthereafter.
c.IntheeventofadisputeregardingthequalityorquantityoftheGoods,thepartiesshallendeavortoresolvethematterthroughmutualconsultation.
6.Warranties
a.PartyAwarrantsthattheGoodsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[NumberofDays]daysfromthedateofdelivery.
b.PartyAshall,atitssoleexpense,replaceorrepairanydefectiveGoodsuponnotificationbyPartyBwithinthewarrantyperiod.
7.IntellectualPropertyRights
a.PartyAretainsallintellectualpropertyrightsrelatedtotheGoods,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets.
b.PartyBshallnotinfringeuponanyintellectualpropertyrightsownedbyPartyAduringthetermofthisContract.
8.GoverningLawandDisputeResolution
ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
IntheeventofanydisputearisingfromorinconnectionwiththisContract,thepartiesshallendeavortoresolvethematterthroughfriendlynegotiations.Ifthepartiesfailtoresolvethedisputewithin[NumberofDays]daysfromthedateofthedispute,thedisputeshallbesubmittedtothecompetentcourtof[Jurisdiction]forarbitrationorlitigation.
9.EntireAgreement

2.RoleandResponsibilitiesofThirdParty
2.1ThirdPartyshallactasafacilitatorandadvisortoPartyAinallmattersrelatedtothesupplychainmanagementoftheGoods.
2.2ThirdPartyshallensurethatthequalityoftheGoodsmeetsthestandardsandspecificationsagreeduponbyPartyAandPartyB.
2.3ThirdPartyshallberesponsibleforcoordinatingwithPartyBtofacilitatetimelydeliveryoftheGoods.
2.4ThirdPartyshallprovidePartyAwithregularupdatesandreportsontheprogressofthesupplychainandanyissuesthatmayarise.
3.QuantityandSpecificationsoftheGoods
ThequantityandspecificationsoftheGoodsshallbeasspecifiedintheGoodsList,whichisanintegralpartofthisContract.
4.PriceandPaymentTerms
4.1ThepriceoftheGoodsshallbeasspecifiedintheGoodsList,andthepaymenttermsshallbeasfollows:
a.PaymentshallbemadeinfulluponthedeliveryoftheGoods,inaccordancewiththetermsandconditionssetforthintheattachedPaymentSchedule.

7.2PartyBshall,atitssoleexpense,replaceorrepairanydefectiveGoodsuponnotificationbyPartyAwithinthewarrantyperiod.
8.IntellectualPropertyRights
8.1PartyBretainsallintellectualpropertyrightsrelatedtotheGoods,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets.
8.2PartyAshallnotinfringeuponanyintellectualpropertyrightsownedbyPartyBduringthetermofthisContract.
9.RightsandObligationsofPartyA
9.1PartyAhastherighttorequestThirdPartytoprovideregularupdatesandreportsontheprogressofthesupplychainandanyissuesthatmayarise.
9.2PartyAhastherighttoterminatethisContractifPartyBfailstocomplywiththeagreed-upondeliveryscheduleorqualitystandards.
9.3PartyAhastherighttoclaimdamagesfromPartyBorThirdPartyintheeventofanybreachofthisContract.
10.RightsandObligationsofPartyB
10.1PartyBshalldelivertheGoodsinaccordancewiththeagreed-uponspecifications,quantities,anddeliveryschedule.
10.2PartyBshallensurethattheGoodsmeetthequalitystandardsandspecificationsagreeduponbyPartyAandThirdParty.
10.3PartyBshallprovidePartyAwithanynecessarydocumentationorcertificationsrelatedtotheGoods.
11.RightsandObligationsofThirdParty
11.1ThirdPartyshallprovidePartyAwithregularupdatesandreportsontheprogressofthesupplychainandanyissuesthatmayarise.
11.2ThirdPartyshallactasanimpartialadvisortoPartyAandshallnotdiscloseanyconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentofPartyA.
12.ConsequencesofBreach
12.1IntheeventofanybreachofthisContractbyPartyBorThirdParty,PartyAshallbeentitledtoclaimdamagesorterminatethisContract,asprovidedforintheapplicablelawsandregulations.
13.GoverningLawandDisputeResolution
13.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
13.2IntheeventofanydisputearisingfromorinconnectionwiththisContract,thepartiesshallendeavortoresolvethematterthroughfriendlynegotiations.Ifthepartiesfailtoresolvethedisputewithin[NumberofDays]daysfromthedateofthedispute,thedisputeshallbesubmittedtothecompetentcourtof[Jurisdiction]forarbitrationorlitigation.
14.EntireAgreement
ThisContract,togetherwiththeattachedexhibitsandschedules,constitutestheentireagreementbetweenthepartiesheretoandsupersedesallprioragreements,understandings,andrepresentations,whetherwrittenororal.

10.RightsandObligationsofPartyA

12.ConsequencesofBreach
