ThisContractofLease(hereinafterreferredtoasthe"Contract")isenteredintoonthis______dayof______,20____,byandbetweenthefollowingparties:

2.Tenant:[Tenant'sName],havingaplaceofresidenceat[Tenant'sAddress],hereinafterreferredtoasthe"Tenant".
WHEREAS,theLandlordistheownerofthepropertylocatedat[Landlord'sAddress],hereinafterreferredtoasthe"LeasedProperty",and
WHEREAS,theTenantdesirestoleasetheLeasedPropertyfromtheLandlordforaperiodof[LeaseTerm],subjecttothetermsandconditionssetforthherein,
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,theLandlordandTenantherebyagreeasfollows:
1.GrantofLease:TheLandlordherebygrantstotheTenantaleaseoftheLeasedPropertyforaperiodof[LeaseTerm],subjecttothetermsandconditionsofthisContract.
2.LeaseTerm:TheLeaseTermshallcommenceon[CommencementDate]andshallexpireon[ExpirationDate].TheTenantshallhavetheoptiontorenewtheleaseforanadditional[RenewalTerm]uponpaymentoftherentandcompliancewiththetermsandconditionsofthisContract.
3.Rent:TheTenantshallpaytheLandlordamonthlyrentof[MonthlyRent]onorbeforethe[RentPaymentDate].Therentshallbepaidinadvanceandshallbenon-refundable.TheTenantshallberesponsibleforanyadditionalchargesorfeesincurredinconnectionwiththeLeasedProperty.
4.UseofLeasedProperty:TheTenantshallusetheLeasedPropertysolelyforthepurposeof[PurposeofUse],andshallnotusetheLeasedPropertyforanyillegalorunauthorizedactivities.
5.MaintenanceandRepairs:TheTenantshallmaintaintheLeasedPropertyingoodconditionduringtheleasetermandshallberesponsibleforallnecessaryrepairsandmaintenanceoftheLeasedProperty,exceptforthoserepairsandmaintenanceobligationsthataretheresponsibilityoftheLandlord.
6.Insurance:TheTenantshallobtainandmaintainappropriateinsurancecoveragefortheLeasedPropertyduringtheleaseterm,includingliabilityinsuranceandpropertydamageinsurance.
7.AssignmentandSubletting:TheTenantshallnotassignorsublettheLeasedPropertywithoutthepriorwrittenconsentoftheLandlord.
8.CompliancewithLaws:TheTenantshallcomplywithallapplicablelaws,regulations,andordinancesduringtheleaseterm.
9.DefaultandTermination:IntheeventofadefaultbytheTenantunderthisContract,theLandlordshallhavetherighttoterminatethisContractuponwrittennoticetotheTenant.TheTenantshallalsobeliableforanydamagesorlossesincurredbytheLandlordasaresultoftheTenant'sdefault.
10.GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
11.EntireAgreement:ThisContractconstitutestheentireagreementbetweentheLandlordandTenantwithrespecttothesubjectmatterhereof,andsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.

d.TheTenantshallmaintaintheLeasedPropertyingoodconditionduringtheleasetermandshallberesponsibleforallnecessaryrepairsandmaintenance,exceptasotherwiseprovidedbytheLandlord.
3.ThirdParty'sRightsandObligations:
a.TheThirdPartyshallprovide[services/productsrelatedtotheLeasedProperty]totheTenantinaccordancewiththetermsandconditionssetforthinthisContract.
b.TheThirdPartyshallensurethattheservices/productsprovidedareofahighstandardandmeettherequirementsoftheTenant.
c.TheThirdPartyshallbesolelyresponsibleforanydefectsordamagescausedbytheirservices/products.
4.Landlord'sRightsandObligations:
a.TheLandlordshallreceivetherentfromtheTenantonamonthlybasis.
b.TheLandlordshallmaintaintheLeasedPropertyinagoodstateofrepair,exceptforanydamagecausedbytheTenantortheThirdParty.
c.TheLandlordshallprovidetheTenantwithareceiptfortherentpayment.
5.Tenant'sBreachofContractandRemedies:
a.IntheeventoftheTenant'sbreachofanytermofthisContract,theLandlordshallhavetherighttoterminatethisContractimmediatelyuponwrittennoticetotheTenant.
b.TheTenantshallbeliableforanydamagesorlossesincurredbytheLandlordasaresultoftheTenant'sbreach.
c.TheTenantshallberesponsibleforanylegalfeesorexpensesincurredbytheLandlordinenforcingthisContract.
6.ThirdParty'sBreachofContractandRemedies:
a.IntheeventoftheThirdParty'sbreachofanytermofthisContract,theLandlordshallhavetherighttoterminatetheagreementwiththeThirdPartyimmediatelyuponwrittennotice.
b.TheThirdPartyshallbeliableforanydamagesorlossesincurredbytheTenantortheLandlordasaresultoftheirbreach.
c.TheLandlordshallhavetherighttorecoveranycostsorexpensesincurredinseekingremediesforthebreach.
7.LimitationsonTenant'sUseofLeasedProperty:
a.TheTenantshallnotassignorsublettheLeasedPropertywithoutthepriorwrittenconsentoftheLandlord.
b.TheTenantshallnotmakeanyalterationsormodificationstotheLeasedPropertywithoutthepriorwrittenconsentoftheLandlord.
c.TheTenantshallnotusetheLeasedPropertyforanyillegalorunauthorizedactivities.
8.GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
9.EntireAgreement:ThisContractconstitutestheentireagreementbetweentheLandlord,Tenant,andThirdPartywithrespecttothesubjectmatterhereof,andsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.

3.ServiceProvider'sRightsandObligations:
a.TheServiceProvidershallperformtheserviceswithduediligenceandinaccordancewiththeagreed-uponspecifications.
b.TheServiceProvidershallmaintainconfidentialityofanyinformationprovidedbytheClient.
c.TheServiceProvidershallnotifytheClientofanysignificantdelaysorchangesintheservicestobeprovided.
4.Principal'sRightsandObligations:
a.ThePrincipalshallfacilitatecommunicationbetweentheServiceProviderandtheClient.
b.ThePrincipalshallensurethattheservicesprovidedmeettheClient'srequirements.
c.ThePrincipalshallresolveanydisputesarisingbetweentheServiceProviderandtheClient.
5.Client'sBreachofContractandRemedies:
a.IntheeventoftheClient'sbreachofanytermofthisAgreement,theServiceProvidershallhavetherighttosuspendorterminatetheserviceswithoutliability.
b.TheClientshallbeliableforanydamagesorlossesincurredbytheServiceProviderasaresultofthebreach.
c.TheClientshallindemnifytheServiceProvideragainstanythird-partyclaimsarisingfromtheClient'sbreach.
6.ServiceProvider'sBreachofContractandRemedies:
a.IntheeventoftheServiceProvider'sbreachofanytermofthisAgreement,theClientshallhavetherighttoterminatetheAgreementuponwrittennotice.
b.TheServiceProvidershallbeliableforanydamagesorlossesincurredbytheClientasaresultofthebreach.
c.TheServiceProvidershallnotbeentitledtoanyfeesorcompensationforservicesnotrenderedduetothebreach.
7.LimitationsonPrincipal'sAuthority:
a.ThePrincipalshallnotmakeanydecisionsoragreementsonbehalfoftheClientthatarenotauthorizedbytheClient.
b.ThePrincipal'sactionsshallbegovernedbythetermsofthisAgreementandshallnotexceedthescopeoftheirauthority.
8.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
9.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweentheServiceProvider,Client,andPrincipalwithrespecttothesubjectmatterhereof,andsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.
