4.RepresentationsandWarranties

a)TheSellerrepresentsandwarrantstotheBuyerthat:

i)TheSellerhasgoodandvalidtitletotheSubjectMatter,freeandclearofanyliens,encumbrances,orotherrestrictions;

ii)TheSellerhasthefullpowerandauthoritytoenterintothisContractandtotransfertheSubjectMattertotheBuyer;

iii)TheSellerhasnoknowledgeofanymaterialadversechangeintheSubjectMattersincethedateofthisContract;

iv)TheSellerhasnopendingorthreatenedlegalactions,suits,orclaimsagainsttheSubjectMatter;

v)TheSellerhasprovidedallnecessaryinformationanddocumentstotheBuyerinconnectionwiththeSubjectMatter.

b)TheBuyerrepresentsandwarrantstotheSellerthat:

i)TheBuyerhasthefullpowerandauthoritytoenterintothisContractandtoacquiretheSubjectMatter;

ii)TheBuyerhasconductedduediligenceontheSubjectMatterandissatisfiedwiththeresults;

iii)TheBuyerisnotawareofanymaterialadversechangeintheSubjectMattersincethedateofthisContract;

iv)TheBuyerhasnopendingorthreatenedlegalactions,suits,orclaimsagainsttheSubjectMatter.

5.Indemnification

a)TheSellershallindemnify,defend,andholdharmlesstheBuyer,itsofficers,directors,employees,agents,andassignsfromandagainstanyandallclaims,liabilities,losses,damages,andexpenses(including,withoutlimitation,reasonableattorneys'feesandcosts)arisingoutoforresultingfromtheSeller'sbreachofanyrepresentationorwarrantymadeinthisContract.

b)TheBuyershallindemnify,defend,andholdharmlesstheSeller,itsofficers,directors,employees,agents,andassignsfromandagainstanyandallclaims,liabilities,losses,damages,andexpenses(including,withoutlimitation,reasonableattorneys'feesandcosts)arisingoutoforresultingfromtheBuyer'sbreachofanyrepresentationorwarrantymadeinthisContract.

6.GoverningLawandJurisdiction

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[stateorcountry].AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[stateorcountry].

7.EntireAgreement

b)TheBuyerrepresentsandwarrantstotheSellerthat:

i)TheBuyerhasthefullpowerandauthoritytoenterintothisContractandtoacquiretheSubjectMatter;

ii)TheBuyerhasconductedduediligenceontheSubjectMatterandissatisfiedwiththeresults;

iii)TheBuyerisnotawareofanymaterialadversechangeintheSubjectMattersincethedateofthisContract;

iv)TheBuyerhasnopendingorthreatenedlegalactions,suits,orclaimsagainsttheSubjectMatter.

5.RightsofPartyA

a)PartyAshallhavetherighttoinspectandverifythefinancialandoperationalrecordsoftheSellerandtheThirdPartypriortotheClosing.

b)PartyAshallhavetherighttorequestadditionalinformationordocumentationfromtheSellerandtheThirdPartyduringtheduediligenceprocess.

c)PartyAshallhavetherighttocanceltheContractifanymaterialadversechangeisdiscoveredduringtheduediligenceprocess.

6.ObligationsandLimitationsofPartyB

a)PartyBshallnotdiscloseanyconfidentialinformationobtainedfromPartyAortheThirdPartytoanythirdpartywithoutthepriorwrittenconsentofPartyA.

b)PartyBshallnotenterintoanyagreementortransactionthatwoulddirectlyorindirectlyconflictwiththetermsandconditionsofthisContractwithoutthepriorwrittenconsentofPartyA.

7.BreachofContract

a)IntheeventofabreachofanytermorconditionofthisContractbyPartyB,PartyAshallhavetherighttoterminatethisContractandrecoveranylossesincurredasaresultofsuchbreach.

b)PartyBshallbeliableforanydamagessufferedbyPartyAasaresultofitsbreachofthisContract,including,butnotlimitedto,anydirect,indirect,special,orconsequentialdamages.

8.GoverningLawandJurisdiction

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[stateorcountry].AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[stateorcountry].

9.EntireAgreement

b)PartyAshallensurethattheIPRightsarefreeandclearofanyencumbrances,liens,orotherrestrictions.

6.RepresentationsandWarranties

a)PartyArepresentsandwarrantstoPartyBthat:

ii)TheIPRightsarevalid,subsisting,andenforceable;

iii)Therearenooutstandingdisputes,litigation,orclaimsagainsttheIPRightsthatwouldaffecttheirtransfertoPartyB.

b)PartyBrepresentsandwarrantstoPartyAthat:

i)IthasthefullpowerandauthoritytoenterintothisContractandtoselltheIPRightstoPartyA;

ii)IthastherighttotransfertheIPRightsfreeandclearofanythird-partyclaims.

7.BreachofContract

IntheeventofabreachofanytermorconditionofthisContractbyPartyA,PartyBshallhavetherighttoterminatetheContractandseekdamagesforanylossesincurredasaresultofsuchbreach.PartyAshallbeliableforanydirect,indirect,special,orconsequentialdamagessufferedbyPartyB.

8.GoverningLawandJurisdiction
