1.DescriptionofGoods

TheSellershalldelivertotheBuyerthefollowinggoods(hereinafterreferredtoasthe"Goods"),specificallydescribedas[DescriptionofGoods],inaccordancewiththequantity,quality,andspecificationssetforthintheattachedExhibitA.

2.PriceandPaymentTerms

ThepricefortheGoodsshallbe[Price](USD)perunit,assetforthinExhibitA.ThetotalpricefortheGoodsshallbe[TotalPrice](USD).TheBuyershallmakepaymentfortheGoodswithin[PaymentPeriod]daysafterthereceiptoftheinvoiceissuedbytheSeller.

3.ShipmentandDelivery

TheSellershalldelivertheGoodstotheBuyerattheportof[PortofDestination]inaccordancewiththetermsofthisStandardFOBContract.TheSellershallarrangeforthetransportationoftheGoodsandshallberesponsibleforallcostsassociatedwiththetransportationuntiltheGoodsareloadedontothevesselattheportofshipment.

4.RiskofLossandTitle

TheriskoflossandtitletotheGoodsshallpasstotheBuyerupontheshipmentoftheGoodsfromtheportofshipment.TheBuyershallbearallrisksoflossanddamagetotheGoodsfromthetimetheGoodsareloadedontothevesseluntiltheyaredeliveredtotheBuyerattheportofdestination.

5.InspectionandAcceptance

TheBuyershallhavetherighttoinspecttheGoodsuponreceiptattheportofdestination.TheGoodsshallbedeemedtobeinconformitywiththetermsofthisStandardFOBContractiftheymeetthequality,quantity,andspecificationssetforthinExhibitA.IftheGoodsarefoundtobenon-conforming,theBuyershallnotifytheSellerinwritingwithin[InspectionPeriod]daysafterreceiptoftheGoods.

6.Warranties

TheSellerwarrantsthattheGoodsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[WarrantyPeriod]fromthedateofdelivery.TheSellershall,atitssolediscretion,repair,replace,orrefundthepurchasepriceofanydefectiveGoods.

7.ForceMajeure

NeitherPartyshallbeliableforanydelayorfailureintheperformanceofitsobligationsunderthisStandardFOBContractduetoanycausebeyonditsreasonablecontrol,including,butnotlimitedto,actsofGod,war,strikes,labordisputes,andgovernmentregulations.

8.GoverningLawandJurisdiction

ThisStandardFOBContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingfromorinconnectionwiththisStandardFOBContractshallberesolvedbyarbitrationinaccordancewiththerulesof[ArbitrationInstitution].

9.EntireAgreement

ThisStandardFOBContract,togetherwithitsexhibits,constitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.

10.Attachments

ThefollowingdocumentsareherebyincorporatedintothisStandardFOBContractbyreference:

2.Principal'sRightsandObligations

3.Agent'sRightsandObligations

5.Principal'sRights

5.2PrincipalhastherighttoclaimdamagesfromtheSellerortheAgentforanylossesincurredduetothefailuretodeliverconformingGoodsorduetoanybreachofthetermsandconditionsofthisStandardFOBContract.

6.Agent'sLimitationsandLiability

6.1Agentshallnotbeliableforanydirect,indirect,special,orconsequentialdamagesarisingfromtheperformanceorfailuretoperformitsobligationsunderthisStandardFOBContract.

6.2Agentshallnotbeliableforanydelaysorfailuresintheperformanceofitsobligationsduetocausesbeyonditsreasonablecontrol.

6.3Agent'sliabilityforanybreachofthisStandardFOBContractshallbelimitedtotheamountofthecommissionpaidtotheAgent.

7.Seller's違約及限制條款
