rcemajeure,theaffectedpartyshallpromptlynotifytheotherpartyinwriting,andtakereasonablestepstomitigatetheimpactoftheforcemajeure.11.3不可抗力處理Intheeventofforcemajeure,thepartiesshallconsultandagreeontheappropriateadjustmentstothecontractobligationsortheterminationofthecontract.第十二條保密條款12.1保密內(nèi)容Confidentialinformationshallincludeallinformationobtainedeitherpartyinconnectionwiththecontract,whichisnotgenerallyknowntothepublic.12.2保密期限Theperiodofconfidentialityshallbeforthedurationofthecontractandforsuchadditionalperiodasmaybeagreedthepartiesinwriting.12.3泄密責(zé)任Ifeitherpartybreachestheconfidentialityobligation,itshallbeliableforanyresultinglossesordamagestotheotherparty.第十三條合同的生效與終止13.1合同生效條件13.2合同終止條件13.3合同終止后的義務(wù)Uponterminationofthecontract,thepartiesshallperformsuchactsasmaybenecessarytosettletheiraccountsandsettleanyoutstandingobligations.第十四條其他條款14.1信息與通知Eachpartyshallpromptlyprovidetheotherpartywithsuchinformationandnoticesasmaybenecessaryorconvenientfortheperformanceoftheirobligationsunderthecontract.14.2法律適用ThecontractshallbegovernedandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.14.3合同附件Theattachmentstothecontractshallformanintegralpartofthecontractandshallhavethesameforceandeffectastheprovisionsofthecontract.14.4合同修改與補(bǔ)充第二部分：第三方介入后的修正引入第三方介入的相關(guān)條款：15.1第三方定義"ThirdParty"shallmeananyindividual,entityororganizationthatisnotpartytothisContractandisengagedeitherPartytoperformcertaintasksorprovidecertainservicesinconnectionwiththeProject.15.2第三方責(zé)任TheThirdPartyshallberesponsibleforthequality,safetyandtimelinessoftheservicesortasksperformed,andshallindemnifythePartiesforanylossordamagecauseditsfaultornegligence.15.3第三方選擇ThePartiesshallhavetherighttoselectanyThirdPartythattheydeemappropriateforthetasksorservicestobeperformed.ThePartiesshallprovidetheotherPartywiththerelevantinformationoftheselectedThirdParty.15.4第三方協(xié)調(diào)ThePartiesshallberesponsibleforcoordinatingwiththeThirdPartytoensurethesmoothimplementationofthetasksorservices.AnydisputesbetweenthePartiesandtheThirdPartyshallberesolvednegotiation.增加的額外條款及說明：16.1第三方介入的程序16.2第三方支付條款ThePartiesshallberesponsibleformakingpaymentstotheThirdPartyasagreedintheContract.Thepaymentterms,includingthepaymentscheduleandthemethodofpayment,shallbespecifiedintheContract.16.3第三方績效評估ThePartiesshallhavetherighttoconductperformanceevaluationsoftheThirdPartytoensurethatthetasksorservicesarebeingperformedinaccordancewiththetermsofthisContract.TheThirdPartyshallcooperatewithsuchevaluations.16.4第三方退出條款TheContractmayprovideforcircumstancesunderwhichtheThirdPartymayterminateitsengagement.AnysuchterminationshallbesubjecttotheapprovalofthePartiesandshallbeeffectedinaccordancewiththetermsoftheContract.第三方責(zé)任限額的明確界定：17.1第三方責(zé)任限額TheliabilityoftheThirdPartytothePartiesshallbelimitedtotheextentprovidedintheContract.ThePartiesshallnegotiateandagreeontheappropriateliabilitylimits,whichmayincludefinancialcapsorotherlimitations.17.2第三方保險TheThirdPartymayberequiredtoobtainandmaintaininsurancecoverageforthedurationofitsengagement,whichshallbespecifiedintheContract.ThePartiesshallbeprovidedwithevidenceofsuchinsurance.17.3第三方違約處理IntheeventofabreachofcontracttheThirdParty,thePartiesshallhavetherighttoterminatetheirengagementandclaimdamages.ThePartiesshallnegotiateandagreeontheappropriatedamagestobepaidtheThirdParty.17.4第三方與甲方、乙方的劃分說明第三部分：其他補(bǔ)充性說明和解釋說明一：附件列表：1.設(shè)計方案2.技術(shù)規(guī)格書3.施工圖紙4.材料清單5.施工方案6.安全措施計劃7.進(jìn)度計劃8.合同價格明細(xì)表9.變更訂單10.驗收標(biāo)準(zhǔn)11.培訓(xùn)計劃12.保密協(xié)議13.保險證明14.第三方服務(wù)協(xié)議附件的詳細(xì)要求和說明：1.設(shè)計方案：詳細(xì)描述項目的消防設(shè)施設(shè)計方案，包括設(shè)計理念、設(shè)計目標(biāo)、設(shè)計內(nèi)容等。2.技術(shù)規(guī)格書：詳細(xì)描述項目的消防設(shè)施技術(shù)規(guī)格，包括材料、設(shè)備、施工要求等。3.施工圖紙：詳細(xì)描述項目的消防設(shè)施施工圖紙，包括平面圖、立面圖、剖面圖等。4.材料清單：詳細(xì)列出項目所需的消防設(shè)施材料清單，包括材料名稱、規(guī)格、數(shù)量等。5.施工方案：詳細(xì)描述項目的消防設(shè)施施工方案，包括施工步驟、施工要求等。6.安全措施計劃：詳細(xì)描述項目在施工過程中的安全措施計劃，包括安全措施、安全責(zé)任等。7.進(jìn)度計劃：詳細(xì)描述
