2.QuantityandDescriptionofGoods

3.Shipment

TheSellershallarrangefortheshipmentoftheGoodsinaccordancewiththefollowingterms:

a.ShipmentDate:TheSellershalldelivertheGoodstothecarriernolaterthan______daysfromthedateofthisContract.

4.Insurance

6.DeliveryandAcceptance

TheSellershalldelivertheGoodstotheBuyeratthedesignateddestinationinaccordancewiththetermsandconditionssetforthinthisContract.TheBuyershallaccepttheGoodsupondelivery.

7.PaymentTerms

TheBuyershallpaytheSellertheagreed-uponpricefortheGoods,inaccordancewiththepaymenttermssetforthinExhibitBattachedhereto.

8.ForceMajeure

Intheeventofanyunforeseencircumstancesbeyondthereasonablecontrolofeitherparty,includingbutnotlimitedtowar,strikes,naturaldisasters,orgovernmentactions,theaffectedpartyshallbeexcusedfromitsobligationsunderthisContract,providedthatsuchpartypromptlynotifiestheotherpartyoftheoccurrenceanditsimpactontheperformanceofthisContract.

9.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionspecifiedinExhibitCattachedhereto.AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrougharbitrationinaccordancewiththerulesofthearbitrationinstitutionspecifiedinExhibitC.

10.EntireAgreement
