2.QualityStandards:

Thequalitystandardsofthefruitstobeprocuredshallcomplywiththerelevantnationalorindustrystandards,andthespecificqualityrequirementsshallbedetailedintheattached"ProductQualityStandardList"(hereinafterreferredtoas"theList").

3.PriceandPaymentTerms:

Thepriceofthefruitsshallbedeterminedaccordingtothemarketpriceatthetimeofdelivery.Thepaymenttermsareasfollows:

5.InspectionandAcceptance:

Upondelivery,PartyBshallpromptlyinspectthefruitsandconfirmthequantityandquality.Ifanydiscrepanciesarefound,PartyBshallnotifyPartyAwithin[InspectionPeriod]daysofthedelivery.Incaseofanydisputes,themattershallberesolvedthroughfriendlynegotiationsbetweentheparties.Ifnoagreementcanbereached,themattershallbesubmittedtotherelevantjudicialauthorityforresolution.

6.ForceMajeure:

Incaseofforcemajeureeventssuchasnaturaldisasters,wars,orgovernmentpolicies,whichpreventtheperformanceofthisContract,bothpartiesshallnotbeheldliableforthedelayornon-performanceoftheirobligationsunderthisContract.However,theaffectedpartyshallnotifytheotherpartyinwritingwithin[NotificationPeriod]daysaftertheoccurrenceoftheforcemajeureevent.

7.Confidentiality:

BothpartiesagreetokeepthecontentsofthisContractandanyrelatedinformationconfidentialandnottodisclosethemtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

8.DisputeResolution:

IncaseofanydisputesarisingfromtheexecutionofthisContract,thepartiesshallfirstattempttoresolvethedisputesthroughfriendlynegotiations.Ifnoagreementcanbereached,themattershallbesubmittedtothe[DisputeResolutionInstitution]forarbitration.

9.EntireAgreement:
