n].9.2DisputeResolutionMechanismAnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughgoodfaithnegotiationsbetweentheParties.IfthePartiesareunabletoresolvethedisputeamicably,itshallbesubmittedtoarbitrationin[Location]undertherulesof[ArbitrationInstitution].10.Confidentiality10.1DefinitionofConfidentialInformation10.2ConfidentialityObligationsThePartiesagreetoholdeachother'sConfidentialInformationinstrictconfidenceandnottodiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.10.3DisclosureofConfidentialInformationNotwithstandingtheforegoing,ConfidentialInformationmaybedisclosedifrequiredlaw,regulation,orcourtorder,providedthatthedisclosingPartygivestheotherPartypriornoticeofsuchdisclosure,totheextentlegallypermitted.11.MiscellaneousProvisions11.1EntireAgreementThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.11.2AmendmentsAnyamendmenttothisAgreementshallbeeffectiveonlyifitisinwritingandsignedbothParties.11.3WaiverThefailureofeitherPartytoexerciseanyrightprovidedunderthisAgreementshallnotbedeemedawaiverofsuchright.11.4SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,theremainingprovisionsshallremaininfullforceandeffect.12.AssignmentandSubcontracting12.1AssignmentTheBuyermaynotassignitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheSeller.12.2SubcontractingTheSellermaysubcontracttheperformanceofitsobligationsunderthisAgreementtothirdparties,providedthatsuchsubcontractingdoesnotadverselyaffectthequalityoftheautomotivepartsortheperformanceoftheSeller'sobligations.13.Notices13.1MannerofGivingNotice13.2EffectiveDateofNotice14.GeneralProvisions14.1HeadingsTheheadingsinthisAgreementareforconvenienceonlyandshallnotaffectthemeaningorinterpretationofthisAgreement.14.2ConstructionIntheinterpretationofthisAgreement,theruleofconstructionthataprovisionistobeinterpretedbroadlytogiveeffecttoitsgeneralpurposeshallbeapplied.14.3EntireAgreementThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.14.4AmendmentsAnyamendmenttothisAgreementshallbeeffectiveonlyifitisinwritingandsignedbothParties.第二部分：第三方介入后的修正15.IntroductionofThirdParties15.1PurposeThissectionisintroducedtooutlinetheconditionsandproceduresfortheinvolvementofthirdpartiesintheperformanceofthisAgreement,includingbutnotlimitedtointermediaries,consultants,suppliers,oranyotherentitiesthatmaybeengagedeitherParty.15.2DefinitionofThirdPartyForthepurposesofthisAgreement,a"ThirdParty"shallmeananyentityotherthantheSeller,theBuyer,ortheirrespectiveaffiliates,thatisengagedeitherPartyforthepurposeoffacilitatingtheperformanceofthisAgreement.15.3SelectionofThirdParty15.3.1TheSellerandtheBuyermayengageaThirdPartyattheirsolediscretion,providedthatsuchengagementdoesnotbreachthetermsofthisAgreementanddoesnotcauseanymaterialadverseeffectontheotherParty.15.3.2PriortoengagingaThirdParty,theengagingPartyshallobtainthewrittenconsentoftheotherParty,whichconsentshallnotbeunreasonablywithheld.15.4ResponsibilitiesoftheEngagingParty15.4.2TheengagingPartyshallprovidetheThirdPartywithallnecessaryinformationandinstructionstoperformitsobligationsunderthisAgreement.15.5ThirdParty'sObligations15.5.1TheThirdPartyshallperformitsobligationsinaccordancewiththetermsofthisAgreementandanyotheragreementsenteredintowiththeengagingParty.15.5.2TheThirdPartyshallmaintainconfidentialityofallinformationreceivedfromtheengagingPartyandtheotherParty.16.AdditionalTermsandConditionsuponThirdPartyInvolvement16.1RighttoInspect16.2LiabilityforThirdPartyActions16.2.1TheengagingPartyshallbesolelyresponsiblefortheactsandomissionsoftheThirdPartyengagedit.16.2.2TheengagingPartyshallindemnifytheotherPartyagainstanyclaims,damages,losses,orliabilitiesarisingfromtheactionsorinactionsoftheThirdParty.16.3ChangestoContractTermsAnyengagementofaThirdPartymayresultinchangestothetermsofthisAgreement.SuchchangesshallbemutuallyagreedupontheSellerandtheBuyerandshallbedocumentedinwriting.17.LimitationofLiabilityofThirdParties17.1ScopeofLiabilityTheliabilityofaThirdPartyforanybreachofitsobligationsunderthisAgreementshallbelimitedtothedirectdamagessufferedtheotherParty,totheextentsuchdamagesarecausedtheThirdParty'snegligenceorwillfulmisconduct.17.2ExclusionofCertainLiabilitiesNotwithstandinganyotherprovisionofthisAgreement,aThirdPartyshallnotbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeperformanceofitsobligationsunderthisAgreement.17.3InsuranceTheengagingPartyshallensurethattheThirdPartycarriesappropriateinsurancecoveragetoprotectagainstliabilitiesarisingoutoforinconnectionwiththeperformanceofitsobligationsunderthisAgreement.18.ThirdParty'sRelationshipwithOtherParties18.1TheThirdPartyisanindependentcontractorandisn
