SALESREBATECONTRACT

ThisSalesRebateContract(the"Contract")isenteredintoasof[InsertDate],byandbetween[InsertSeller'sFullLegalName],a[InsertSeller'sStateofIncorporation]corporationwithitsprincipalplaceofbusinessat[InsertSeller'sAddress](hereinafterreferredtoas"Seller"),and[InsertBuyer'sFullLegalName],a[InsertBuyer'sStateofIncorporation]corporationwithitsprincipalplaceofbusinessat[InsertBuyer'sAddress](hereinafterreferredtoas"Buyer").

WHEREAS,Sellerisengagedinthebusinessofselling[InsertProduct/Service]anddesirestoofferarebateprogramtoitscustomerstoencouragepurchases;

WHEREAS,BuyerdesirestoparticipateintherebateprogramofferedbySellertopromotethesaleof[InsertProduct/Service]andtoreceiverebatesasprovidedinthisContract;

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:

1.RebateProgram

1.1Sellershallofferarebateprogram(the"Program")toBuyer,whichshallbeapplicabletothepurchaseof[InsertProduct/Service]byBuyerfromSellerduringthetermofthisContract.

1.2TheProgramshallprovideforrebatestobepaidbySellertoBuyerbasedonthevolumeof[InsertProduct/Service]purchasedbyBuyerfromSeller,asdetailedinExhibitAattachedheretoandmadeapartofthisContract.

2.Eligibility

2.1BuyermustmeettheeligibilitycriteriasetforthinExhibitBattachedheretoandmadeapartofthisContracttoparticipateintheProgram.

2.2SellerreservestherighttochangetheeligibilitycriteriaatanytimeuponwrittennoticetoBuyer.

3.RebateCalculation

3.1Rebatesshallbecalculatedbasedonthetotalpurchaseamountof[InsertProduct/Service]byBuyerfromSellerduringeachrebateperiodasdefinedinExhibitCattachedheretoandmadeapartofthisContract.

3.2TherebaterateshallbeassetforthinExhibitA.TherebaterateissubjecttochangeatSeller'sdiscretionuponwrittennoticetoBuyer.

4.RebatePayment

4.1SellershallpaytherebatetoBuyerwithin[InsertNumber]daysfollowingtheendofeachrebateperiod.

4.2Rebatesshallbepaidby[InsertMethodofPayment,e.g.,check,electronicfundstransfer,etc.]totheaccountdesignatedbyBuyerinwriting.

4.3BuyershallprovideSellerwithanynecessarytaxidentificationinformationtofacilitatethepaymentofrebates.

5.ReportingandRecordKeeping

5.1Buyershallmaintainaccuraterecordsofallpurchasesof[InsertProduct/Service]fromSellerduringthetermofthisContract.

5.2UponSeller'srequest,BuyershallprovideSellerwithreportsdetailingthepurchasesof[InsertProduct/Service]andanyotherinformationnecessaryforSellertocalculateandpaytherebates.

6.CompliancewithLaws

6.1Buyershallcomplywithallapplicablelawsandregulationsinconnectionwiththepurchaseof[InsertProduct/Service]andthereceiptofrebatesunderthisContract.

6.2Buyershallindemnify,defend,andholdSellerharmlessfromandagainstanyandallclaims,liabilities,losses,damages,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanybreachofthisSection6.1.

7.Termination

7.1ThisContractmaybeterminatedbyeitherpartyupon[InsertNumber]days'writtennoticetotheotherparty.

7.2Notwithstandingtheforegoing,SellermayterminatethisContractimmediatelyuponwrittennoticetoBuyerifBuyerfailstocomplywithanymaterialtermorconditionofthisContract.

7.3UponterminationofthisContract,SellershallpayanyoutstandingrebatestoBuyerwithin[InsertNumber]daysfollowingtheterminationdate.

8.Confidentiality

8.1BuyershalltreatallinformationreceivedfromSellerrelatingtotheProgramasconfidentialandshallnotdisclosesuchinformationtoanythirdpartywithoutSeller'spriorwrittenconsent.

8.2TheconfidentialityobligationssetforthinthisSection8shallsurvivetheterminationorexpirationofthisContract.

9.IndependentContractors

9.1ThepartiesareindependentcontractorsandnothinginthisContractshallbeconstruedtocreateapartnership,jointventure,oragencyrelationshipbetweenthem.

9.2Neitherpartyshallhavetheauthoritytobindtheotherpartytoanycontract,agreement,orobligation.

10.GoverningLaw

10.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[InsertState],withoutgivingeffecttoanychoiceoflaworconflictoflawrulesorprovisionsthatwouldcausetheapplicationofanyotherstate'slaws.

10.2AnylegalactionorproceedingarisingunderorrelatingtothisContractshallbebroughtexclusivelyinthefederalorstatecourtslocatedin[InsertCountyandState],andthepartiesherebyirrevocablysubmittothepersonaljurisdictionofsuchcourtsandwaiveanyobjectionbasedonforumnonconveniens.

11.AmendmentsandWaivers

11.1ThisContractmaynotbeamendedexceptbyawritteninstrumentsignedbybothparties.

11.2NowaiverofanyprovisionofthisContractshallbeeffectiveunlessinwritingandsignedbythepartyagainstwhomthewaiverissoughttobeenforced.

12.Severability

12.1IfanyprovisionofthisContractisheldtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

12.2Thepartiesagreetoreplaceanyinvalidorunenforceableprovisionwithavalidandenforceableprovisionthatmostcloselyapproximatestheintentandeconomiceffectoftheinvalidorunenforceableprovision.

13.EntireAgreement

13.1ThisContract,includingallexhibitsandattachmentshereto,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreements,understandings,negotiations,anddiscussions,whetheroralorwritten.

13.2Norepresentation,inducement,promise,oragreementnotexpresslysetforthinthisContractshallbebindingoneitherparty.

14.Counterparts

14.1ThisContractmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedanoriginal,andallofwhich,whentakentogether,shallconstituteoneandthesameinstrument.

15.Notices

15.1Allnotices,requests,demands,andothercommunicationshereundershallbeinwritingandshallbedeemedtohavebeendulygivenifdeliveredpersonallyorsentbycertifiedmail,returnreceiptrequested,tothepartiesattheaddressessetforthbelowortosuchotheraddressesaseitherpartymay
