ificationTheLeasingCompanyandtheLesseeshallindemnifyandholdharmlesseachotherandanythirdpartyinvolvedintheleasetransactionagainstanyclaims,damages,orlossesarisingoutoforinconnectionwiththeleasetransaction,excepttotheextentcausedthenegligenceorwillfulmisconductoftheindemnifyingparty.6.ThirdParty'sCompliancewithLaws7.ThirdParty'sRighttoAccessInformationEachthirdpartyinvolvedintheleasetransactionshallhavetherighttoaccessandusetheinformationnecessarytoperformitsobligationsunderthisAgreement,subjecttotheconfidentialityprovisionsofthisAgreement.8.ThirdParty'sRighttoSubcontractEachthirdpartyinvolvedintheleasetransactionmaysubcontractitsobligationsunderthisAgreementtoanotherparty,providedthatsuchsubcontractorisqualifiedandcapableofperformingtheobligationsandthatthesubcontractoragreestobeboundthetermsofthisAgreement.9.ThirdParty'sRighttoTerminateEachthirdpartyinvolvedintheleasetransactionmayterminateitsinvolvementintheleasetransactionuponwrittennoticetotheLeasingCompanyandtheLessee,providedthatsuchterminationdoesnotbreachanycontractualobligations.10.ThirdParty'sRighttoInformationEachthirdpartyinvolvedintheleasetransactionshallhavetherighttoreceiveinformationfromtheLeasingCompanyandtheLesseeregardingtheleasetransaction,subjecttotheconfidentialityprovisionsofthisAgreement.11.ThirdParty'sRighttoRepresentationEachthirdpartyinvolvedintheleasetransactionmayberepresentedanagentorattorney,providedthatsuchrepresentativeisauthorizedtoactonbehalfofthethirdparty.12.ThirdParty'sRighttoSettleDisputesEachthirdpartyinvolvedintheleasetransactionmaysettleanydisputesarisingoutoforinconnectionwiththeleasetransaction,providedthatsuchsettlementdoesnotbreachanycontractualobligations.13.ThirdParty'sRighttoAppealEachthirdpartyinvolvedintheleasetransactionmayappealanydecisionsmadetheLeasingCompanyortheLessee,providedthatsuchappealismadeinaccordancewiththeproceduressetforthinthisAgreement.14.ThirdParty'sRighttoArbitrationEachthirdpartyinvolvedintheleasetransactionmayseekarbitrationofanydisputesarisingoutoforinconnectionwiththeleasetransaction,providedthatsucharbitrationisconductedinaccordancewiththerulesoftheapplicablearbitrationauthority.15.ThirdParty'sRighttoMediationEachthirdpartyinvolvedintheleasetransactionmayseekmediationofanydisputesarisingoutoforinconnectionwiththeleasetransaction,providedthatsuchmediationisconductedinaccordancewiththerulesoftheapplicablemediationauthority.16.ThirdParty'sRighttoLitigation17.ThirdParty'sRighttoWithdrawEachthirdpartyinvolvedintheleasetransactionmaywithdrawfromtheleasetransactionuponwrittennoticetotheLeasingCompanyandtheLessee,providedthatsuchwithdrawaldoesnotbreachanycontractualobligations.18.ThirdParty'sRighttoModifyEachthirdpartyinvolvedintheleasetransactionmaymodifyitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchmodificationdoesnotbreachanycontractualobligations.19.ThirdParty'sRighttoAmendEachthirdpartyinvolvedintheleasetransactionmayamenditsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchamendmentdoesnotbreachanycontractualobligations.20.ThirdParty'sRighttoExtendEachthirdpartyinvolvedintheleasetransactionmayextenditsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchextensiondoesnotbreachanycontractualobligations.21.ThirdParty'sRighttoRenewEachthirdpartyinvolvedintheleasetransactionmayrenewitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchrenewaldoesnotbreachanycontractualobligations.22.ThirdParty'sRighttoTransferEachthirdpartyinvolvedintheleasetransactionmaytransferitsobligationsunderthisAgreementtoanotherpartyuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchtransferdoesnotbreachanycontractualobligations.23.ThirdParty'sRighttoAssignEachthirdpartyinvolvedintheleasetransactionmayassignitsobligationsunderthisAgreementtoanotherpartyuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchassignmentdoesnotbreachanycontractualobligations.24.ThirdParty'sRighttoSubrogateEachthirdpartyinvolvedintheleasetransactionmaysubrogateitsrightsunderthisAgreementtoanotherpartyuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchsubrogationdoesnotbreachanycontractualobligations.25.ThirdParty'sRighttoAcceptanceEachthirdpartyinvolvedintheleasetransactionmayaccepttheobligationsofanotherpartyunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchacceptancedoesnotbreachanycontractualobligations.26.ThirdParty'sRighttoReleaseEachthirdpartyinvolvedintheleasetransactionmayreleaseitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchreleasedoesnotbreachanycontractualobligations.27.ThirdParty'sRighttoSurrenderEachthirdpartyinvolvedintheleasetransactionmaysurrenderitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchsurrenderdoesnotbreachanycontractualobligations.28.ThirdParty'sRighttoRetainEachthirdpartyinvolvedintheleasetransactionmayretainitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchretentiondoesnotbreachanycontractualobligations.29.ThirdParty'sRighttoModifyEachthirdpartyinvolvedintheleasetransactionmaymodifyitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchmodificationdoesnotbreachanycontractualobligations.30.ThirdParty'sRighttoAmendEachthirdpartyinvolvedintheleasetransactionmayamenditsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchamendmentdoesnotbreachanycontractualobligations.31.ThirdParty'sRighttoExtendEachthirdpartyinvolvedintheleasetransactionmayextenditsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchextensiondoesnotbreachanycontractualobligations.32.ThirdParty'sRighttoRenewEachthirdpartyinvolvedintheleasetransactionmayrenewitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchrenewaldoesnotbreachanycontractualobligations.33.ThirdParty'sRighttoTransferEachthirdpartyinvolvedintheleasetransactionmaytransferitsobligationsunderthisAgreementtoanotherpartyuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchtransferdoesnotbreachanycontractualobligations.34.ThirdParty'sRighttoAssignEachthirdpartyinvolvedintheleasetransactionmayassignitsobligationsunderthisAgreementtoanotherpartyuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchassignmentdoesnotbreachanycontractualobligations.35.ThirdParty'sRighttoSubrogateEachthirdpartyinvolvedintheleasetransactionmaysubrogateitsrightsunderthisAgreementtoanotherpartyuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchsubrogationdoesnotbreachanycontractualobligations.36.ThirdParty'sRighttoAcceptanceEachthirdpartyinvolvedintheleasetransactionmayaccepttheobligationsofanotherpartyunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchacceptancedoesnotbreachanycontractualobligations.37.ThirdParty'sRighttoReleaseEachthirdpartyinvolvedintheleasetransactionmayreleaseitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchreleasedoesnotbreachanycontractualobligations.38.ThirdParty'sRighttoSurrenderEachthirdpartyinvolvedintheleasetransactionmaysurrenderitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchsurrenderdoesnotbreachanycontractualobligations.39.ThirdParty'sRighttoRetainEachthirdpartyinvolvedintheleasetransactionmayretainitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchretentiondoesnotbreachanycontractualobligations.40.ThirdParty'sRighttoModifyEachthirdpartyinvolvedintheleasetransactionmaymodifyitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchmodificationdoesnotbreachanycontractualobligations.41.ThirdParty'sRighttoAmendEachthirdpartyinvolvedintheleasetransactionmayamenditsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchamendmentdoesnotbreachanycontractualobligations.42.ThirdParty'sRighttoExtendEachthirdpartyinvolvedintheleasetransactionmayextenditsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchextensiondoesnotbreachanycontractualobligations.43.ThirdParty'sRighttoRenewEachthirdpartyinvolvedintheleasetransactionmayrenewitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchrenewaldoesnotbreachanycontractualobligations.44.ThirdParty'sRighttoTransferEachthirdpartyinvolvedintheleasetransactionmaytransferitsobligationsunderthisAgreementtoanotherpartyuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchtransferdoesnotbreachanycontractualobligations.45.ThirdParty'sRighttoAssignEachthirdpartyinvolvedintheleasetransactionmayassignitsobligationsunderthisAgreementtoanotherpartyuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchassignmentdoesnotbreachanycontractualobligations.46.ThirdParty'sRighttoSubrogateEachthirdpartyinvolvedintheleasetransactionmaysubrogateitsrightsunderthisAgreementtoanotherpartyuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchsubrogationdoesnotbreachanycontractualobligations.47.ThirdParty'sRighttoAcceptanceEachthirdpartyinvolvedintheleasetransactionmayaccepttheobligationsofanotherpartyunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchacceptancedoesnotbreachanycontractualobligations.48.ThirdParty'sRighttoReleaseEachthirdpartyinvolvedintheleasetransactionmayreleaseitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchreleasedoesnotbreachanycontractualobligations.49.ThirdParty'sRighttoSurrenderEachthirdpartyinvolvedintheleasetransactionmaysurrenderitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchsurrenderdoesnotbreachanycontractualobligations.50.ThirdParty'sRighttoRetainEachthirdpartyinvolvedintheleasetransactionmayretainitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchretentiondoesnotbreachanycontractualobligations.51.ThirdParty'sRighttoModifyEachthirdpartyinvolvedintheleasetransactionmaymodifyitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchmodificationdoesnotbreachanycontractualobligations.52.ThirdParty'sRighttoAmendEachthirdpartyinvolvedintheleasetransactionmayamenditsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchamendmentdoesnotbreachanycontractualobligations.53.ThirdParty'sRighttoExtendEachthirdpartyinvolvedintheleasetransactionmayextenditsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchextensiondoesnotbreachanycontractualobligations.54.ThirdParty'sRighttoRenewEachthirdpartyinvolvedintheleasetransactionmayrenewitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchrenewaldoesnotbreachanycontractualobligations.55.ThirdParty'sRighttoTransferEachthirdpartyinvolvedintheleasetransactionmaytransferitsobligationsunderthisAgreementtoanotherpartyuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchtransferdoesnotbreachanycontractualobligations.56.ThirdParty'sRighttoAssignEachthirdpartyinvolvedintheleasetransactionmayassignitsobligationsunderthisAgreementtoanotherpartyuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchassignmentdoesnotbreachanycontractualobligations.57.ThirdParty'sRighttoSubrogateEachthirdpartyinvolvedintheleasetransactionmaysubrogateitsrightsunderthisAgreementtoanotherpartyuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchsubrogationdoesnotbreachanycontractualobligations.58.ThirdParty'sRighttoAcceptanceEachthirdpartyinvolvedintheleasetransactionmayaccepttheobligationsofanotherpartyunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchacceptancedoesnotbreachanycontractualobligations.59.ThirdParty'sRighttoReleaseEachthirdpartyinvolvedintheleasetransactionmayreleaseitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchreleasedoesnotbreachanycontractualobligations.60.ThirdParty'sRighttoSurrenderEachthirdpartyinvolvedintheleasetransactionmaysurrenderitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchsurrenderdoesnotbreachanycontractualobligations.61.ThirdParty'sRighttoRetainEachthirdpartyinvolvedintheleasetransactionmayretainitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchretentiondoesnotbreachanycontractualobligations.62.ThirdParty'sRighttoModifyEachthirdpartyinvolvedintheleasetransactionmaymodifyitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchmodificationdoesnotbreachanycontractualobligations.63.ThirdParty'sRighttoAmendEachthirdpartyinvolvedintheleasetransactionmayamenditsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchamendmentdoesnotbreachanycontractualobligations.64.ThirdParty'sRighttoExtendEachthirdpartyinvolvedintheleasetransactionmayextenditsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchextensiondoesnotbreachanycontractualobligations.65.ThirdParty'sRighttoRenewEachthirdpartyinvolvedintheleasetransactionmayrenewitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchrenewaldoesnotbreachanycontractualobligations.66.ThirdParty'sRighttoTransferEachthirdpartyinvolvedintheleasetransactionmaytransferitsobligationsunderthisAgreementtoanotherpartyuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchtransferdoesnotbreachanycontractualobligations.67.ThirdParty'sRighttoAssignEachthirdpartyinvolvedintheleasetransactionmayassignitsobligationsunderthisAgreementtoanotherpartyuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchassignmentdoesnotbreachanycontractualobligations.68.ThirdParty'sRighttoSubrogateEachthirdpartyinvolvedintheleasetransactionmaysubrogateitsrightsunderthisAgreementtoanotherpartyuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchsubrogationdoesnotbreachanycontractualobligations.69.ThirdParty'sRighttoAcceptanceEachthirdpartyinvolvedintheleasetransactionmayaccepttheobligationsofanotherpartyunderthisAgreementuponwrittenconsentfromtheLeasingCompanyandtheLessee,providedthatsuchacceptancedoesnotbreachanycontractualobligations.70.ThirdParty'sRighttoReleaseEachthirdpartyinvolvedintheleasetransactionmayreleaseitsobligationsunderthisAgreementuponwrittenconsentfromtheLeasingCompanyan
