2025年度知識產(chǎn)權(quán)居間服務(wù)合同范本英文版本合同共三部分組成，僅供學(xué)習(xí)使用，第一部分如下：INTELLECTUALPROPERTYBROKERAGESERVICEAGREEMENTThisAgreementismadeandenteredintoon[Date],betweenthefollowingparties:PartyA:[FullNameofPartyA][LegalEntityNameofPartyA,ifapplicable][AddressofPartyA][City,State,ZipCode]PartyB:[FullNameofPartyB][LegalEntityNameofPartyB,ifapplicable][AddressofPartyB][City,State,ZipCode]WHEREAS,PartyAisengagedinthebusinessof[briefdescriptionofPartyA'sbusiness],andPartyBisinterestedinacquiring[descriptionoftheintellectualpropertybeingbrokered];NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesagreeasfollows:1.ScopeofServicesPartyAagreestoactasthebrokerforthesaleoftheintellectualpropertyownedPartyB(the"IntellectualProperty")inaccordancewiththetermsandconditionssetforthinthisAgreement.ThescopeofservicesprovidedPartyAincludes,butisnotlimitedto:IdentifyingpotentialbuyersfortheIntellectualProperty;ProvidingmarketanalysisandadviceonthevaluationoftheIntellectualProperty;Assistingwiththenegotiationoftermsandconditionsofsale;Overseeingthetransactionprocessuntilthesaleisfinalized.2.Commission3.ConfidentialityBothpartiesagreetokeepconfidentialanyandallinformationdisclosedtheotherpartyinconnectionwiththisAgreement,includingbutnotlimitedtothetermsofthisAgreement,theidentitiesofpotentialbuyers,andanyotherproprietaryinformation.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreement.4.ExclusivityThisAgreementshallbeexclusivetoPartyAwithrespecttothebrokerageservicesfortheIntellectualProperty.PartyBagreesnottoengageanyotherbrokerorintermediarytoprovidebrokerageservicesfortheIntellectualPropertyduringthetermofthisAgreement.5.TermandTermination6.IndemnificationPartyAagreestoindemnifyandholdharmlessPartyBfromanyandallclaims,liabilities,damages,andexpensesarisingoutoforinconnectionwiththebrokerageservicesprovidedunderthisAgreement,excepttotheextentsuchclaims,liabilities,damages,andexpensesariseoutofthenegligenceorwillfulmisconductofPartyB.7.GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsoftheStateof[State].8.MiscellaneousThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.AnyamendmentormodificationofthisAgreementmustbeinwritingandsignedbothparties.IfanyprovisionofthisAgreementisfoundtobeunenforceable,theremainingprovisionsshallremaininfullforceandeffect.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedatefirstabovewritten.____________________[SignatureofPartyA]____________________[NameofPartyA]____________________[TitleofPartyA]____________________[SignatureofPartyB]____________________[NameofPartyB]____________________[TitleofPartyB][EndofFirstPart]第二部分：第三方介入后的修正1.DefinitionofThirdPartiesForthepurposesofthisAgreement,"ThirdParties"shallinclude,butnotbelimitedto,anyconsultants,advisors,intermediaries,orotherentitiesthatmaybeengagedeitherPartyAorPartyBinconnectionwiththebrokerageservicesprovidedunderthisAgreement.Thisshallalsoincludeanypotentialbuyers,sellers,orotherstakeholderswhomaybeintroducedtothetransactioneitherPartyAorPartyB.2.ThirdPartyInvolvement2.1.PartyAmay,atitssolediscretion,engageThirdPartiestoassistintheidentification,evaluation,andnegotiationofpotentialbuyersfortheIntellectualProperty.Similarly,PartyBmayengageThirdPartiestoassistinthesaleoftheIntellectualProperty.2.2.PartyBacknowledgesthatPartyAmayinvolveThirdPartiesinthebrokerageprocessandagreestocooperatewithsuchThirdPartiestotheextentnecessarytofacilitatethetransaction.3.ThirdPartyResponsibilities3.1.ThirdPartiesshallactingoodfaithandwithduediligenceintheirrespectivecapacitiesandshallnotengageinanyconductthatcouldbedetrimentaltotheinterestsofeitherPartyAorPartyB.3.2.ThirdPartiesshallberesponsiblefortheirownactionsandshallnotbedeemedtobeagentsoremployeesofeitherPartyAorPartyB.PartyAandPartyBshallnotbeliablefortheactsoromissionsofThirdParties.4.ThirdPartyLimitationofLiability4.1.InnoeventshalleitherPartyAorPartyBbeliabletotheotherforanyloss,damage,orexpensearisingoutoforinconnectionwiththeinvolvementofThirdParties,excepttotheextentsuchloss,damage,orexpenseiscausedthenegligenceorwillfulmisconductofPartyAorPartyB.4.2.ThetotalliabilityofanyThirdPartytoeitherPartyAorPartyB,whetherincontract,tort,orotherwise,shallnotexceedtheamountoffeespaidtosuchThirdPartytheengagingParty.5.ThirdPartyCompensation6.ThirdPartyInformation6.1.PartyAandPartyBshallprovidetoeachother,uponrequest,anyinformationregardingtheinvolvementofThirdPartiesinthebrokerageprocess.7.ThirdPartyDisputeResolution7.1.AnydisputesarisingbetweenaThirdPartyandeitherPartyAorPartyBshallberesolvedbetweenthepartiesinvolved.7.2.Ifadisputecannotberesolvedbetweenthepartiesinvolved,itshallbesubmittedtoarbitrationinaccordancewiththerulesofthe[nameofarbitrationinstitution].8.ThirdPartyTermination8.1.PartyAorPartyBmayterminatetheinvolvementofaThirdPartyatanytimeprovidingwrittennoticetotheThirdParty.8.2.UponterminationoftheinvolvementofaThirdParty,PartyAorPartyBshallensurethattheThirdPartyispromptlyinformedofthetermination.9.ModificationstotheAgreement9.2.TheprovisionsofthisAgreementshallcontinuetoapplytotherelationshipbetweenPartyA,PartyB,andanyThirdPartiesinvolvedinthebrokerageprocess.[EndofSecondPart]第三部分：其他補(bǔ)充性說明和解釋說明一：附件列表：1.IntellectualPropertyDescriptionDocumentDetaileddescriptionoftheIntellectualProperty,includingitsnature,history,andanyrelevantpatents,trademarks,orcopyrights.Requirements:Thedocumentmustbeclear,concise,andprovidesufficientinformationforpotentialbuyerstounderstandtheIntellectualProperty.Explanation:ThisdocumentisessentialforpotentialbuyerstomakeaninformeddecisionaboutthepurchaseoftheIntellectualProperty.2.MarketAnalysisReportReportonthecurrentmarketconditions,includingdemand,supply,andpricingtrendsforsimilarIntellectualProperty.Explanation:ThisreporthelpspotentialbuyersunderstandthemarketcontextinwhichtheIntellectualPropertyisbeingsold.3.FinancialProjectionsProjectionsoftheIntellectualProperty'sfuturefinancialperformance,includingrevenue,expenses,andprofitability.Requirements:Theprojectionsmustberealisticandtakeintoaccountvariousscenarios.Explanation:Financialprojectionsassistpotentialbuyersinevaluatingthepotentialreturnoninvestment.4.LegalandRegulatoryComplianceDocumentRequirements:Thedocumentmustbeuptodateandcoverallrelevantlawsandregulations.Explanation:ThisdocumentensuresthatpotentialbuyersareawareofanylegalobligationsassociatedwiththeIntellectualProperty.5.BuyerInformationSheetInformationaboutpotentialbuyers,includingtheirbackground,financialcapacity,andinterestintheIntellectualProperty.Requirements:Theinformationmustbeaccurateandprovideaclearpictureofthebuyer'ssuitability.Explanation:ThissheethelpsPartyAassessthepotentialbuyersanddeterminethebestcandidatesforthetransaction.6.NegotiationandTransactionDocumentsDocumentsoutliningthetermsandconditionsoftheproposedtransaction,includingthesaleprice,paymentterms,andanyotherrelevantdetails.說明二：違約行為及責(zé)任認(rèn)定：1.FailuretoPayCommission2.FailuretoMeetDeadlinesIfeitherPartyfailstomeetanydeadlinesspecifiedinthisAgreement,theotherPartymayterminatetheAgreementandseekdamagesforanylossesincurred.Example:IfPartyAfailstoprovidetheMarketAnalysisReporttheagreedupondeadline,PartyBmayterminatetheAgreementandseekdamagesforanylossesresultingfromthedelay.3.MisrepresentationofInformationIfeitherPartyprovidesfalseormisleadinginformationtotheother,thenonbreachingPartymayterminatetheAgreementandseekdamagesforanylossesincurred.Example:IfPartyBmisrepresentsthefinancialperformanceoftheIntellectualProperty,PartyAmayterminatetheAgreementandseekdamagesforanylossesresultingfromthemisrepresentation.
