5.Confidentiality

TheExpertagreestomaintaintheconfidentialityofallproprietaryandconfidentialinformationoftheEmployer,includingbutnotlimitedtotradesecrets,customerinformation,andtechnicaldata.TheExpertshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheEmployer.

6.Non-Compete

Foraperiodof[Non-CompeteDuration]followingtheterminationorexpirationofthisAgreement,theExpertagreesnottoengageinanycompetingbusinessoremploymentwithin[CompetitiveRadius]oftheEmployer'sbusinesslocation,providedthatsuchrestrictionshallnotapplytoanycompetingbusinessoremploymentinwhichtheExpertwasactivelyengagedpriortothedateofthisAgreement.

7.Termination

ThisAgreementmaybeterminatedbyeitherPartyuponwrittennoticetotheotherParty,providedthat:

a.TheEmployermayterminatethisAgreementimmediatelyiftheExpertfailstoperformtheServicesinaprofessionalandcompetentmannerorviolatesanyprovisionofthisAgreement.

b.TheExpertmayterminatethisAgreementupon[NoticePeriod]days'writtennoticetotheEmployer.

8.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

9.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

6.ThirdParty'sRightsandLimitations

b.TheConsultancyshallensurethattheClientisinformedoftheExpert'sprogressandanyissuesthatmayariseduringtheprovisionoftheServices.

6.Consultancy'sRightsandLimitations

a.TheConsultancyshallhavetherighttoreceivepaymentforitsintermediaryservicesinaccordancewiththetermsandconditionssetforthinExhibitBattachedhereto.

b.TheConsultancyagreesnottoengageinanycompetingbusinessoremploymentwithin[CompetitiveRadius]oftheClient'sbusinesslocationforaperiodof[Non-CompeteDuration]followingtheterminationorexpirationofthisAgreement.

7.Client'sLiability

8.Termination
