2025年度航空航天器制造合同英文版本合同共三部分組成，僅供學(xué)習(xí)使用，第一部分如下：ContractfortheManufacturingofAerospaceVehiclesfortheYear2025PART1:PREFACEThiscontract(hereinafterreferredtoas“theContract”)ismadeandenteredintoandbetweenthefollowingparties(hereinafterreferredtoasthe“Parties”)onthedatefirstwrittenbelow:Manufacturer(hereinafterreferredtoas“ManufacturingParty”):Name:______________________RegisteredAddress:______________________RegisteredCapital:______________________LegalRepresentative:______________________ContactPerson:______________________ContactInformation:______________________Buyer(hereinafterreferredtoas“BuyingParty”):Name:______________________RegisteredAddress:______________________RegisteredCapital:______________________LegalRepresentative:______________________ContactPerson:______________________ContactInformation:______________________WHEREAS,theBuyingPartyisinneedofpurchasingaerospacevehiclesmanufacturedtheManufacturingPartyforthepurposeof________________;andWHEREAS,theManufacturingPartyhasthecapabilityandwillingnesstomanufacturetheaerospacevehiclesasrequiredtheBuyingParty;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thePartiesagreeasfollows:Article1:ScopeofWork1.1TheManufacturingPartyshallmanufactureaerospacevehiclesasspecifiedintheattachedtechnicalspecifications(hereinafterreferredtoas“theTechnicalSpecifications”)withintheagreedtimeframeandinaccordancewiththehigheststandardsofqualityandsafety.1.2TheTechnicalSpecificationsshallinclude,butnotbelimitedto,thefollowingdetails:1.2.1GeneralDescriptionoftheAerospaceVehicle:______________________1.2.2TechnicalSpecificationsandPerformanceRequirements:______________________1.2.3MaterialsandComponents:______________________1.2.4QualityControlProcedures:______________________1.2.5TestandInspectionRequirements:______________________Article2:Delivery2.1TheManufacturingPartyshalldelivertheaerospacevehiclestotheBuyingPartyattheagreeddeliverylocationonorbeforethedeliverydatespecifiedintheContract.2.2Thedeliverydateshallbe____________(specificdateordaterange).2.3TheManufacturingPartyshallprovidetheBuyingPartywithadeliverycertificateindicatingthedateandtimeofdelivery,alongwiththerelevantqualitycontroldocuments.Article3:Payment3.1Thepaymentforthemanufacturingoftheaerospacevehiclesshallbemadeinaccordancewiththefollowingterms:3.1.1Adepositof____________%(percentage)ofthetotalcontractvalueshallbepaidtheBuyingPartyuponthesigningofthisContract.3.1.3PaymentshallbemadeinUSDollars(USD)wiretransfertotheManufacturingParty’sdesignatedbankaccount.3.1.4TheManufacturingPartyshallprovidetheBuyingPartywithaninvoiceforeachpaymentreceived.Article4:QualityControl4.2TheManufacturingPartyshallconductperiodicinspectionsandteststoensurethattheaerospacevehiclesmeetthespecifiedqualitystandards.4.3TheBuyingPartyshallhavetherighttoconductindependentinspectionsandtestsontheaerospacevehiclesupondelivery.Article5:LiabilityArticle6:Confidentiality6.1ThePartiesagreetokeepallinformation,technicaldata,andtradesecretsexchangedordisclosedduringtheexecutionofthisContractconfidentialandnottodisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.Article7:ForceMajeure7.1IntheeventofanyunforeseencircumstancesbeyondthecontrolofeitherParty,includingbutnotlimitedtonaturaldisasters,war,orlaborstrikes,whichpreventeitherPartyfromfulfillingitsobligationsunderthisContract,theaffectedPartyshallbeexcusedfromliabilityforanydelaysorfailurestoperformitsobligations.Article8:DisputeResolution8.1AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheParties.Article9:GoverningLawThisContractshallbegovernedandconstruedinaccordancewiththelawsofthecountrywheretheManufacturingPartyisregistered.PART2:TECHNICALSPECIFICATIONSPART3:ANNEXES[Annexesshallbeincludedasnecessary,suchastechnicaldrawings,designcalculations,andotherrelevantdocuments.]ThisconcludesthefirstpartoftheContractfortheManufacturingofAerospaceVehiclesfortheYear2025.第二部分：第三方介入后的修正Article1:DefinitionofThirdParties1.1ForthepurposesofthisContract,“ThirdParties”shallinclude,butnotbelimitedto,intermediaries,consultants,suppliers,subcontractors,andanyotherentitiesthatmaybeengagedeitherPartyortheManufacturingPartyforthepurposeoffulfillingtheobligationsunderthisContract.1.2TheinvolvementofThirdPartiesshallbesubjecttothepriorwrittenconsentoftheotherParty,exceptincaseswheretheinvolvementisdeemednecessaryfortheefficientandtimelyperformanceoftheContract.Article2:ThirdPartyResponsibilities2.1EachThirdPartyshallberesponsiblefortheperformanceofitsspecificobligationsasoutlinedintheContractorasagreeduponinwritingbetweentherelevantParties.2.2TheManufacturingPartyshallensurethatallThirdPartiesitengagesarequalified,experienced,andcapableoffulfillingtheirobligationsinaccordancewiththerequirementsofthisContract.Article3:ThirdPartyLiability3.1TheliabilityofThirdPartiesshallbelimitedtothescopeoftheirobligationsasdefinedinthisContractorinanyagreementsenteredintobetweentheThirdPartyandtherelevantParty.3.2TheManufacturingPartyshallberesponsiblefortheactsandomissionsofitsThirdPartiesandshallindemnifytheBuyingPartyagainstanyclaimsordamagesarisingfromtheactionsofsuchThirdParties.3.3TheliabilityofThirdPartiesshallbefurthersubjecttothefollowinglimitations:3.3.1ThetotalliabilityofallThirdPartiesshallnotexceedtheamountofthedepositpaidtheBuyingPartyunderArticle3.1ofthisContract.3.3.2TheliabilityofeachThirdPartyshallbedeterminedbasedonthescopeofitsobligationsandtheextentofitsinvolvementintheContract.Article4:ThirdPartyContracts4.1TheManufacturingPartyshallenterintoseparatecontractswitheachThirdParty,detailingthescopeofwork,obligations,andliabilityoftheThirdParty.4.2TheManufacturingPartyshallprovideacopyofeachThirdPartycontracttotheBuyingPartyuponrequest.4.3ThetermsandconditionsoftheThirdPartycontractsshallbeconsistentwiththeprovisionsofthisContract.Article5:ThirdPartyPerformance5.2TheBuyingPartyshallhavetherighttorequesttheManufacturingPartytotakecorrectiveactionsifanyThirdPartyfailstomeettherequiredstandards.5.3TheManufacturingPartyshallpromptlynotifytheBuyingPartyofanyissuesordelaysintheperformanceofThirdParties.Article6:ThirdPartyTermination6.1EitherPartymayterminatetheinvolvementofaThirdPartyifsuchThirdPartyfailstoperformitsobligationsinaccordancewiththeContractoranyagreementsenteredintowiththerelevantParty.6.3TheManufacturingPartyshallberesponsibleforanyadditionalcostsincurredasaresultoftheterminationofaThirdParty.Article7:ThirdPartyConfidentiality7.1AllThirdPartiesshallberequiredtosignaconfidentialityagreementpriortotheirinvolvementintheContract.7.2TheconfidentialityagreementshallincludetheobligationsoftheThirdPartytomaintaintheconfidentialityofallinformation,technicaldata,andtradesecretsexchangedordisclosedduringtheperformanceoftheContract.Article8:ThirdPartyInsurance8.1TheManufacturingPartyshallensurethatallThirdPartiesitengageshaveappropriateinsurancecoveragetoprotectagainstliabilityfordamagesorinjuriesthatmayariseduringtheperformanceoftheirobligations.8.2TheManufacturingPartyshallprovideevidenceofsuchinsurancecoveragetotheBuyingPartyuponrequest.8.3TheBuyingPartyshallhavetherighttorequireadditionalinsurancecoveragefromtheManufacturingPartyorfromtheThirdParties,ifdeemednecessary.Article9:ThirdPartyIndemnification9.1TheManufacturingPartyshallindemnifytheBuyingPartyagainstanyclaimsordamagesarisingfromtheactsoromissionsofitsThirdParties.9.2TheindemnificationshallbesubjecttothelimitationssetforthinArticle3.3ofthisContract.9.3TheBuyingPartyshallhavetherighttoseekdirectindemnificationfromtheThirdParties,ifapplicable,andtheManufacturingPartyshallassisttheBuyingPartyinsuchclaims.Article10:ThirdPartyDisputeResolution10.1AnydisputesarisingbetweenthePartiesregardingtheinvolvementofThirdPartiesshallberesolvedinaccordancewiththedisputeresolutionprovisionsofthisContract.10.3TheinvolvementofThirdPartiesinanydisputeresolutionprocessshallbesubjecttotheconsentofallPartiesinvolved.第三部分：其他補充性說明和解釋說明一：附件列表：1.TechnicalSpecificationsDocumentDetaileddescriptionoftheaerospacevehicle,includingtechnicalparameters,performancerequirements,anddesignspecifications.Requirements:MustbeinaformatapprovedbothPartiesandincludeallnecessarydrawings,calculations,anddocumentation.2.DeliveryScheduleTimelineforthedeliveryoftheaerospacevehicles,includingmilestonesanddeadlines.Requirements:Mustbeclear,withspecificdatesforeachstageofthemanufacturinganddeliveryprocess.3.QualityControlPlanOutlineofthequalitycontrolprocedurestobefollowedduringthemanufacturingprocess.Requirements:Mustincludeinspectionpoints,testingmethods,andacceptancecriteria.4.PaymentScheduleDetailedbreakdownofthepaymentterms,includingdepositamounts,milestones,andfinalpayment.Requirements:Mustbeinaformatthatclearlydefinesthepaymentscheduleandanypenaltiesforlatepayments.5.InsuranceCertificateProofofinsurancecoveragefortheaerospacevehiclesandthemanufacturingprocess.Requirements:MustbeissuedareputableinsuranceproviderandcoverallrisksassociatedwiththeContract.6.ConfidentialityAgreementAgreementoutliningtheconfidentialityobligationsofallPartiesinvolvedintheContract.Requirements:MustbesignedallPartiesandincludeadefinitionofconfidentialinformation.7.ThirdPartyContractsCopiesofallcontractsenteredintobetweentheManufacturingPartyandanyThirdParties.Requirements:Mustincludethescopeofwork,obligations,andliabilityofeachThirdParty.8.ChangeOrderFormsFormsusedtodocumentanychangestotheContract,includingscope,schedule,andcost.Requirements:MustbesignedbothPartiesandapprovedtherelevantauthorities.9.AcceptanceCertificateDocumentcertifyingthattheaerospacevehicleshavebeenacceptedtheBuyingParty.Requirements:Mustincludeadetaileddescriptionoftheacceptancecriteriaandanydiscrepanciesnoted.10.WarrantyCertificateCertificateoutliningthewarrantytermsandconditionsprovidedtheManufacturingParty.Requirements:Mustincludethedurationofthewarranty,coverage,andproceduresformakingclaims.說明二：違約行為及責(zé)任認(rèn)定：1.FailuretoMeetDeliveryScheduleResponsibility:TheManufacturingPartyshallbeliableforanydelaysindelivery,andtheBuyi
